Agenda 04/14/2026 Item #16C4 (Assignment and Assumption Agreement - Nassif Golf Ventures, LLC d/b/a Hibiscus Golf Club to The Lantern Club, LLC)4/14/2026 Item # 16.C.4 ID# 2026-757 Executive Summary Recommendation that the Collier County Board of County Commissioners, acting as Ex-Officio the Governing Board of the Collier County Water-Sewer District, approve an Assignment and Assumption Agreement of Major User Agreement for the Delivery and Reuse of Irrigation Quality (IQ) Water assigning all rights, duties, benefits, and obligations from Nassif Golf Ventures, LLC d/b/a Hibiscus Golf Club to The Lantern Club, LLC, a Florida limited liability company. OBJECTIVE: To approve an assignment of all rights, duties, benefits, and obligations concerning a Major User Agreement for the Delivery and Reuse of Irrigation Quality(“IQ”) Water (the “IQ Water Agreement”) between the Collier County Water-Sewer District (the “CCWSD”) with Nassif Golf Ventures, LLC d/b/a Hibiscus Golf Club (“HGC”) to The Lantern Club LLC. CONSIDERATIONS: The CCWSD entered into an IQ Water Agreement with HGC dated August 24, 2015, and recorded in the Official Records of Collier County at Book 5192, Page 1987, which allotted an allocation of IQ Water to use on HGC’s real property. The IQ Water Agreement was amended and extended by a Second Amendment dated July 14, 2020, and recorded in the Official Records of Collier County at Book 5824, Page 2678, and again thereafter by a Third Amendment dated September 9, 2025, and recorded in the Official Records of Collier County at Book 6510, Page 198. County staff was recently notified that HGC had entered into an agreement to convey its real property known as the Hibiscus Golf Club by Special Warranty Deed to The Lantern Club LLC (“TLC”). As a result of the conveyance of HGC’s property, it is requesting that the IQ Water Agreement it has with the CCWSD be assigned to TLC. Attached to this agenda item is a March 6, 2026, Assignment and Assumption of Major User Agreement For Delivery And Reuse of Irrigation Quality (IQ) Water (the “Assignment and Assumption Agreement”) between HGC and TLC, which includes a Joinder and Consent of the District to the Assignment and Assumption of the IQ Water Agreement to TLC. As a result of TLC’s acquisition of HCG’s real property as established by the Assignment and Assumption Agreement, TLC has agreed to accept all rights, duties, benefits, terms, conditions and obligations owed by HGC under the IQ Water Agreement to the CCWSD. TLC is a Florida Limited Liability Company registered to transact business in Florida and represents and warrants that it is now the successor in interest to the IQ Water Agreement with the CCWSD. The conveyance of HCG’s real property to TLC has been reviewed and accepted by the County Attorney’s Office. Staff recommends approval of the attached Assignment and Assumption Agreement assigning all rights, duties, benefits, and obligations under the IQ Water Agreement, including any amendments thereto, to The Lanter Club LLC, and requests that the Chairman be authorized to sign the Joinder and Consent of the District form attached to that agreement. This item is consistent with the Collier County strategic plan objective to maintain public infrastructure and facilities to effectively, efficiently, and sustainably meet the needs of our community. FISCAL IMPACT: There is no fiscal impact associated with this item. GROWTH MANAGEMENT IMPACT: There is no growth management impact associated with this item.
