("BCCA") is a private Florida not-for-profit corporation formed pursuant to applicable law that owns and operates certain community infrastructure and amenity facilities located within the Bay Colony community; and WHEREAS, BCCA is the fee simple owner of that certain real property legally described in Exhibit "A" to the Quit-Claim Deed recorded at Official Records Book 1905, at Page 1639, et seq., in the Public Records of Collier County, Florida, a portion of which located on the East and West of, and including a segment of, Bay Colony Drive in Collier County, Florida, immediately adjacent to the Contessa Easement Area and County Property; and WHEREAS, contemporaneously with the grant of this Easement, BCCA is granting to the County a separate, but related, Drainage Easement ("BCCA Easement") over a portion of the BCCA property described therein ("BCCA Easement Area"). This Easement will effectively extend the Existing Easement further south across the Contessa 16F 3 condominium property to the southern property line shared with BCCA to allow for Contessa to obtain permit approval for drainage improvements (e.g., flushing channels) within the Contessa Easement Area ("Contessa Drainage Improvements"), and to construct the Contessa Drainage Improvements; and WHEREAS, the Contessa Drainage Improvements to be permitted and constructed by Contessa in the Contessa Easement Area will connect to companion drainage improvements in the BCCA Easement Area to be permitted and constructed by BCCA ("BCCA Drainage Improvements"); and WHEREAS, Grantor, BCCA, and the PBSD (defined below) all desire for this joint drainage system, once permitted and constructed, to direct runoff collected from the Existing Easement across the Contessa Easement Area and the BCCA Easement Area and ultimately discharge runoff to the existing Upper Clam Bay system; and WHEREAS, the County established the Pelican Bay Municipal Service Taxing and Benefit Unit (the "Unit") for purposes that include providing water management, beach renourishment, and maintenance of conservation and preserve areas within its boundaries. The County further established the Pelican Bay Services Division Board ("PBSD") to provide input to the County in carrying out the purposes of the Unit; and WHEREAS, the Contessa Easement Area and BCCA Easement Area are within the Unit; and WHEREAS, the County agrees that it will accept perpetual operation and maintenance responsibility for the Contessa Drainage Improvements and BCCA Drainage Improvements (collectively referred to herein as the "Drainage Facilities and/or System(s)"), which will be managed by the County through the Unit, after the Drainage Facilities and/or System(s) are permitted and constructed by Contessa and BCCA, respectively, and accepted by the County.
