RESOLUTION NO. 85-~
A RESOLUTION APPROVING THE ASSIGNMENT OF
THE CABLE TELEVISION FRANCHISE FROM SOUTH
FLORIDA TELEVISION CORP. TO PALMER
COMMUNICATIONS INCORPORATED
WHEREAS, SOUTH FLORIDA CABLE TELEVISION CORP., a Florida
corporation holds a Franchise for Cable Television service from
the County of Collier, State of Florida, dated the 6th day of
June, 1967, as the same was amended by that certain Amendment of
Franchise Agreement dated July 25, 1978, and by that certain
Addendum to CATV Franchise of SOUTH FLORIDA CABLE TELEVISION
CORP. on or about the 5th day of November, 1973; and
WHEREAS, SOUTH FLORIDA CABLE TELEVISION CORP. has, by
contract dated the 7th day of June, 1985, agreed to sell its
assets and transfer its Frant:hise to PALMER COMMUNICATIONS
INCORPORATED, a Delaware corporation, subject to various
governmental approvals; and
WHEREAS, SOUTH FLORIDA CABLE TELEVISION CORP. has requested
the County of Collier, through its Board of County Commissioners,
to consent to and approve the assignment and transfer of its
Franchise to PALMER COMMUNICATIONS, INCORPORATED;
NOW, THEREFORE, BE IT RESOLVED by the Board of County
Commissioners of Collier County, Florida, that:
The Board of County Commissioners does hereby expressly
approve of and consent to the transfer and assignment of that
certain Franchise granted by the County of Collier to SOUTH
FLORIDA TELEVISION CORP. dated June 6, 1967, as amended, and all
rights thereunder to PALMER COMMUNICATIONS INCORPORATED; provi-
ded, that none of the obligations, duties and responsibilities of
the franchisee shall be changed, amended or impaired by this
Resolution.
This Resolution shall take effect immediately upon its
adoption; but shall become null and void if SOUTH FLORIDA CABLE
TELEVISION CORP. does not transfer said Franchise to PALMER
COMMUNICATIONS INCORPORATED within six (6) months from the date
hereof.
This Resolution adopted after motion, second and roll call
vote as follows:
