Resolution 1993-167 APRIL 20. 1993 RESOLUTION NO. 93- 167 RESOLUTION AUTHORIZING THE EXCHANGE OF PROPERTIES PURSUANT TO SECTION 125.37, FLORIDA STATUTES WHEREAS, Florida Power & Light Company (the "Utility") is the fee title holder of certain real property in Collier County; such I property, comprising 2.6 acres, is located along the westerly side , ,of Logan Boulevard north of Santa Barbara Boulevard and described 'as follows: The South 180 Feet of Tract 3, Golden Gate Estates Unit No. 34, as recorded in Plat Book 7, Page 23, Public Records of Collier county,tilorida (hereinafter, "Parcel 104"). WHEREAS, Coll~~r County, a political sUbdivision of the State of Florida (the "County") is the fee title holder of certain real property consisting of 18.256 acres; such property is located north of Immokalee Road in Section 24 Township 48 Range 25 (hereinafter, "Parcel 24-70"). WHEREAS, the County requires a portion of Parcel 104 for road right-of-way necessary to complete Transportation Project No. 68051 (Santa Barbara S-Curve). WHEREAS, the Utility requires a portion of Parcel 24-70 in order to access existing main transmission lines presently situated on this parcel (attached Exhibit "A"). WHEREAS, the Utility has agreed to convey Parcel 104 to the County provided it retains an easement for the continued use of the main transmission line si~uated thereon. WHEREAS, the easement to Utility will not impair the County's 'use of Parcel 104 for road right-Of-way. '"1'""'1 M WHEREAS, the County has determined that it is in the public interest to convey approximately 1. 2 acres (152.5' x 331. 2') of Parcel 24-70 to Utility, since it is surplus land from a prior " ... necessary whole-take, acqulsltlon. WHEREAS, theJtcounty and the Utility have approved an Agreement for the exchange of these parcels of real property each !.' ,_I ~ having a market value determined by an independent professional t? appraiser, resulting in an overage ("boot") in the amount of Twenty Nine Thousand Six Hundred Dollars ($29,600) paid to the County by the Utility. Each owner represents, warrants and agrees to indemnify, reimburse, defend and hold the respective purchaser harmless from any and all costs (including attorney's fees) asserted against, imposed on or incurred by the respective purchaser, directly or indirectly, pursuant to or in connection with the application of any federal. state, local or common law relating to pollution or protection of the environment, as permitted by law, This provision and the rights of each purchaser, hereunder, shall survive closing and are not deemed satisfied by conveyance of title. 8. Conveyance of Property A and B, or any interest in Property A and B, between the Utility and County is contingent upon no other provisions, conditions, or premises other than those so stated above; and this written agreement, including all exhibits attached hereto, shall constitute the entire agreement afid understanding of the parties, and there are no other prior or contemporaneous written or oral agreements, undertakings, promises, warranties, or covenants not contained herein. 9. Utility is aware and understands that the .offer" to purchase Property B and to sell Property A represented by this Agreement is subject to acceptance and approval by the Board of County Commissioners of Collier County, Florida, 10. The purchaser of Property A and the purchaser of Property B shall each pay for all costs of recording the respective Deed. All other costs associated with this transaction including but not limited to transfer, documentary and intangible taxes, and recording costs for any other instruments.shall be borne and paid by Utility. 11. If any owner holds property in the form of a partnership, limited partnership, corporation, trust or any form of representative capacity whatsoever for others, that owner shall make a written public disclosure, according to Chapter 286, Florida Statutes, under oath,of the name and address of every person having a beneficial interest in the property before the Property held in such capacity is conveyed to Collier County. (If the corporation is registered with the Federal Securities Exchange Commission or registered pursuant to Chapter 517, Florida Statutes, whose stock is for. sale to the general public, it is hereby exempt from the provisions of Chapter 286, Florida Statutes.)
