A RESOLUTION APPROVING, CONFIRMING AND RATIFYING
CERTAIN ACTIONS TAKEN BY THE COUNTY ADMINISTRATOR
AS AUTHORIZED TO BE TAKEN PURSUANT TO A PRIOR
RESOLUTION IN CONNECTION WITH THE ISSUANCE AND SALE

that:
FINDINGS. It is hereby found and determined
(A) On December 19, 1995, the Board of County Commissioners
(the "Board") of Collier County, Florida (the "Issuer"), acting on
its own behalf and as the Governing Body of the Collier County
Public Park and Recreation )Iunicipal Service Taxing Unit (the
"KSTO"), adopted a resolution (as supplemented by the hereinafter
detined Delegation ReSOlution, the "Bond Resolution"), tor the
purposes described therein, authorizing, among other things, t:,e
issuance ot not exceeding $5,250,000 aggregate principal amount ct
Collier County, Florida Public Park and Recreation Municipal
Service Taxing Unit General Obligation Refunding Bonds, Series 1991i
(the "Bonds").

(B) On December 19, 1995, following the adoptk\ of the Bond
Resolution, the Board acting on its own behalf and as the Governin9
BOdy of the KSTO, adopted a supplemental rerolution (the
"Delegation Resolution"), for the purposes described there,'.n, which
Delegation Resolution supplemented the Bond Resolution in certain
respects and, among other things, delegated authority to the County
Administrator for the award of the Bonds and the approval ot the ^
terms of such Bonds.

(C) Pursuant to the terms of, the Delegation Resolution,. the
County Administrator has awarded the sale of the Bonds toA~G.
Edwards , Sons and Howard Gary' Co. (the "Underwriter") based::~p~n
, ,the bid submitted by the Underwriter (the "Winning Bid") ,'a COIlY,iOf
Which is attached hereto as Exhibit A, and has determined the terms
of such Bonds in accordance with the Delegation Resolution. "

(E) All of the provisions of Section 132.36, Florida statutes -
have been satisfied and the financial plan for the Bonds as
described in said Section 132.36 is attached hereto as Exhibit B.
(F) The final terms of such Bonds are set forth in Exhibit C
attached hereto.
(G) The Issuer desires to confirm that the conditions set
torth in the Delegation Resolution for the award of the Bonds were
satisfied and that the terms and provisions for the Bonds as
determined by the County Administrator and as set forth in the
Winning Bid and in Exhibit C attached hereto and upon which the
Bonds were sold are within the parameters provided in the
Delegation Resolution, and upon such confirmation, the Issuer
desires to approve, confirm and ratify the actions of the County
Administrator and authorize and approve the issuance of the Bonds
upon the terms set forth in the Winning Bid and in Exhibit C
attached hereto.
SECTION 2. DEFINITIONS. When used in this Resolution, the
terms defined in the Bond Resolution shall have the meanings
therein stated, except as such definitions shall be hereinafter
amended and defined.
SECTION 3. AUTHORITY FOR THIS RESOLUTION. This Resolution
is adopted pursuant to the provisions of the Act.
SECTION .c. APPROVAL, CONFIRMATION AND RATIFICATION OF
ACTIOBS OF THB COUNTY ADMINISTRATOR. All of the actions ot t:;.e
County Administrator relating to the award of the Bonds and ~.~
determination ot the terms of the Bonds are hereby approved,
confirmed and ratified. All of such terms, which are set forth ill
Exhibit C attached hereto and in the Winning Bid attached hereto ~.
Exhibit A meet the conditions and fall within the paramete..F.
established by the Delegation Resolution and are hel".by approved,
confirmed and ratified.
SECTION 5. EFFECTIVE DATE. This Resolution shall become
effective immediately upon its adoption.
