A RESOLUTION OP THE BOARD OP COUNTY COMMISSIONERS
OP COLLIER COUNTY, FLORIDA, APPROHNG THE ISSUANCE
OF NOT EXCEEDING $35,000,000 COLLIER COUNTY HEALTH
FACILITIES AUTHORITY HEALTH FACILITY REVllNUE BONDS,
SERIES 1989 (THE MOORINGS, INCORPORATFD PROJECT)
PURSUANT TO CHAPTER 159, PART D, AND CHAPTER 154,
PART m, FLORIDA STATUTES, AS AMENDED.
BE IT RESOLVED BY THE BOARD OF COUN'TY COMMISSIONERS OF
COLLIER COUNTY, FLORIDA.

Florid. (the "County"), under .nd by virtue of Ch.pter 154, P,rt 111, Florida Statutes, as
amended, and Is duly authorized and empowered by su.h a.t and by Chapter 159. PlIrt II,
Florida St.tutes, as .mended (.olle.tlvely, the "A.t"), to provide for the Issuan.e of and
to Issue and sell Its oblIg.tlons for lawful .orporate purpose..
B. The Issuer has submitted to the Board of County Commissioners a copy
of its Resol'Jtton, attached hereto as Exhibit "A" (the "Resolutiontl), with respect to the
Issuance by it of not exceeding $35,000,000 CollIer County Health Facilities Authority
Health Fa.llIty Revenue Bonds, Series 1989 (Th. MoorIngs, In.orporated ProJe.t) (the
"Bonds").
C. A publIc hearing was held on the Resolution on February 2, 1989. which
public hearing was duly conducted by the Issuer upon reasonable publIc notice, and at StlO",
hearing interested individuals were afforded reasonable opportunity to express their
views, both orally and In writing, on all matters pertaining to the location and nature of
the proposed leased equipment and to the Issuance of the Bonds.
D. The Issuer has recommended and requested that the Board of County
Commissioners approve the Issuance of the Bonds so that the Interest on the Bonds will be
exempt from fed.ralln.ome taxation under applI.able provisions of Se.tlon 147(a) of the
Internal Revenue Code of 1986, as amended.
E. The Resolution shows that the Issuer has a.ted In ac,ordance wIth all
requirements of l.<w and has made appropriate provisions for the Bonds to be Issued In
accordance with .11 applI.able requirements of law, and that the Issuance of the Bonds
will serve slgnlfl.ant publIc purposes as provided In the Act.
F. The purposes of the A.t wlll be effectively served, and It Is ne.essary
and desirable and In the best Interest of the County that the Issuance of the Bonds be
approved by the Board of County Commissioners.

G. The Bonds shall not constitute a debt, or a pledge of faith and credit of
the Issuer, the County, the State of Florida or any polItical subdivision thereof, and
neither the Issuer, the County, the State of Florida nor any political subdivision thereof
shall be liable thereon; nor In any event shall the Bonds be payable out of any funds or
properties other than those of the Issuer, and then only to t~e extent provided In the
Indenture. No member of the Board of County Commissioners of tho County or ony
officer thereof shall be liable personally on the Bonds by reoson of Its Issuance.
Section 2. Approval of Issuance of the Bow... The Issuance of the
Bonds as contemplated by the Resolution Is hereby approved.
Section 3. Repealing Clause. All resolutions or order. and part.
thereof In contllct herewith, to the extent of such conflict, are hereby superseded and
repealed.
Section 4. Effective Date. This Resolution shall take effect
Immediately upon Its adoption.
PASSED AND ADOPTED this 21st day of February, 1989.
