RECITALS: A. By virtue of a Special Warranty Deed recorded on December 21, 1992 in OR Book 1781, Page 223, Official Records of Collier County, Florida, COLLIER'S RESERVE COUNTRY CLUB, INC. ("Owner") owns the real property in Collier County, Florida described on Exhibit "A" attached hereto (the"Easement Parcels"). B. Pursuant to a Grant of Telecommunications Easement recorded on September 19, 2019 in OR Book 5675, Page 3377, Official Records of Collier County, Florida, COLLIER'S RESERVE ASSOCIATION, INC. (the "Association") granted to the Utility an easement encumbering the Easement Parcels, together with other real property described therein (the "Utility Easement"). C. By virtue of a Drainage Easement and Lake Maintenance Easement executed by Owner and being recorded in the public records on or about the date hereof, Owner granted to the Association and the County a drainage easement and lake maintenance easement encumbering the Easement Parcels as more particularly described therein (the "County Easement"). D. The County's proposed use of the Easement Parcels requires that the Utility subordinate its interest in the Easement Parcels to the County. E. The Utility is amenable to such subordination and the relocation of its facilities within the Easement Parcels, if necessary, to facilitate the County in providing services for the benefit of the public F. The County is willing to pay to have the Utility's facilities relocated if necessary to prevent conflict between the facilities so that the benefits of each may be retained. NOW, THEREFORE, the parties agree as follows: 1. The Utility hereby subordinates all of its rights and interests in the Easement Parcels to the rights and interests of the County under the County Easement. 2. The Utility shall have the right to construct, operate, maintain, improve, add to, upgrade, remove, and/or relocate its facilities within and upon the Easement Parcels in accordance with the County's minimum standards for such facilities, provided such activities do not interfere with the operation and safety of the County's facilities. Any construction or relocation of the Utility's facilities within the Easement Parcels shall be subject to prior written approval by the County. If the County requires the Utility to alter, adjust, or relocate its facilities from or within the Easement Parcels, the County shall give the Utility ninety (90) days' written notice to do so and hereby agrees to pay the reasonable cost of such alteration, adjustment, or relocation, including without limitation the cost of acquiring appropriate easements. 3. The Utility shall have a reasonable right to enter upon the Easement Parcels for the purposes outlined in paragraph 2 above, including the right to trim trees, brush, and growth that may endanger or interfere with its facilities, provided such activities do not interfere with the operation and safety of the County's facilities. 4. The Utility shall promptly repair any damage to the County's facilities resulting from the Utility's exercise of its rights under paragraphs 2 and 3 above. 5. These terms and conditions shall be attached as an addendum to any permit that may be required by the County for location of the Utility's facilities within the Easement Parcels. 6. Without limitation of the County's other rights under Florida law, this instrument may be assigned by the County to the State of Florida.
