FIRST AMENDMENT TO
DEPARTMENT FUNDED AGREEMENT
BETWEEN THE
STATE OF FLORIDA DEPARTMENT OF TRANSPORTATION
AND
COLLIER COUNTY
THIS FIRST AMENDMENT, entered into on the date executed below by the State of
Florida, Department of Transportation to the DEPARTMENT FUNDED AGREEMENT
("AGREEMENT") dated October 18, 2016 between the State of Florida Department of
Transportation, ("DEPARTMENT") and Collier County, a political subdivision of the State of
Florida, ("COUNTY") hereby amends the AGREEMENT as follows:
A. The AGREEMENT was predicated upon compensation to the COUNTY for the
operation of 54 state signals whereas it is now agreed upon by the parties that the true
number should have been 51 state signals. This results in a decrease from the maximum
total contribution by the DEPARTMENT of$21,375.00. Additionally, two signals
were added in FY 2021, bringing the current count to 53 signals and increasing the
compensation for FY 2021. The new maximum total contribution by the
DEPARTMENT is $366,375.00.
B. Exhibit `B" is amended to reflect all changes in the preceding pararagraph. Exhibit"B
Method of Compensation" of the AGREEMENT is hereby replaced in total by the
attached and incorporated by reference as "AMENDED EXHIBIT"B"METHOD OF
COMPENSATION".
C. All expressions used herein, unless herein separately defined, shall have the same
meaning herein as in the AGREEMENT. Also, except as expressly or by necessary
implication modified hereby, all provisions and terms of the AGREEMENT shall
remain in full force and effect, but in the event of any inconsistency between the
provisions and/or terms of the AGREEMENT and the provisions and/or terms of this
FIRST AMENDMENT, the latter shall prevail.

METHOD OF COMPENSATION
Financial Management Number: 437103-1-88-01
COLLIER TMC OPS FUND COUNTY WIDE
This is a cost reimbursement agreement. This exhibit forms an integral part of the Agreement
between the State of Florida, Department of Transportation and Collier County referenced by the
above Financial Project Number.
By and through this Department Funded Agreement with COLLIER COUNTY. the
DEPARTMENT agrees to reimburse the COUNTY up to, but not to exceed $57,375.00 (Fifty-
Seven Thousand Three Hundred and Seventy-Five Dollars) annually for fiscal year 2017,
$76,500.00 (Seventy-Six Thousand Five Hundred Dollars) annually from fiscal years 2018-2020,
and $79,500 annually for fiscal year 2021 in the total amount of $366,375.00 (Three Hundred
Sixty-Six Thousand Three Hundred and Seventy-Five Dollars).
For the satisfactory performance of services detailed in Exhibit "A" the COUNTY shall be paid
the annual amounts shown below:
$57,375 (Prorated Amount) from Fiscal Year 2017
$76,500 from Fiscal Year 2018
$76,500 from Fiscal Year 2019
$76,500 from Fiscal Year 2020
$79,500 from Fiscal Year 2021
The COUNTY shall not provide services that exceed the Fiscal Year amount(s) without an
approved Amendment from the Department.
PROGRESS PAYMENTS:
The COUNTY shall submit an annual invoice in a format acceptable to the Department, at the end
of each fiscal year.

A RESOLUTION OF THE BOARD OF COUNTY COMMISSIONERS OF
COLLIER COUNTY, FLORIDA MEMORIALIZING THE BOARD'S
APPROVAL OF AN AMENDMENT TO THE DEPARTMENT FUNDED
AGREEMENT FM#437103-1-88-01 WITH THE FLORIDA DEPARTMENT
OF TRANSPORTATION, AMENDING EXHIBIT B IN ORDER TO
UNENCUMBER UNUSED FUNDS IN THE AMOUNT OF $18,375, AND
AUTHORIZING THE CHAIRMAN TO SIGN THE AGREEMENT.
WHEREAS, on October 12, 2021, the Board of County Commissioners approved an
Amendment to Department Funded Agreement FM#437103-1-88-01 with the Florida Department of
Transportation ("FDOT"), amending Exhibit B in order to unencumber unused funds in the amount
of $18,375 and authorized the Chairman of the Board of County Commissioners to execute the
Amendment; and
WHEREAS, the FDOT requires that the Board provide a Resolution memorializing and
confirming the Board's aforementioned affirmative vote to approve the Amendment.
NOW THEREFORE BE IT RESOLVED BY THE BOARD OF COUNTY
COMMISSIONERS OF COLLIER COUNTY, FLORIDA, that:
1. On October 12, 2021 the Board of County Commissioners approved by majority vote
an Amendment to the Department Funded Agreement FM#437103-1-88-01 with FDOT and
authorized the Chairman to sign the Amendment.
2. This Resolution memorializes and confirms the Board's approval of such Amendment.
3. A certified copy of this Resolution shall be forwarded by the Collier County Clerk to
FDOT along with the executed Amendment.
This Resolution is hereby adopted after motion, second and majority vote this I01 .day of
