WITNESSETH: WHEREAS, in connection with the County's construction project known as the Vanderbilt Beach Road Extension Project No. 60168 (hereinafter referred to as the "Project"), the County has requested that the Owner convey to the County 1) a perpetual, non-exclusive Slope Easement over, under, upon and across the lands described in attached Exhibit "A" ("Parcel 160SE"), 2) two Temporary Construction Easements over, under, upon and across the lands described in attached Exhibits "B" and "C" ("Parcel 160TCE1" and "Parcel 160TCE2", respectively), and 3) a Temporary Driveway Restoration Easement over, under, upon and across the lands described in attached Exhibit "D" ("Parcel 160TDRE") (collectively, "the Easements"); and WHEREAS, the Owner recognizes the benefit of the Project to the Owner's property and desires to convey the Easements to the County for the stated purposes, on the terms and conditions set forth herein, including construction by the County at no cost to the Owner of a new exit driveway for the Owner's property underlying the Easements, more fully described in the conceptual plan attached as Exhibit "E" ("the Driveway"). NOW, THEREFORE, in consideration of these premises, the sum of Ten Dollars ($10.00), and other good and valuable consideration, the receipt and sufficiency of which is hereby mutually acknowledged, it is agreed by and between the parties as follows: 1. RECITALS - All of the above recitals are true and correct and are hereby expressly incorporated herein by reference as if set forth fully below, and all Exhibits referenced herein are made a part of this Agreement. 2. CLOSING DOCUMENTS AND CLEAR TITLE —The County shall prepare and submit to the Owner for execution the necessary easement instruments reflecting the Easements described in attached Exhibits A- D. Said conveyance (the Owner's execution and delivery to the County of the properly executed easement 164ii instruments and any and all other documents required for the closing; collectively, the "Closing Documents") is hereinafter referred to as the "Closing." The Owner shall obtain from the holders of any and all mortgages and other liens, exceptions and/or qualifications encumbering the Easements, the execution of such instruments in order to remove, release or subordinate such encumbrances from the Easements upon their recording in the public records of Collier County, Florida. Prior to Closing and as soon after the execution of this Agreement as is possible, the Owner shall provide the County with 1) a copy of the current title insurance policy, if any, and 2) the Closing Documents, properly executed, witnessed, and notarized where required, in a form acceptable to the County. 3. TIME IS OF THE ESSENCE - Both the Owner and the County agree that time is of the essence. Therefore, Closing shall occur within ninety (90) days of the date of execution of this Agreement by both parties, or within thirty (30) days of the County's receipt of all properly executed Closing Documents, whichever is the later. This Agreement shall remain in full force and effect until Closing shall occur (or thereafter until such time as the County has resolved any and all post-Closing matters), until and unless it is terminated prior to Closing in accordance with the termination provisions of this Agreement. 4. MISCELLANEOUS REQUIREMENTS — The Owner and the County agree to do all things that may be required to give effect to this Agreement immediately as such requirement is made known to them or they are requested to do so, whichever is the earlier. The foregoing notwithstanding, the County shall not be required to take any actions under this paragraph in contravention of the County's standard policies and procedures, legal authorizations, and applicable laws. 5. CURATIVE INSTRUMENTS AND PROCESSING FEES — The County shall pay all fees to record the easement instruments and any curative instruments required to clear title. In addition, the County shall pay processing fees required by mortgagees in connection with the execution and delivery of a Release or Subordination of any mortgage, lien or other encumbrance recorded against the property underlying the Easements. 6. CONSTRUCTION OF PROJECT — The County shall design, permit and construct the Project in accordance with plans and specifications on file with Collier County, Transportation Engineering, as the same may be revised from time to time, including constructing the Driveway in substantial conformity with Exhibit "E", at no cost to the Owner. The Owner shall cooperate fully with the County for the purposes of obtaining all permits and other approvals that may be required for construction of the Project. 7. FULL COMPENSATION, ATTORNEY AND EXPERT FEES — At Closing, the County shall pay the sum of TEN THOUSAND DOLLARS ($10,000) for attorney's fees and FIVE THOUSAND DOLLARS ($5,000) for experts' fees. Said payment to the Owner, payable by County Warrant, together with construction of the 2 • 16A1i Driveway and other consideration provided for in this Agreement, shall be full compensation for the Easements conveyed, including (if applicable) all landscaping, trees, shrubs, improvements, and fixtures located thereon, and shall be in full and final settlement of any damages resulting to the Owner's remaining lands, costs to cure, including, but not limited to (if applicable), the cost to relocate the existing irrigation system and other improvements, and the cost to cut and cap irrigation lines extending into the Easements, and to remove all sprinkler valves and related electrical wiring, and all other damages in connection with conveyance of said Easements to the County, including all attorneys' fees, expert witness fees and costs as provided for in Chapter 73, Florida Statutes. 8. TERM OF TEMPORARY EASEMENTS — As provided in the applicable easement instruments, the term of the Easements for Parcels 160TCE1, 160TCE2 and 160TDRE shall commence upon the issuance of the County's official Notice to Proceed to its roadway contractor for the construction of the Project and shall automatically terminate three (3) years therefrom, or upon the County's notification to the contractor of substantial completion, whichever shall occur first. 9. EFFECTIVE DATE - This Agreement and the terms and provisions hereof shall be effective as of the date this Agreement is executed by both parties and shall inure to the benefit of and be binding upon the parties hereto and their respective heirs, executors, personal representatives, successors, successor trustees, and/or assignees, whenever the context so requires or admits. 10. BREACH AND TERMINATION - If either party fails to perform any of the covenants, promises or obligations contained in this Agreement, such party will have breached this Agreement and the other party may provide written notice of said breach to the party in breach, whereupon the party in breach shall have fifteen (15) days from the date of said notice to remedy said breach. If the party in breach shall have failed to remedy said breach within such cure period, the other party may, at its option, terminate this Agreement by giving written notice of termination to the party in breach and shall have the right to seek and enforce all rights and remedies available at law or in equity, including the right to seek specific performance of this Agreement. 11. ENTIRE AGREEMENT- Conveyance of the Easements by the Owner is contingent upon no other provisions, conditions, or premises other than those so stated above; and this written Agreement, including all exhibits attached hereto, shall constitute the entire Agreement and understanding of the parties, and there are no other prior or contemporaneous written or oral agreements, undertakings, promises, warranties, or covenants not contained herein. 12.
