EXECUTIVE SUMMARY
Recommendation to extend the existing agreement with United Data Technologies under
Agreement No. 20-043-NS, “UDT-Collier-GSA Cisco Professional Services,” for an additional
period of one year.
OBJECTIVE: To extend existing Agreement No. 20-043-NS (the “Agreement”) for a period of one
year, due to COVID-19 related delays, to allow staff to continue utilizing professional services for the
Cisco Phone System upgrade project.
CONSIDERATIONS: On June 23, 2020, the Board approved the Agreement with United Data
Technologies (“UDT”) under Agenda Item 11.D, for the use of Cisco voice-over-IP telephone system
professional services for the Cisco Phone System Upgrade project. At the time of approval, the
Agreement provided for the services to be provided over a one-year period.
The Agreement with United Data Technologies is set to expire on June 23, 2021, and staff is
recommending that it is in the best interests of the County to extend the existing Agreement for an
additional period of one year to allow for the completion of the Cisco Phone System Upgrade project.
The time extension is necessary due to delays experienced related to COVID-19.
The attached proposed First Amendment extends the Agreement one additional year, thereby revising th e
termination date to June 23, 2022.
FISCAL IMPACT: There is no additional fiscal impact with this Amendment.
GROWTH MANAGEMENT IMPACT: There is no direct impact on the Growth Management Plan.
LEGAL CONSIDERATIONS: This item is approved as to form and legality and requires majority vote
for Board approval. -SRT
RECOMMENDATION: That the Board approve the attached First Amendment to Agreement No. 20-
043-NS, “UDT-Collier-GSA Cisco Professional Services” with United Data Technologies to extend the
Agreement for one additional year, and authorize the Chair to sign the attached amendment.

FIRST AMENDMENT TO AGREEMENT #20-043-NS
FOR
VDT-COLLIER GSA-CISCO PROFESSIONAL SERVICES
THIS AMENDMENT mad e and entered into on this ___ day of ______ _
2021, by and between UNITED DATA TECHNOLOGIES, INC. (the ''Contractor") and Collier
County, a political subdivision of the State of Florida, (the "County") (collectively, the "Parties"):
WHEREAS, on June 23, 2020, (Agenda Item I 1.D), the County entered into two
Agreements with Contractor to provide hardware ("Hardware Agreement") and installation of a new
phone system for the County ("Professional Services Agreement"); and
WHEREAS, the Parties desire to amend the Professional Services Agreement to revise
Section 3, Project Delivery and Time Estimates, to extend the period of time for this project
engagement from an estimated 365 days to two years, to allow for the continued availability of
professional services necessary to complete the installation of the new phone system, as a result of
Covid-related delays.
NOW, THEREFORE, in consideration of the mutual promises and covenants herein
contained, it is agreed by the Parties as follows:

3.PROJECT DELIVERY AND TIME ESTIMATES:
The engagement is expected to consist of up to 365 days two (2) vears. The official
project kickoff meeting will be scheduled within 10 business days upon contract
execution. A project schedule shall be provided to the County v.ithin 10 business
days upon completion of the official project kickoff meeting.

unf oresee,i issues.
2.Except as amended herein, all other terms and conditions of the Professional Services Agreement,
which is incorporated herein by reference, shall remain unchanged.
