EXECUTIVE SUMMARY
Recommendation to approve the Second Amendment to Agreement for Legal Services relating to
the County’s Retention Agreement with Bryant Miller & Olive, P.A., extending the expiration date
to December 13, 2023.
OBJECTIVE: That the Board approves and authorizes its Chairman to sign the attached Second
Amendment to Agreement for Legal Services relating to the Retention Agreement with the law firm of
Bryant Miller & Olive, P.A. (“BMO”), extending the expiration date to December 13, 2023.
CONSIDERATIONS: On December 14, 2010, the County and BMO entered into a Retention
Agreement (the “Agreement”) wherein the County agreed to retain BMO to provide professional
specialized legal services (Agenda Item 16.K.1). The professional services provided covered a three-year
term, with two additional one-year renewal terms, as specified in Article 4 of the Agreement.
On December 8, 2015, the County and BMO entered into an Amendment to Agreement for Legal
Services to extend the terms of the Agreement for an additional three-year term, with two additional one-
year renewal terms, which is now scheduled to expire on December 13, 2020 (Agenda Item 16.K.2).
The proposed attached Second Amendment will extend the Agreement through December 13, 2023,
commencing on December 14, 2020, under the same renewal terms and general conditions set forth in the
Agreement. The rates for BMO will remain unchanged from those contained in the original December
14, 2010 Agreement.
FISCAL IMPACT: None.
GROWTH MANAGEMENT IMPACT: None.
LEGAL CONSIDERATIONS: The attached proposed Second Amendment is approved as to form and
legality and requires a majority vote for approval. - SRT
RECOMMENDATION: That the Board approves and authorizes its Chairman to sign the attached
Second Amendment to Agreement for Legal Services relating to the Retention Agreement with the law
firm of Bryant Miller & Olive, P.A., extending the expiration date to December 13, 2023.
