Agenda 09/08/2020 Item #14B2 (Del's Corner Purchase Agreement)09/08/2020 EXECUTIVE SUMMARY Recommendation that the Board of County Commissioners, acting as the Community Redevelopment Agency Board (CRA) approve an Amendment to Agreement for Sale and Purchase with Theresa Ackerman to acquire Del’s Corner requesting an extension to the closing date and include the option for Purchaser to waive contingency terms. OBJECTIVE: To acquire Del’s Corner, located in the Bayshore Gateway Triangle Community Redevelopment Area. To amend an Agreement for Sale and Purchase with Theresa Ack erman (Seller) to extend the time for Closing of the transaction and waive the contingency of the Mini-Triangle Property sale. CONSIDERATIONS: On May 26, 2020, Agenda Item 14.B.1, the Board of County Commissioners (Board) acting as the Collier County Community redevelopment Agency Board (Purchaser), approved an Agreement for Sale and Purchase (Agreement) with Theresa Ackerman (Seller) to purchase Del’s Corner for $2,118,000. Per the Agreement for Sale and Purchase, the closing date was scheduled on or b efore September 23, 2020. Due to additional due diligence requirements, Purchaser is requesting to extend the time of Closing of the transaction for thirty (30) days up to and including October 23, 2020 and authorize the Manager of Real Property Management or designee to enter into an additional thirty (30) day extension if necessary without further approval by the Board of Collier County Commissioners. The Agreement is also being amended to give Purchaser the option of waiving the contingency terms of Section 1 of the Agreement which stated the sale was contingent on the CRA closing on sale of the 5.27 acre site (commonly referred to as the Mini-Triangle Property). If the Board approves the Mini-Triangle extension agreement, then the additional earnest money included with the extension will provide sufficient funding to complete the Del's Corner purchase. The remainder of the Agreement for Sale and Purchase remains in full force and effect. The Amendment to Agreement for Sale and Purchase has been reviewed and approved by the County Attorney’s Office. The location map is attached for reference. FISCAL IMPACT: There is no additional fiscal impact as a result of this Amendment to Agreement for Sale and Purchase. GROWTH MANAGEMENT IMPACT: There is no impact to the Growth Management Plan. LEGAL CONSIDERATIONS: This item has been approved as to form and legality and requires a majority vote for Board action. - JAB RECOMMENDATION: That the Board of County Commissioners: 1. Approve the attached Amendment to Agreement for Sale and Purchase and accept the Warranty Deed once it is received and approved by the County Attorney’s Office; 2. Authorize the Chairman to execute the Amendment to Agreement for Sale and Purchase and any and all other County Attorney’s Office approved documents related to this purchase; 3. Authorize staff to prepare related payment packages and/or requisitions; 4. Direct the County Manager, or his designee, to proceed to acquire the Property, to follow all appropriate closing procedures, and to record the Deed and any and all necessary documents 14.B.2 Packet Pg. 233 09/08/2020 to obtain clear title to the Property in the Public records of Collier County, Florida; and 5. Approve any necessary budget amendment which may be required to carry out the collective will of the Board.
