Agenda 05/12/2020 Item #11D (Agreement w/SD Corp of Naples)05/12/2020 EXECUTIVE SUMMARY Recommendation to approve an Agreement for Sale and Purchase with SD Corp of Naples, Inc., a Florida corporation and Cypress Landings II of Naples, LLC, a Florida limited liability company, for approximately 37.16 acres under the Conservation Collier Land Acquisition Program, at a cost not to exceed $1,595,000. OBJECTIVE: To purchase approximately 37.16 acres from SD Corp of Naples, Inc., a Florida corporation and Cypress Landings II of Naples, LLC, a Florida limited liability company (Sellers). CONSIDERATIONS: On November 12, 2019, Agenda Item #10A, the Board of County Commissioners (Board) voted to purchase the Sellers’ property in the amount of $1,580,000 and directed staff to process the sale. Sellers’ property had previously been on the Conservation Collier Land Acquisition Advisory Committee (CCLAAC) recommended Cycle 9 - Active Acquisition List (AAL) under the Conservation Collier Program. The Sellers’ property contains approximately 37.16 acres consisting of two (2) parcels located north of Rattlesnake Hammock Road between Santa Barbara Blvd. and CR 951 (Collier Blvd.). In accordance with the approved Conservation Collier Purchasing Policy, the purchase price of $1,580,000 was based upon two (2) independent, state-certified general real estate appraisal firms. The cost to obtain appraisals was $7,250. The property had previously been the site of a Sewer Treatment Plant for Wing South Development. Sellers have completed an Environmental Phase Two Soil Assessment on the property and supplied staff with a copy of the report. County staff has reviewed the report and find additional assessments are not warranted. However, the contract requires Seller to indemnify, reimburse, defend, and hold the County harmless from any and all costs, including attorney's fees, related to the application of any federal, state, or local law relating to pollution or protection of the environment which provision survives the closing. The attached Agreement provides that should the County elect not to close this transaction for any reason, except for default by the Sellers the County will pay the Sellers $7,900 in liquidated damages; these costs may only be paid based on a signed Agreement. The Agreement will be signed after approval by the Board to move forward with the purchase. Pursuant to Ordinance 2007-65, Section 13(8), a Project Design Report for the property is provided herewith. FISCAL IMPACT: The total cost of acquisition will not exceed $1,595,000 ($1,580,000 for the property, $7,250 for the appraisals, and approximately $7,750 for the title commitments, title policy, and recording of documents). In addition, initial exotic vegetation removal and trail installation costs within the property are estimated to cost $95,700 with ongoing annual maintenance costs estimated to be $8,000. The funding source for these actions is the Conservation Collier Management Trust Fund Reserves. The total reduction of reserves connected with this acquisition and initial management is estimated to be $1,690,700. To execute the purchase, Budget Amendments will be required recognizing carry forward in Conservation Collier Acquisition Trust Fund (172) and transferring reserves from Conservation Collier Management Trust Fund (174). The Conservation Collier Management Trust Fund Reserve not subject to conservation bank agreements is $25,791,700. The proposed acquisition and maintenance outlay equates to 6.6% of that amount. The Caracara and Pepper Ranch Conservation Bank Endowment Funds account for reserves of $5,695,700. 11.D Packet Pg. 101 05/12/2020 Acquisition expenditures since 2018 have been approximately $2,300,000. Previously discussed by the Board was the replenishment of any expended maintenance reserves which would occur upon a successful reinstatement of the Conservation Collier Program or in the alternative, should a referendum be unsuccessful, through an increase in the General Fund millage rate. Nevertheless, replenishment on the Management Reserve is important and must not be overlooked. In this spirit, consideration could be given to postponing initial maintenance activities until the upcoming referendum is concluded. If grants or other funding assistance become available, maintenance activities could proceed sooner. GROWTH MANAGEMENT IMPACT: Fee simple acquisition of conservation lands is consistent with and supports Policy 1.3.1(e) in the Conservation and Coastal Management Element of the Collier County Growth Management Plan. LEGAL CONSIDERATIONS: This Item has been approved for form and legality and requires majority vote for approval. -JAB RECOMMENDATION: That the Board of County Commissioners: 1) Approve the attached Agreement and accepts the Warranty Deed once it has been received and approved by the County Attorney’s Office. 2) Authorize the Chairman to execute the Agreement and any and all other County Attorney’s Office approved documents related to this transaction. 3) Authorize the County Manager or his designee to prepare related vouchers and Warrants for payment. 4) Direct the County Manager or his designee to procee d to acquire this parcel, to follow all appropriate closing procedures, to record the deed and any and all necessary documents to obtain clear title to this parcel, and to take all reasonable steps necessary to ensure performance under the Agreement. 5) Approve any necessary Budget Amendments. The southern parcel has some noteworthy vegetation including large cypress with cypress knees, a royal palm, and pop ash depressional area. The norther parcel includes a freshwater marsh. The project will have access from a paved public road at the end of Adkins Avenue. Projected Management Activities: Projected management activities include the removal of invasive exotic plants, the development of an Interim Land Management Plan within 90 days, development of a Final Management Plan within 2 years, and development of public access to selected portions of the property. The following assessment addresses the initial costs of management. These are very preliminary estimates. Ordinance 2002-63 requires a formal land management plan be developed for each property acquired by Conservation Collier; this plan will be forthcoming after the property is purchased. Initial exotics costs and trail installation are estimated to be upwards of $96,000. Ongoing costs for exotic removal are cyclical with a with ongoing exotic removal costs estimated at $8,000 annually. Grants may be available for removal of melaleuca on the property. A cultural assessment was performed on the site in March/April 2017 by The Archeological and Historic Conservancy, Inc., which explored a midden site previously recorded on the south side of parcel 3, and found a new site, also on the south side of Parcel 3, that was characterized as a black earth midden. Therefore, there are archeological resources on the property that can be protected. Public Parking Facility and Trails There are no developed trails on the property, but aerials from earlier years show Parcel 1 has several trails that could be re-established and used for hiking along with the LASIP easement area that borders the parcels on the east side. 11.D.3 Packet Pg. 120 Attachment: SD Corp Project Design Report 4-14-20 BCC revised (11658 : Conservation Collier - SD Corp) AMRCServices For The Environment Soil Assessment Activities Wing South Site 6371 Adkins Avenue Naples, Florida Prepared for: Mr. John Caskey S.D. Corporation of Naples, Inc. (the Client) to complete soil sampling activities at the Wing South Site. The sampling was requested to help facilitate a real property transaction. The Site is located at 6371 Adkins Avenue in Naples, Florida as illustrated on Figure 1, USGS Topographic Map. The soil sampling was performed in order to gather additional information about the possibility of petroleum or metals impacts to the soils in the area of a former package wastewater treatment plant and associated pond. 2.0 Site Assessment Activities 2.1 Soil Sampling On January 16th, 2020, AMRC personnel mobilized to the subject site to perform the investigation. After arriving at the site, AMRC met with representatives from Collier County’s Parks and Recreation Division who directed AMRC’s personnel to the former location of the package plant and associated pond. AMRC’s personnel then advanced two (2) soil borings (SB- 1 and SB-2) in the area of the former plant (one at each end), one boring at the location where the effluent piping from the plant entered the pond (SB-3) and three borings (background samples labeled BSB-1, BSB-2, and BSB-3) at random accessible locations in unimpacted areas of the property. The boring locations are illustrated on Figure 2, Site Plan. The borings were advanced utilizing a pre-cleaned post hole digger (to clear obstructions) and a stainless-steel hand auger (for sample collection). The tools were decontaminated between borings. The borings where advance to depths that varied between two (2) to six (6) feet depending upon where the top of the surficial water table aquifer was reached. At each boring, soil samples were collected at two (2) feet interval for field analysis for the presence of organic vapors utilizing and organic vapor analyzer (OVA) equipped with a photoionization detector (PID). No OVA readings above 10 parts per million (ppm) were encountered in any of the borings with the exception of the samples collected from Background Soil Boring BSB-2 (34.7 ppm at the 0 – 2 ft-bls interval). No smells were noted in this sample and the field sheets note the presence of organic materials in addition to the sands. Based on this and the location of the boring (several hundred feet from the package plant, no analytical analysis was performed. In addition to the field analysis, a soil sample was collected from each boring at the interval which revealed the greatest OVA reading. If no readings were recorded (“0”) then the sample was collected at the interval directly above the water table interface. All samples were dry upon collection. The soil samples were collected into pre-cleaned laboratory supplied bottles and immediately placed on wet ice. The samples were then transported to a State of Florida approved and NELAP certified analytical laboratory (Pace Analytical Laboratories of Ormond Beach, Florida) using chain of custody documentation. The soil samples collected in the area of the package plant and pond (SB-1, SB-2 and SB-3) were laboratory analyzed by EPA Methods 8260 (BTEX + MTBE), 8270 (PAHs) and by various methods for the eight (8) resource conservation and recovery act (RCRA) metals. The samples were also analyzed by laboratory method FL-PRO (TRPH). The background samples were collected in case one of the primary soil borings had an exceedance for arsenic which is known to be naturally occurring in the area. Since arsenic weas not detected in the primary samples at a concentration which exceeded its Limited Soil Assessment Wing South Site 6371 Adkins Ave Naples, Florida January 29, 2020 Page 3 of 3 ENVIRONMENTAL • ENGINEERING • CONTRACTING FAC Chapter 62-777 Soil Cleanup Target Levels (SCTLs) none of the collected background samples were analyzed. The laboratory results did not reveal the presence of any tested parameter at a concentration which exceeded its respective FAC Chapter 62-780 Soil Cleanup Target Level (SCTL). The results of our soil investigation are presented on Table 1, Soil Screening Summary, Table 2, Soil Analytical Summary – VOAs, TRPHs and Metals, Table 3, Soil Analytical Summary – Non- Carcinogenic PAHs, and Table 4, Soil Analytical Summary – Carcinogenic PAHs. The site photographs are presented in Appendix A. The associated field notes and soil boring logs are presented in Appendix B. The complete laboratory report and chain of custody documentation is presented in Appendix C. 3.0 Conclusions On January 16th, 2020, AMRC personnel mobilized to the subject site to perform soil assessment activities. The purpose of these activities was to gather additional information with regards to the potential for the subject site to have been impacted by the operation of a small package wastewater treatment plant. Based on the laboratory analytical results, of the soil samples collected on-site, it does not appear that the property proposed for purchase has been impacted by the package plant. 4.0 Recommendations Based on the field observations and analytical results, AMRC does not believe that further assessment activities are required at this time.
