03/24/2020 EXECUTIVE SUMMARY Recommendation to approve an Assumption Agreement assigning all rights, duties and benefits, and obligations to Heritage Utilities, LLC under Agreement #16-7021 “Hammerhead and Designated Driveway Construction.” OBJECTIVE: To assign Agreement #16-7021 “Hammerhead and Designated Driveway Construction” to Heritage Utilities LLC. CONSIDERATIONS: On July 11, 2017 (Agenda Item No. 16.C.3), the County entered into Agreement #16-7021 “Hammerhead and Designated Driveway Construction” with Heritage Builders LLC to provide construction and reconstruction services to designated driveways at various locations. The renewal of the Agreement was made in March 2019, for a two-year period ending July 11, 2021. Heritage Utilities, LLC (“Heritage Utilities”) represents and warrants to the County that through an Assignment and Assumption by and between Heritage Builders, LLC and Heritage Utilities, LLC, dated January 1, 2018, it is now the successor in interest to Agreement #16 -7021. Staff obtained the necessary documents from Heritage Utilities to confirm the assignment which have been reviewed and accepted by the County Attorney’s Office. Staff is recommending approval of the Assumption Agreement by Heritage Utilities, LLC assigning all rights, duties, benefits, and obligations under Agreement #16-7021. FISCAL IMPACT: There is no fiscal impact. GROWTH MANAGEMENT IMPACT: There is no Growth Management Impact associated with this Executive Summary. LEGAL CONSIDERATIONS: This item is approved as to form and legality and requires majority vote for Board approval. -JAK RECOMMENDATION: To approve an Assumption Agreement assigning all rights, duties and benefits and obligations to Heritage Utilities under Agreement #16-7021 “Hammerhead and Designated Driveway Construction” and authorize the Chairman to sign said Agreement.
