Agenda 03/25/2008 Item #16E 6 Agenda Item No. 16E6 March 25, 2008 Page 1 of 19 EXECUTIVE SUMMARY Recommendation to authorize the re-assignment of Contract No. 05-3826, "Furnish & Deliver Emulsions Polymer" and 06-3898 "Chemicals for Utilities" from Calciquest, Inc. to Carus Phosphates, Inc., and to release Calciquest, Inc., from liability after the effective date of the Board's consent OBJECTIVE: To obtain approval from the Board of County Commissioner's to authorize the re- assignment of Contract No. 05-3826, "Fumish & Deliver Emulsions Polymer" and 06-3898 "Chemicals for Utilities. from the original party, Calciquest, Inc. to Carus Phosphates, Inc. and approve the release of the original party, Calciquest, Inc. from liability after the effective date of the consent. - CONSIDERATIONS: County staff was notified by letter dated February 4, 2008 that Carus Phosphates, Inc. had acquired the assets of Calciquest, Inc: on December 11, 2006. Following the procurement administration procedures, staff has acquired the necessary documents from Carus Phosphates, Inc., for the Board to approve the re-assignment of this contract. Upon consent Carus Phosphates, Inc., will become the successor in interest by assignment and assumption from Calciquest, Inc. for agreements 05-3826 approved and dated at the June 14, 2005, BCC Board Meeting, Agenda Item 16C8, and Agreement 06-3898 approved and dated at the January 24,2006, Board Meeting, Agenda Item 10E by and between Calciquest, Inc., and Collier County referencing RFP No. 05-3826 and 06-3898. FISCAL IMPACT: There is no fiscal impact associated with this Executive Summary. GROWTH MANAGEMENT IMPACT: There is no Growth Management Impact associated with this Executive Summary. LEGAL CONSIDERATION: The relevant documents have been reviewed and approved as to form and legal sufficiency by the County Attorney's staff. RECOMMENDATION: That the Board of County Commissioners 1. authorizes the reassignment Contract No. 05-3826 and 06-3898 from Calciquest, Inc., to Carus Phosphates, Inc., ; thereby releasing Calciquest Inc., from further liability as of the date of the re-assignment and 2. authorizes the Chainnan to sign necessary documents.
