EXECUTIVE SUMMARY
Recommendation to reject the petition from Waste Management Inc. of Florida for
reimbursement of unusual and unanticipated increase in cost for soil used for odor control
measures at the Collier County Landfill.
OBJECTIVE: To obtain approval from the Board of County Commissioners to reject the
petition submitted by Waste Management Ine. of Florida (WMIF) for reimbursement of unusual
and unanticipated increase in eost for soil used for odor control measures at the Collier County
Landfill.
CONSIDERATIONS: In March 2006, WMIF submitted a petition (Petition) requesting Collier
County (County) to reimburse WMIF for "unusual increases" in the eost of the soil WMIF u8ed
at the Collier County Landfill (Landfill) for odor eontrol measures that WMIF implemented
pursuant to Seetion 2.26 of the Landfill Operation Agreement (LOA). This petition was
submitted pursuant to Section 5.4 of the LOA. On September 13, 2006, WMIF's Petition was
presented to the Board of County Commissioners (Board). The Board authorized County Staff
to evaluate WMIF's Petition in conjunetion with the Staffs evaluation of other issues involving
WMIF's performanee under the LOA.
In support of its Petition, WMIF submitted a report by Morgenstern Phifer & Messina, P.A.,
titled "Effeet of Inereasing Soil Costs of Odor Control Reimbursements from January 2004
through March 2001" (dated May 2007). In this report, WMIF claimed that the cost of soil had
increased significantly and WMIF requested $2,084,957.00 in additional eompensation from the
County.
In accordanee with Section 5.4 of the LOA, the County has repeatedly asked WMIF to provide
complete fmancial and operational records to support WMIF's claim that there has been an
increase in overall operating costs. WMIF also has been asked repeatedly for detailed
information regarding WMIF's use of soil at the Landfill, including the amount of soil used for:
(I) initial cover; (2) the repair of the initial cover after it is traversed by truck traffie or heavy
equipment; (3) temporary aecess roadways to the working faee of the Landfill; (4) the repair of
washouts following rain events; (5) the construction and maintenance of permanent on-site
roadways; (6) intermediate and final cover; and (7) other purposes. To date, WMIF has not
provided this information.
WMIF has not provided adequate information to demonstrate that all of the soil used by WMIF
was required for odor control mea5ures, pursuant to Seetion 2.26 of the LOA. WMIF also has
not provided adequate information to demonstrate that an increase in the cost of soil eaused an
increase in the overall cost of operating the Facility. Without this information, WMIF cannot
demonstrate it has any basis for seeking additional compensation pursuant to Section 5.4 of the
LOA. Therefore, Staffreeommends the Board reject this petition submitted by WMIF.
FISCAL IMPACT: By rejecting the petition from WMIF for $2,084,957 of additional
reimbursement, there is no additional fiseal impaet for this reeommendation.

LEGAL CONSIDERATIONS: Seetion 5.4 of the LOA provides that the "petition shall be
supported by full documentation establishing the increase in its cost of operating costs and the
reasons thereof' and that the "County's sole obligation shall be to reasonably eonsider the
petition and to advise the contractor [WMIF] of its deeision within a reasonable time."
Additionally, Section 5.4 provides that the County "may grant the petition in whole or in part or
may deny it in its entirety in its sole discretion and for any reason whieh it deems sufficient."
The Petition does not provide sufficient information as more fully stated in the Considerations
Section of this Exeeutive Summary. The County may impose conditions on any relief granted. -

contemplated wh~n the Second Amendment wasnegotialed. Unforeseen cost increases not temporary in
manner are subjecl to Section 5.4 adjustment. We will provide additional infonnation as may be requested
by your office to further clarifY and support this petition.
In addition, we wish to discuss with you options to resolve the soil cost reimburs~ment issue On a go-
forward basis. One is the use of alternate daily cover (crushed concrete) as approved by th~ County and the
Florida Department of Environmental Protection.represents a method to stahilize the cover cost increllSClI.
However, the mechanism for reimb1U8ement by the County for our crushed concrete costs must be
clarified. Other uptlons may be available as well.

Dear Mr. Dees,
At your request, we analyzed the effect of increasing soil costs on odor control reimhursements
under the Landfill Operation Agreement (the Agreement) between Collier County and Waste
Management, Inc. of Florida (WMD.
The parties are governed by the Agreement, which has been amended twice. The first
Amendment to the Agreement is dated February 27, 1996 and the second Amendment to the
Agreement is dated June 12, 2001.
Section 2.26(12) of the Agreement establishes the maximum reimbursement rate for odor
control measures, which may be adjusted annually in accordance with Section 5.2 of the
Agreement. Section 5.2 provides for annual adjustments of the maximum reimbursement rate
resulting from changes in the Consumer Price Index. Section 5.3 provides for adjustments
necessitated by changes in law. Additionally, Section 5.4 Df the AgreemeI1t, states:
The contractor may, not more frequently than once every two (2) years petition the
County for an adjustment in the then current fees based upDn unusual and unanticipated
increases in the cost of operating the facility not due to factors otherwise provided in
Sections 5.2 and 5.3 hereof. Any such petition shall be supported hy full documentation
estahlishing the inerease in operating costs and the reasons thereof.
This analysis is made to comply with the provisiDns of this Seetion 5.4.

PROCEDURES PERFORMED
As part of our engagement, we have perfonned the following procedures that fOlm the
basis for our conclusions:
1. We have read the Agreement and related amendments.
2. We have had meetings and conversations with Mr. Chuck Dees, Market Area
Managcr for WMI, Mr. Stephen Zelitt, Market Area Controller for WMI and Ms.
Karyn Bradley, controller at Naples Landfill.
3. We have inspected the monthly Odor Control Reimbursement Invoices for the
period January 2003 through March 2007 and recalculated the initial cover cost
for all months (See Exhibit A).
4. We have reviewed invoices for various vendors providing initial soil covel' to
Naples Landfill.
5. We have reviewed the Collier County Florida - Site Activity Report for the period
January 2004 through March 2007 and selectively tested customer soil tickets to
invoices for dates and weight.
6. We have had conversations with Soil Tech (a soil vendor) pettaining to the cost
associated with providing eover soil to Naples Landfill from January 2004
through December 2005. Discussions included the number of yards delivered in
an average mini-wheeler (dump truck), weight conversions, soil types, soil quality
and various local factors.
7. We have inspected local maps, provided by I\lMI, detailing the location of the
landfill site and the locations of the soil pits where covel' soil has been obtained
during the period from January 2004 through March 2007.
8. We have analyzed the on-highway diesel fuel cost per gallon as provided by the
United States Department of Energy for January 2003 through March 2007 (See
Exhibit B).
9. We have reviewed letters of conespondellce, from current and previous hauling
vendors and pits supplying cover soil, documenting various pricing increases.
10. We have reviewed the WMl prepared Naples Landfill Dirt Reports for January
2005 through February 2007 and Soil Cover RepOlts for January 2003 through
February 2007.
11. We have reviewed the East Tech protective cover report dated March 2, 2007,
including protective cover quotations from various vendors.

COMPUTATION OF REIMBURSEMENTS
Section 2.26 was added to the Agreement as part of the second Amendment to ensure that the
landfill does not cause objectionable odors on off-site areas. Section 2.26(2) provides for
reimbursement by the County for the reasonable out-of-pocket costs inculTed for undertaking and
iniplementing odor control measures.
Section 2.26(4) - (7) provides formulas for calculating the amount of reimbursement for odor
control measures, as follows:
1. Section 2.26(4) provides for reimbursement at $.36 per ton of solid waste disposed
2. Section 2.26(5) provides for reimbursement for off-site soil purchased and used for initial
soil cover based on the quantity of soil purchased and the cost per cubic yard, limited to
28% of the volume of solid waste disposed
3. Section 2.26(6) provides for reimbursement for lost air space as a result of implementing
odor control measures at a rate of $2.35 per cubic yard of soil purchased as adjusted for
infiltration and compaction, limited to 28% of the volume of 50lid waste disposed
4. Section 2.26(7) defines the maximum quantity of soil that the County will reimburse
WMI for (this is the 28% limit referred to in 2 and 3 above) based on a ratio of .65 cubic
yards per ton of solid waste disposed
Section 2.26(12) specifies that the maximum amount of reimbursement for odor control
measures shall not exceed $3.86 per ton of solid waste disposed. The initial $3.86
reimbursement rate has been adjusted annually based on changes in the Consumer Price Index.
The current reimbursement rate for 2007 is $4.43 per ton of solid waste disposed.
Exhibit C graphically illustrates the relationship between the various components that make up
the total initial cover costs described above.
CONTRACTUAL LIMIT ON REIMBURSEMENT
As specificd in Section 2.26(7), thc maximum quantity of soil that the County will reimburse
WMI for is limited to 28% of the quantity of solid waste disposed of based on a ratio of .65 cubic
yards per ton (see Exhibit D). Due to this soil quantity reimbursement limit, WMI has a vcsted
intercst in obtaining the best soil for the lowest price possible. The contract effecti vely requires
that WMI obtain soil which provides the most effectivc coverage.
Based on our review of letters of correspondcnce, request for bids and bid proposals we believe
that WMI has made reasonable efforts to obtain the best price possible in the midst of rapidly
changing market conditions. In addition, WMI has, at various times, purchased soil for
inventory in advance of anticipated price increases ill order to minimize the cost of soil
purchased. In its effort to minimize cost to the County, WMI has borne the burden of these
inventory purchases because of the monthly soil quantity reimbursement limit referred to above.

CONTRACTUAL LIMIT ON REIMBURSEMENT (continued)
For the period January 2003 through March 2007, except for August 2004, July and September
2006 and March 2007, WMI has purchased soil in excess of the maximum allowable (see Exhibit
D). WMI has not requested reimbursement for excess soil purchases on the monthly Odor
Control Reimbursement invoices. Exhibit D also illustrates that the total soil purchased
cOlTesponds to the amount of garbage disposed each month. A limited amount of the soil
purchased has been used for intelmediate cover. All soil used for cell construction was billed
directly to the constrnction contractor by the dirt haulers and subsequently passed on to WMJ in
the construction progress billing process.
This report excludes the effect of excess soil purchases from the computation of unreimbursed
costs. Our calculation is limited to measuring the effect of the unusual and unanticipated
increase in the initial cover soil cost per yard, subject to the soil quantity reimbursement limit
discussed above.
mSTORY OF SOIL COSTS
During 2001 when the seeond amendment to the Agreement was implemented, the cost of initial
cover soil was approximately $5.50 per cubic yard, This price remained relatively stable until
approximately July 2004. At that time, prices began to rise sharply and have continued through
the present. As of March 2007, the cost of cover soil is approximately $17.66 per cubic yard.
As illustrated in the table below (and also in Exhibit E), the price of cover soil has increased at a
rate that far exceeds the Consumer Price Jndex (CPJ). The following table illustrates the change
in average soil cost adjusted for changes in the CPI as compared to the actual change in average
soil costs:

MAlU<ET FACTORS
The lack of available soil in Collier County and the inerease in fuel costs have accelerated the
cost of acquiring and delivering protective cover material for Naples Landfill. The East Tech
report found that there is a scarcity of materials due to rapid development and lack of permitted
mines. Additionally, the rcport found that suppliers would not guarantee the quantity of the
material. These findings were corroborated through conversation with a representative of Soil
Tech. The price of delivering the material has also increased over thc past several years. This
increase appears to be the result of the combination of extended travel distances and higher
diesel fuel prices.
Early in the contract, Naples Landfill was acquiring soil from pits located in Collier County. As
soil became scarce in Collier County, WMI began purchasing soil from pits outside of Collier
County. Currently, WMI is obtaining bids for the purchase of soil from counties as far away as
Sarasota County, [n addition during the same time period, fuel costs, as illustrated in Exhibit B,
have increased at a rate exceeding the Consumer Price Index. The combination of these two
factors has resulted in unusual incl-eases in delivery costs that were not anticipated by WM[ at
the time of the second amendment to tJle Agreement.
CALCULATION OF UNREIMBURSED COSTS
Following is our calculation of unreimbursed costs incurred by WMI based on actual initial soil
covcr costs compared to maximum reimbursement rate as adjusted annually based on changes in
the Consumer Price Index. This calculation is based on the soil quantity reimbursement limit as
dermed in Section 2.26(7). The results are as follows:

CONCLUSION
Based on our analysis, it is our conclusion that WMI has incurred unreimbursed costs totaling
$2,084,957. In addition, WMI will continue to incur unreimbursed costs resulting from unusual
increases in soil cover costs until the existing contract is modified to allow for reimbursement at
current market prices.
We reserve the right to modify our findings as a result of changes in information relied upon in
the preparation of this repOlt 01' in the event that new facts or circumstances come to our

Re: Historical Cover Soil Usage at the Collier COIUlty Landfill
Dear Mr. Wong:
Collier County is preparing its 2006 Solid Waste Annual Update and Inventory Report (AUIR).
As you may be aware, the AUIR is a County planning document used to demonstrate compliance
with the solid waste, amongst other elements of its Growth Management Plan. A key component
of the Solid Waste AUIR is estimating the remaining disposal capacity at the County's Landfills.
In order for the Solid Waste Management Department to accurately update and complete our
2006 AUIR, we require a breakdown of actual soil usage for Fiscal Years 2000 through 2006.
Please note that the County's Fiscal Year starts on October I and closes on September 30.
The County's scalehouse records are effective for tracking soil delivered to the Landfills using
the following categories:
. Backfill 6" Plus;
. Daily Cover In;
. Soil Tested;
. Limerock Cover In;
. Road Base; and
. Clay/Int.
However, these categories do not necessarily reflect the actuaI usage of soil on-site (e.g" initial
cover, intermediate cover, side slope repairs, etc.). Therefore, I am requesting that you provide
an actual accounting of cover soil usage at the Immokalee and Collier County Landfills, based on
the following categories for Fiscal Years 2000 through 2006:
. The total soil (tons) delivered to the County's Landfills;
. The quantity (tons) of soil that was used for iuitial cover;
. The quantity (tons) of soil that was used for intermediate cover; and
. The quantity (tons) of soil that was used for side slope reclamation, road base or other
repairs.
