EXECUTIVE SUMMARY
Recommendation to confirm and consent to the re- assignment of Contract No.
07 -4126, Janitorial Services from OneSource Facility Services Inc. to ABM
Janitorial Services - Southeast, Inc.
OBJECTIVE: To obtain the Board of County Commissioners' approval of the re- assignment of
Contract No. 07 -4126, from the original party, OneSource Facility Services, Inc. to ABM
Janitorial Services - Southeast, Inc. and approve the release of the original party, OneSource
Facility Services, Inc. from liability after the effective date of the consent.
CONSIDERATIONS: The original contract was dated September 11, 2007, and approved by
the BCC as Agenda Item 10.G. The Contract was by and between OneSource Facility
Services, Inc. and Collier County. Facilities Management Department utilizes the janitorial
services provided under this contract.
Subsequently, ABM Janitorial Services - Southeast, Inc. purchased the stock of OneSource
Facility Services, Inc. on July 1, 2008. County staff was notified on July 7, 2008, of the stock
purchase. Following the Procurement Administration Procedures, staff has acquired the
` necessary documents from ABM Janitorial Services - Southeast, Inc., which have been reviewed
and approved by the County Attorney's staff. The Facilities Management Department is
recommending approval of the re- assignment of this Contract to the new firm, ABM Janitorial
Services - Southeast, Inc.
FISCAL IMPACT: There is no fiscal impact.
GROWTH MANAGEMENT IMPACT: There is no Growth Management Impact associated with
this Executive Summary.
RECOMMENDATION: That the Board of County Commissioners confirms and consents to the
re- assignment of Contract No. 07 -4126 from OneSource Facility Services, Inc. to ABM Janitorial
Services - Southeast, Inc. and to release OneSource Facility Services, Inc. from liability after the
effective date of the consent; and authorizes the Chairman to sign the necessary amendment
upon County Attorney Review.

This Form of Consent, dated to the referenced agreement shall be by and
between the parties to the original Contract, OneSource Facility Services, Inc. (to be referred to as
"Contractor ") and Collier County, Florida, (to be referred to as "County ").
Statement of Understanding
Re: Contract dated September 11, 2007, BCC Agenda Item 10.G, by and between OneSource Facility
Services, Inc. and Collier County referencing Bid #07 -4126, "Janitorial Supplies ", to which ABM
Janitorial Services - Southeast, Inc. has become a successor in interest by assignment and assumption from
OneSource Facility Services, Inc. ( "Assignment ").
Collier County confirms and consents to the Assignment and release of OneSource Facility Services, Inc.
liability from and after the effective date of the consent of the Assignment in return for ABM Janitorial
Services - Southeast, Inc.'s assumption, as of July 1, 2008, of all rights and duties of OneSource Facility
Services, Inc. under the Contract.
