Agenda 10/28/2008 Item #16D 1 Aqenda Item No. 16D1 ~ October 28,2008 Page 1 of 9 EXECUTIVE SUMMARY Recommendation to approve a sole source Agreement for Officiating Services with Collier Recreation Baseball/Softball Umpires Association (CRBSUA) for officials for adult softball games, with an anticipated Fiscal Year 2009 expenditure of $60,000. Obiective: To provide high-quality, low-cost officials for adult softball leagues. . Considerations: The Parks and Recreation Department enters into an agreement with Collier Recreational Baseball/Softball Umpires Association (CRBSUA) for officiating services for adult softball games. CRBSUA is the only provider of officiating services in Collier County. There are no other local organizations that provide officiating services. CRBSUA officials are required to be registered in the applicable local, state, and national organizations specific to their sport, and CRBSUA is required to provide $500,000 in liability insurance coverage. The term of this Agreement is for three (3) years with the option of a one (1) year renewal with an incremental rate increase in 2009 and 2010 with an optional one-year extension. CRBSUA offers its services to Collier County at the lowest rates it accepts. ","'-' Fiscal Impact: Anticipated expenditures for officiating services for Fiscal Year 2009 are approximately $60,000. Funds are budgeted within the Other Contractual Services line item within the Parks and Recreation Athletics and Special Events Budget. Signature PURCHASING APPROVAL Date l Agenda Item No. 1601 October 28, 2008 Page 5 of 9 AGREEMENT FOR OFFICIATING SERVICES This Agreement entered into this 28th day of October 2008, by and between the Board of County Commissioners of Collier County, Florida. hereinafter referred to as the "County" and the Collier Recreation Baseball/Softball Umpires Association of Naples, Florida, hereinafter referred to as '''CRBSUA''. The parties hereto agree as follows: SECTION I - CRBSUA will furnish game officials for all adult softball games in the Naples area. SECTION Il - The County shall pay CRBSUA, for furnishing adult softbal1 officials in the Naples area. the following rates payable as provided herein: October 1,2008 - September 30, 2009: $_23.00_ per game per official Two officials per game. October 1,2009 - September 30, 2010: $_24.00_ per game per official Two officials per game. October 1,2010 - September 30,2011 ; $_25.00_ per game per official Two officials per game. The rates include extra inning games. SECTION III: CRBSUA shall provide: A. Officials for all games, minimum of two (2) officials per game. B. A pre-season list of registered officials for consideration by the County shall be furnished to the County before each season or league. The officials must be registered in the local. state, or national organization specific to their sport. C. The County shall have the authority to review the conduct and effectiveness of officials. The County reserves the right to require CRBSUA to replace any official who is deficient in meeting standards established by the Amateur Softball Association and the County. SECTION N . In the event of postponement or cancellation of a scheduled contest herein, the County shall bear no cost if the game officials(s) or a Board Member of CRBSUA is notified one hour prior to game time. A. If the game official(s) are not notified of postponement or cancellation prior to arrival at the field for a scheduled contest, the official(s) will be compensated for one game even though no game is played. B. In the event a contest which is in progress is canceled due to inclement weather, electrical outage, or circumstances beyond the County's or Agenda Item No. 16D1 October 28, 2008 Page 6 of 9 I CRBSUA's control, official(s) will be paid for games completed and any games in progress at the time of cancellation. SECTION V - The Agreement shall be in effect from October 1, 2008 through September 30,2011 with the option ofa one (1) year renewal. The County and CRBSUA may agree to extend this Agreement under all of the terms and conditions contained in this Agreement for up to (1) one additional year following expiration of the renewal term. Incremental rate increases are allowed during the 2009 and 2010 tenns. Amendments to this Contract shall be in writing and signed by both parties. SECTION VI - Payment of officials will be made in accordance with Collier County Purchasing Department and Finance Department procedures. CRBSUA shall render to the County a biweekly statement showing the number of games worked by its official(s). The statement shall contain a certification by an officer of CRBSUA that he/she has reviewed the statement and that the information contained therein is true and correct. This statement shall be mailed to: Collier County Parks and Recreation Department Attention: Athletic Supervisor 15000 Livingston Road Naples, Florida 34109 SECTION VII - It is expressly understood that CRBSUA officials are independent contractors and therefore are not entitled to benefits normally afforded employees of the County. This provision shall not apply to any County employee who acts as an official. SECTION VIII - CRBSUA must include as part of this Agreement, a Certificate of Insurance verifYing a minimum of $500,000 Liability Insurance covering their acts, omissions or negligence hereunder. Should this insurance coverage expire within the terms of their contract, CRBSUA must provide proof of $500,000 Liability Insurance 24 hours prior to the expiration date of the previous policy. The failure of CRBSUA to provide said documentation to the satisfaction of the County shall automatically terminate this Agreement. SECTION IX - CRBSUA agrees to verbally notify the County's athletic supervisor as to the time and location of organizational meetings one week prior to the respective meeting date. SECTION X - All notices from the County to CRBSUA sball be deemed duly served ifmailed by registered or certified mail to CRBSUA at the following address: Collier Recreation Baseball/Softball Umpires Association Mr. Irv Kohn 4246 Longshore Way North Naples, FL 34119 2 Agenda Item No. 1601 October 28,2008 Page 7 of 9 All notices from CRBSUA to the County shall be deemed duly served if mailed by registered or certified mail to the County to: Collier County Parks and Recreation Department Attention: Athletic Supervisor 15000 Livingston Road Naples, Florida 34109 CRBSUA and the County may change the above mailing addresses at any time upon giving the other party written notification. SECTION XI - If CRBSUA fails to comply with any of the terms and conditions hereof and such default is not cured within five (5) days after written notice is given to CRBSU A, the Cmmty may terminate this Agreement. SECTION Xli - The CRBSUA will not use, nor suffer or permit any person to use in any manner whatsoever, County facilities for any improper, immoral or offensive purpose, or for any purpose in violation of any federal, state, county, or municipal ordinance; role, order, or regulation; or of any governmental role or regulation not in effect or hereafter enacted or adopted. In the event of such violation by CRBSUA, or if the County or its authorized representative shall deem any conduct on the part of CRBSUA to be objectionable or improper, the County shall have the right to suspend this Agreement with CRBSUA should CRBSUA fail to correct any such violation, conduct, or practice to the satisfaction of the County within 24 hours after receiving notice of such violation, conduct, or practice, such suspension to continue until the violation is cured_ CRBSUA further agrees not to continue performance under this Agreement occurring the suspension period until the violation has been corrected to the satisfaction of the County. SECTION XIII - CRBSUA agrees that there shall be no discrimination as to race, gender, color, creed, or national origin. SECTION XlV - Nothing herein contained shall be created or be construed as creating a partnership between the County and the CRBSUA or to constitute CRBSUA as an agent of the County. CRBSUA is an independent contractor. SECTION X"V - Certificate(s) of Insurance - All CRBSUA officials belong to the ASA (Amateur Softball Association) and are thereby covered by the amount of insurance required in Section vrn.
