EXECUTIVE SUMMARY
Recommendation to approve the Assumption Agreement under Contract No. 07-4176
"Purchase of Lime Rock aud Fill Material, Fixed Term Contract" from Florida Rock
Industries, Inc. by Vulcan Materials Company.
OBJECTIVE: To complete the assignment of Contract No. 07-4176 from the original party, Florida
Rock Industries, Inc. to Vulcan Materials Company ("Vulcan").
CONSIDERATIONS: The ori!,,;nal contract was dated October 9, 2007, and approved by the BCC as
Agenda Item 16.B.2. The Contract was by and between Florida Rock Industries and Collier County. The
Road Maintenance Department utilizes the services provided under this contract.
Subsequently, Vulcan purchased the assets of Florida Rock Industries, Inc. County staff was notified on
October 23,2008, of the asset purchase. Following the Procurement Administration Procedures, staff has
acquired the necessary documents from Vulcan which have been reviewed and approved by the County
Attorney's staff. The Road Maintenance Department is recommending approval of the assumption of this
Contract by the new firm Vulcan.
FISCAL IMPACT: There is no fiscal impact.
_ GROWTH MANAGEMENT IMPACT: There is no Growth Management Impact associated with this
Executive Summary.
LEGAL CONSIDERATIONS: The County Attorney prepared this fonn agreemcnt, which is lcgally
sufficient for Board action. This item is not quasi judicial and requires simple majority vote. -JAK
RECOMMENDATION: That the Board of County Commissioners approves the Assumption
Agreement of Contract No. 07-4167 by Vulcan from Florida Rock Industries, Inc., and authorizes the
Chairman to sign the Assumption Agreement upon County Attorney Review.

ASSUMPTION AGREEMENT
This Assumption Agreement is made and entered into as of , 2008, by
and between Vulcan Materials Company ("Vulcan"), and Collier County, a political subdivision
of the State of Florida ("County"),
WHEREAS, on October 9, 2007, the Collier County Board of COWlty Commissioners
entered into Agreement 07-4167 for "Purchase of Lime Rock and Fill Material, Fixed Term
Contract" with Florida Rock Industrics, Inc. (attached hereto as Exhibit A, and hereinafter
referred to as the" Agreement"); and
WHEREAS, Vulcan hereby represents to Collier County that by virtue of an asset
purchase agreement, Vulcan is the successor in interest to Florida Rock Industries, Inc. in
relation to the Agreement; and
WHEREAS, the parties wish to formalize Vulcan's assumption of rights and obligations
under the Agreement, effective as of the date first above written.
NOW THEREFORE, IN CONSIDERATION of the mutual promises in this Assumption
Agreement, and for other good and valuable consideration, the receipt and sufficiency of which
are acknowledged by the parties, it is agreed as follows:
1. Vulcan accepts and assumes all rights, duties, benefits, and obligations of the
Contractor under the Agreement, including all existing and future obligations to pay and perform
under the Agreement.
2. Except as expressly stated, no further supplements to, or modifications of, the
Agreement are contemplated by the parties.
3. Notice required under the Agreement to be sent to Contractor shall be directed to:

4. The County hereby consents to Vulcan assumption of the Agreement. No waivers
of performance or extensions of time to perform are granted or authorized. The County will treat

Subject: Vulcan Completes Florida Rock Aa:iuisition
Yesterday, Vulcan received final approval from the Department of Justice to complete our acquisition of Florida
Rock and the dosing took place this morning. You may find additional details in the attached news release and
on ourwebsite. www.vulcanmaterials.com.
The terms of our agreement with the Department of Justice require us to dwest a total of eight facilities within gO
days of closing. We plan to use asset swaps to !he extent possible to meet our divestiture requirements. Vulcan
sites required to be sold are the Red Oak quarry and Butts County greenfield site in Georgia. Florida Rock
facilities that must be sOld are quarries in Chattanooga, Tennessee; Columbus, Paulding, Six Mile and Tyrone,
Georgia; Richmond, Virginia and the Gilmerton Yard near Chesapeake, Virginia.
The large number of remaining Florida Rock facilities wiD become part of the new Vulcan Florida Rock Division or
combined into existing Vulcan divisions as follows.
The Southern & Gulf Coast DiviSion will acquire Florida Rock facilities in Kentucky, Illinois and Alabama.
The Mideast Division will acquire Vll9inia, Maryland and Delaware operations with the exception of Florida Rock's
Northem Concrete business, which will continue as a separate unit Northern Concrete will be managed by Diggs
Bishop of Florida Rock, who will report to Mac Badgett In addition, Florida Rock's North Carolina pre-stressed
concrete lacility will be part of the Florida Rock Dwision.
The Southeast Division will acquire all of Florida Rock.s Georgia facilities with the exception of ready-mix
operations, which will be part of the new Florida Rock Division.
The Florida Rock Division will be composed of all Vulcan and Florida Rock operations in Florida and Florida Rock
ready-mix facilities in Georgia The Division will have its headquarters in Jacksonville. Florida Rock Division
President Tom Baker will report to Mac Badgett

Birmingham, AL, November 16, 2007 - Vulcan Materials Company (NYSE: VMC) today
announced tile completion of its acquisition of Florida Rock Industries, Inc. (NYSE: FRK), a
leading producer of construction aggregates, cement. concrete and concrete products in the
Southeast and Mid-Atlantic states, for total consideration to Florida Rock shareholders of
approximately $4.2 billion based on the closing price of Vulcan stock on November 15,2007.
The acquisition further diversifies the geographic scope ofVu]can's operations, providing the
Company with an enhanced presence in attractive Florida markets and in other bigh-growth
Southeast and Mid-Atlantic states while also bringing Vulcan more than 2 billion tons of
aggregates reserves in markets where reserves are increasingiy scarce.

Under the tenns oftheagreement announced on February 19, 2007, Vulcan Materials Company
stockholders are to receive one share of common stock in a new holding company (whose
subsidiaries will be Vulcan Materials Company and Florida Rock) for each Vulcan Materials
Company share.
Former Florida Rock stockholders will receive either 0.63 shares ofthe new holding company or
$67.00 in cash, without interest, for each Florida Rock share, subject to proration, to ensure that
in the aggregate 700/0 of Florida Rock shares will be converted into cash and 30% of Florida
Rock shares will be convened into stock. The pro rata allocation of cash and stock payable to
the electing holders will be announced following receipt of the final election results, which are
expected to be available on or about November 21,2007. In connection with the completion of
the transaction, Florida Rock's shares will no longer be traded on the NYSE.
