THIS UTILITY EASEMENT, made and entered into this 3 day of.

THE DISTRICT SCHOOL BOARD OF COLLIER COUNTY, FLORIDA, whose mailing address
is 5775 Osceola Trail, Naples, FL 34109-0919, as Grantor, to the BOARD OF COUNTY
COMMISSIONERS OF COLLIER COUNTY, FLORIDA, AS THE GOVERNING BODY OF
COLLIER COUNTY AND AS EX-OFFICIO THE GOVERNING BOARD OF THE COLLIER
COUNTY WATER-SEWER DISTRICT, whose mailing address is 3335 East Tamiami Trail, Suite
101, Naples, Florida 34112, as Grantee.
(Wherever used herein, the terms "Grantor" and "Grantee" include all parties to this
instrument and their respective heirs, legal representatives, successors and assigns.)
WITNESSETH:
Grantor, for and in consideration of TEN DOLLARS ($10.00) and other valuable
consideration paid by the Grantee, the receipt and sufficiency of which is hereby acknowledged,
hereby conveys, grants, bargains and sells unto the Grantee, a perpetual, non-exclusive utility
easement for the purpose of constructing and maintaining utility facilities, upon, under and across
the following described lands located in Collier County, Florida, to wit:
See attached Exhibit "A"which
is incorporated herein by reference.
Subject to easements, restrictions, and reservations of record.
THIS IS NOT HOMESTEAD PROPERTY.
TO HAVE AND TO HOLD the same unto the Grantee together with the right to enter upon
said land, excavate, and place or remove materials, including, but not limited to, wastewater lines
and pipes, service, and other equipment or improvements appurtenant thereto or thereunder for
the purpose of constructing, operating, and maintaining utility facilities thereon. Grantor grants
Grantee reasonable ingress and egress over its adjacent property to access the easement area
as defined in Exhibit "A". Grantor and Grantee are used for singular or plural, as the context
requires. The easement granted herein shall constitute easements running with the land and
shall burden the lands described above.
Subject to the limitations of Section 768.28, Florida Statutes, Grantee shall indemnify, defend and
hold Grantor harmless from and against any and all losses, costs, damages, liens, claims,
liabilities or expenses (including, but not limited to, reasonable attorneys' fees, court costs and
disbursements) incurred by Grantor arising from or by reason of Grantee's access to, or use of
the easement area or utility facilities installed therein.
ADDITIONALLY,the rights and interest conveyed hereunder are conditioned upon the reasonable
exercise thereof by Grantee. Grantee agrees not to unreasonably interfere with Grantor's use of
the lands described in Exhibit "A" and that Grantee shall coordinate and schedule with Grantor
(or its staff)the times and dates for construction or maintenance of the utilities. All utilities installed
and maintained by Grantee shall be underground, with the exception of air release valves.
Grantee further agrees that it shall, at the Grantee's sole cost and expense, restore and repair
any and all damage caused to Grantor's property or improvements as a result of Grantee's use
of this Utility Easement.
