RECITALS: WHEREAS,the Developer is seeking approval of a Planned Unit Development, located at the southeast corner of Immokalee Road and Collier Boulevard, known as the Baumgarten Mixed Use Planned Unit Development (MPUD) (hereinafter referred to as the "Development") and as shown as Exhibit A; and WHEREAS,the County has a planned Single Point Urban Interchange(hereinafter referred to as the "SPUI" or more simply as the "Overpass") at the intersection of Immokalee Road and Collier Boulevard, which is likely to be constructed long after the anticipated completion of the Development; and WHEREAS,the County's conceptual plans for the Overpass has the stormwater generated by the Overpass going partly to the Cocohatchee Canal on the north side of Immokalee Road and partly to the Development on the south side of Immokalee Road; and WHEREAS,among other considerations,as set forth below,in exchange for(1)the County reserving capacity within its transportation system for the entire Development as initially approved, in lieu of any "pay and go" amount; (2) the County allowing the Development certain access points on Collier Boulevard and Immokalee Road; and(3)the County agreeing to permit a traffic signal at the Development's access point on Collier Boulevard,the Developer is willing to (1) design the Development to receive and treat the stormwater created by the planned Overpass; (2)donate 1.34 acres along Immokalee Road;and(3)grant the County an additional 20-foot utility easement along Immokalee Road to accommodate among other things a future FPL transmission and distribution line relocation; and WHEREAS, in lieu of setting forth the below commitments in the MPUD,the parties wish to enter into this Agreement as a companion agreement to the Baumgarten MPUD, which would allow for an easier amendment of these commitments should circumstances dictate. WITNESSETH NOW,THEREFORE, in consideration of Ten Dollars(10.00)and other good and valuable consideration exchanged amongst the parties, and in consideration of the covenants contained herein, the parties agree as follows: 1. All of the above RECITALS are true and correct and are hereby expressly incorporated herein by reference as if set forth fully below. 0 1 1 A Developer Commitments 2. The County has previously provided Developer with a copy of the conceptual plans for the Overpass,which is graphically depicted as Exhibit B. The Developer will design and permit its stormwater management system for the Development to receive and treat the stormwater created by the planned Overpass. It is hoped that the stormwater generated by the westerly portion of the Overpass will be allowed to flow into the Cocohatchee Canal. The capacity needed by the planned Overpass, and where the stormwater may be discharged, will be determined during the Developer's South Florida Water Management District (SFWMD) Environmental Resource Permit (ERP) process, with the final stormwater management system needed by the Overpass agreed upon by the Developer, the Water District, and the County. In the event that SFWMD will not permit any direct discharge into the Cocohatchee Canal,the Developer will design and permit its stormwater management system to receive and treat all of the stormwater generated by the Overpass. Developer will not be liable in any regard should the actual capacity needed by the constructed Overpass exceed what the Developer,the Water District,and the County agreed upon. At the time of the construction of the Overpass, Collier County will be responsible for modifying the SFWMD ERP. 3. To allow for the future connection by the County of the stormwater generated by the Overpass, prior to the issuance of the first Certificate of Occupancy for the Development, Developer shall install 3 manholes and associated conveyance piping on the south side of Immokalee Road frontage, as set forth in conceptual Exhibit C. The County and the Developer will work together to ensure that the manholes and associated conveyance piping are sized correctly and installed at the proper elevation to accommodate the future Overpass drainage. The internal conveyance will be designed to accommodate the hydraulic grade line elevation between the manholes and the stormwater treatment areas. Pipe sizes and required elevations will be finalized during the Developer's SFWMD ERP process. For this portion of the project, Collier County will require two easements. The first is an easement to allow for the ultimate connection of the stormwater pipes from the Overpass into the manholes. The second is for a drainage and maintenance easement along the conveyance pipes from the manholes to the stormwater lake and discharge. Within 90 days of the first plat approval for the Development, Developer will grant County both easements, the forms of which are attached as Exhibit D. Costs associated with acquisition (title work, doc stamps, recording, etc.)to be paid by the Developer. No Certificates of Occupancy shall be issued until the easements are recorded. 4. Upon completion of the overpass,every five years the Developer shall be required to perform an inspection to assess the condition of the stormwater system. The report shall be forwarded to the County for monitoring. The Developer and its successors in interest will be solely responsible for the perpetual operation and maintenance of the shared storm water management system, which includes everything from the manholes, to the conveyance pipes, to the stormwater lakes, to the ultimate discharge into the canal along Collier Boulevard. Notwithstanding the sole maintenance responsibility, the parties acknowledge that due to the importance of the drainage from the Overpass, the above drainage easement will include a maintenance easement to allow Collier County to do whatever it deems necessary to repair or maintain the drainage system. If, after reasonable written notice to Developer of a repair or 2 0 1 1 A maintenance issue concerning the shared storm water management system goes unheeded, the County may enter the Development for the purpose of repairing or maintaining the system, and Developer will pay the County its full cost incurred in conducting such repair or maintenance. 5. Prior to the issuance of the first Certificate of Occupancy within the Development, the Developer will convey to Collier County via Warranty Deed at no cost to the County (1) approximately 1.34 acres in fee simple, free and clear of all liens and encumbrances along the south side of the Immokalee Road Right-of-Way to Collier County (a copy of the Warranty Deed is attached as Exhibit E); and (2) at no cost to the County, a 20-foot Utility Easement along the Immokalee Road frontage to accommodate future FPL transmission and distribution line relocation, slope, lighting, utilities, drainage, etc., along with other utilities (a copy of the Utility Easement is attached as Exhibit F). The Developer may utilize this 20' easement area for landscape buffers, which landscaping and associated irrigation from time-to-time may need to be replaced by Developer at Developer's sole cost and expense due to construction activities. 6. The ROW required for future turn lanes (left and right)and entrance features along Immokalee Road and Collier Boulevard for the Development has been provided as a part of the easements described above. No additional "compensating ROW" will be required of the Developer. As a part of the preparation of the Construction Plan and Plat (PPL) for the development of the Baumgarten MPUD, the Developer will overlay the conceptual plans for the SPUI on the proposed plat boundary and provide to Collier County for review and comment to verify that the proposed ROW dedication is consistent with the conceptual plan for the SPUI. 7. The construction of the SPUI will require relocation of the FPL Transmission poles from the north side of Immokalee Road to the south side of Immokalee Road along the Development's frontage. The final design of the relocations may require minor additional Utility Easements from the Developer. At the time of the final design and permitting for the SPUI requiring relocation of the FPL Transmission poles, Developer and/or its successors in interest, at its sole cost and expense, will coordinate with FPL on a relocation design. 8. Developer, on behalf of itself, its successors and assigns (including any and all future owners and tenants,both commercial and residential,within the Development),hereby(1) waives any and all claims for compensation and damages, including but not limited to future business damages and loss of access, from Collier County as a result of the Overpass or its construction; and (2) will give all successors, assigns, tenants and buyers, both residential and commercial, who purchase or lease land from the Developer a separate written notice of the planned Overpass with the statement that the County will not construct any sound wall or other barrier of any kind to reduce the impact, noise, etc. of the Overpass. Collier County Commitments 9. The County will allow access points on Collier Boulevard and Immokalee Road as shown on the Access Management Exhibit attached as Exhibit G. 10. Access to the Development that is aligned with Goodland Bay Drive will consist of a right in,right out,and left in to the site. Continuance of the left in to the site will be dependent 3 1 1 A on future safety considerations. 11. As illustrated in Exhibit H, Collier County will permit a traffic signal at the Development's access point on Collier Boulevard that will be aligned with the existing directional access into the Shoppes at Pebblebrook. The Developer shall provide a signal warrant study signed and sealed by a professional engineer as part of the right-of-way permit application for the traffic signal. The County's objective is to have dual lefts on all approaches of the intersection. The County shall have final approval of lane configuration for the signalized intersection. Developer will be responsible for all design, permitting and construction costs of the traffic signal. The traffic signal must be operational no later than issuance of the first Certificate of Occupancy for the Development. It is anticipated that Developer and the Pebblebrook owners will pay their fair share proportionate costs for this traffic signal. The County will cooperate and assist the Developer in obtaining reimbursement from the Richland PUD, Ordinance 02-07, for its proportional share of the costs to design, permit and construct the warranted traffic signal. 12. The Developer will be responsible for the costs associated with site specific improvements to serve the Development (turn lanes, traffic signal, pathways, etc.). Bridges providing pedestrian or vehicular traffic to the Development from Collier Boulevard will be constructed to those County standards existing at the time of Site Development Plan or plat approval. Bridge width shall be approved by the County based on approved lane configuration accessing the traffic signal. Pedestrian access across the bridge shall be provided on both the north and south sides. The Developer shall own and maintain to County standards all bridges that provide vehicular or pedestrian access to the Development. 13. In lieu of any "pay and go" amount, the property owner agrees that it will not receive impact fee credits or any other consideration for the value of any of the Developer commitments set forth herein. In consideration of receiving these benefits, the County shall reserve capacity within its transportation system for the entire Development as defined in the initial MPUD. Legal Matters 14. This Agreement shall not be constructed or characterized as a development agreement under the Florida Local Government Development Agreement Act. 15. The burdens of this Agreement shall be binding upon, and the benefits of this Agreement shall inure to, all assigns successors in interest to the parties to this Agreement. The term"Developer" shall include all of Developer's assigns and successors in interest. 16. Developer acknowledges that the failure of this Agreement to address any permit, condition, term or restriction shall not relieve either the applicant or owner or its successors or assigns, of the necessity of complying with any law, ordinance rule or regulation governing said permitting requirements, conditions, terms or restrictions. 17. In the event state or federal laws are enacted after the execution of this Agreement, which are applicable to and preclude in whole or in part the parties' compliance with the terms of 4 CAO; 1 1 A this Agreement, then in such event this Agreement shall be modified or revoked as is necessary to comply with such laws, in a many which best reflects the intent of this Agreement. 18. Developer shall execute this Agreement prior to it being submitted for approval by the Board of County Commissioners. This Agreement shall be recorded by the County in the Official Records of Collier County, Florida, within fourteen (14) days after the Effective Date. Developers shall pay all costs of recording this Agreement. The County shall provide a copy of the recorded document to the Developers upon request. 19. In the event of any dispute under this Agreement,the parties shall attempt to resolve such dispute first by means of the County's then-current Alternative Dispute Resolution Procedure, if any. Following the conclusion of such procedure, if any, either party may file an action for injunctive relief in the Circuit Court of Collier County to enforce the terms of this Agreement,and remedy being cumulative with any and all other remedies available to the parties for the enforcement of the Agreement. 20. Except as otherwise provided herein, this Agreement shall only be amended by mutual written consent of the parties hereto or by their successors in interest. All prior representations, undertakings, and agreements by or between the parties hereto with respect to the subject matter of this Agreement are merged into, and expressed in, this Agreement, and any and all prior representations, undertakings, and agreements by and between such parties with respect thereto hereby are canceled. 22. Nothing contained herein shall be deemed or construed to create between or among any of the parties any joint venture or partnership nor otherwise grant to one another the right, authority or power to bind any other party hereto to any agreement whatsoever.
