EXECUTIVE SUMMARY
Recommendation to terminate the contract awarded to American Earth Movers, Inc.
for Bid No. 08-5135 "Bridge Repairs (Chokoloskee, Goodland, Green Bonlevard and
Oil Well Road)" in the amount of $720,000.00, and to award a contract to Kelly
Brothers, Inc. in the amount of $771,546.00 for Bid No. 08-5135, Project 66066.
OBJECTIVE: To obtain the Board's approval to terminate the contract 08-5]35 that was
awarded to American Earth Movers, Inc. on December 2, 2008, by the BCC for Bridge
Repairs (Chokoloskee, Green Boulevard and Oil Well Road), without cause as allowable
under the agreement and to award the contract to Kelly Brothers, Inc. in accordance with Bid
No. 08-5135.

CONSIDERATIONS: The project was submitted for advet1isement of bids on September
29, 2008. A non-mandatory pre-bid meeting was held on October 15, 2008. Bids were
opened on November 5, 2008. The scope of work identitied in the bid was for the repair of
five bridges (Chokoloskee, Goodland, Green Boulevard and two (2) on Oil Well Road). The
Goodland Bridge was later withdrawn from this Bid package as noted in the Executive
Summary provided to the BeC on December 2, 2008. The BeC awarded the contract to
American Earth Movers, Inc. December 2, 2008. A preconstruction meeting was convened
on February 3, 2009, and the official "Notice to Proceed" provided to American Earth
Movers, Inc. was February 16, 2009.
On February] 6, 2009, American Earth Movers, Inc. submitted threc (3) requests for change
orders in the amount of $104,905.00 for dewatering at bridges #030154, #0340]4 and
additional repairs to thc Chokoloskee Bridge (#030161). The amount is 14.6% over the
awarded contract amount ($720, 000.00) and 6.9% over the second low bidder, Kelly
Brothers, Inc. ($771,546.00). Stan' met with the contractor on February 18, 2009 to discuss
the change order requests noting that the permitted plans (hat were available at the time of
Bid clearly intended illr the contractor to obtain the dewatering permits should it became
necessary. On February 20, 2009 staff made the decision to rescind the NTP to American
Ea11h Movers, Inc. A letter or ]n(en( (0 Terminate the contract was provided on February 23,
2009.
The staff met with Kelly Brothers, Inc., the second low bidder on February 26, 2009 to
evaluate if their Bid had provided for the cost of obtaining dewatering pennits and if the
additional repairs to the Chokoloskee Bridge would constitute a change order. Staff is
satisfied that the contract amount submitted by Kelly Brothers, Inc. will provide for the final
construction of the Bridge repairs as noted in the Bid.
The Engineer's estimate was $785,000.00. The Kelly Brothers Inc. bid was 1.7% under the
Engineer's estimate.

FISCAL IMP ACT: Total funds in the amount of $771,546.00 are available in Gas Tax.
Source of funds are Gas Taxes.

LEGAL CONSIDERA nONS: Section 19 of the contract allows the County to terminate
the agreement without cause upon seven (7) days written notice to the Contractor. In the
event of terminating the contract under that section, the Contractor is limited to recovering
only that portion of the contract amount earncd through the date of termination, together with
any retainage withheld and reasonable tennination expenses incurred. ]n this instance,
although the County issued a Notice to Proceed, no mobilization has occurred and staff
believes that, if any, only nominal expenses may exist. This item has been reviewed and
approved by the County Attorney's Office, is not quasi-judicial and requires no ex parte
disclosure, requires only a majority vote for approval, and is otherwise legally sufficient for
Board action.-SRT
GROWTH MANAGEMENT IMPACT: The Bridge Repairs and Improvement is
identified on the 2008 Annual Updatc and Inventory Report (AUIR) and is consistent with
the Growth Management Plan.
RECOMMENDA nON: That the Board of County Commissioners terminate the contract
awarded to American Earth Movers, Inc.. as allowed without cause under the contract, that it
award Bid No. 08-5135 to Kelly Brothers. Inc. for the Repair of Chokoloskee, Green
Boulcvard and two (2) Oil Well Road Bridges, and authorize the Board Chairman to execute
a standard, County Attorney approved contract with Kelly Brothers, Inc.

give such bond or bonds in an amount of 100% the total Contract Amount as specified in
the Bidding Documents or Contract Documents with good and sufficient surety for the
faithful performance of the Agreement and for the prompt payment of labor, materials and
supplies furnished in the prosecution thereof or, in tho event of the failure of the
PRINCIPAL to enter into such Agreement or to give such bond or bonds, and deliver to
Owner the required cerliftcates of insurance, if the PRINCIPAL shall pay to the OBLIGEE
the fixed sum of $ 5% of Bid noted above as liquidated damages, and not as a
penalty, as proVided In the Bidding Documents, then this obligation shall be null and void,
otherwise to remain in full force and effect

Upon notification that its Bid has been awarded, the Successful Bidder will execute the
Agreement form attached to the Bidding Documents within ten (10) calendar days and
deliver the Surety Bond or Bonds and Insurance Certificates as required by the Contract
Documents. The bid security attached is to become the property of the Owner in the
event the Agreement, Insurance Certificates and Bonds are not executed and delivered
to Owner within the time above set forth, as liquidated damages, for tile delay and
additional expense to the Owner, it being recognized that, since time is of the essence,
Owner will suffer financial loss if the Successful Bidder fails to execute and deliver to
Owner the required Agreement, Insurance Certificates and Bonds within the required
time period. In the event of such failure, the total amount of Owner's ciamages, will be
