Indemnification. Representations and Warranties. Grantors hereby represent and warrant that Grantors own the Easement Parcel, have the power and authority to grant the rights herein given, and no consent to or approval of this Agreement is required from any lender or other third party other than the consent and joinder of mortgagees attached hereto, if any. 9. Running Benefits and Burdens. All provisions of this Agreement, including the benefits and burdens, shall run with the title to the Parcels, and are binding upon and inure to the benefit of heirs, successors, and assigns of the Parties. 10. Notices. Any notice required or permitted to be given hereunder shall be in writing and may be given by personal delivery,by commercial courier service(such as FedEx or UPS), or by certified mail, return receipt requested, postage prepaid, to the address of the parcel owner as reflected on the tax assessor's records for the affected parcel. Any such notice shall be considered given on the date of hand delivery, the date of deposit with the commercial courier service, or the date that is three(3)business days after deposit in the United States mail. 11. Governing Law. This Agreement shall be governed by and construed under the laws of the State of Florida. Venue for any proceeding brought pursuant to this Agreement shall be in Collier County, Florida. 13. Enforcement. In the event of litigation arising under this Agreement, or in the event any Party finds it necessary to institute litigation for the purpose of establishing or enforcing its rights under this Agreement, the prevailing Party in such litigation shall be entitled to recover from the non-prevailing Party or Parties, in addition to any damages otherwise due, reasonable 1 7B attorneys' fees, paralegals' fees and expert fees whether incurred at trial, on appeal, or in bankruptcy proceedings. 14. Estoppel Letters. Within fifteen (15) business days after written request, each Party or its successors and assigns agrees to execute a commercially reasonable form of estoppel from time to time as requested by any of the Parties stating that the such Party and its Parcel comply with matters set forth in this Agreement and whether any sums are due such Party from the requesting Party. 15. Entire Agreement. This Agreement constitutes the entire agreement and understanding between the Parties hereto relating to the subject matter hereof and may not be amended, waived, or discharged, except by an instrument in writing executed by the Parties (or their respective successors and assigns), which written document shall be recorded in the public records of Collier County, Florida. No prior oral or written agreement shall have any force or affect whatsoever unless contained within this Agreement. 16. Counterparts. This Agreement may be executed in a number of identical counterparts. If so executed,each of such counterparts is to be deemed an original for all purposes and all such counterparts shall, collectively, constitute one agreement,but,in making proof of this Agreement, it shall not be necessary to produce or account for more of such counterparts than are required to show that each party hereto executed at least one such counterpart. 17. Severability. In the event any term or provision of this Agreement is determined by appropriate judicial authority to be illegal or otherwise invalid, such provision shall be given its nearest legal meaning or be construed as deleted as such authority determines,and the remainder of this Agreement shall be construed to be in full force and effect. 18. Construction of Agreement. Time is of the Essence. Time shall be of the essence for each and every provision hereof. 20. Further Assurances. Grantors wishes to grant to Grantees, and Grantees wish to receive a reciprocal easement for access over, under and across the Vacated Property, which is sometimes referred to as the"Easement Parcel" in this Agreement. AGREEMENT NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows: 1. Recitals. The foregoing recitals are true and correct and are incorporated herein by this reference. 2. Grant of Access Easement. Grantors hereby grant to each Grantee reciprocal and shared rights to a perpetual easement over, across, under, on, and through the Easement Parcel for vehicular and pedestrian ingress, egress and access by Grantors and Grantees, and each of their respective heirs, assigns, invitees,tenants, agents and contractors (the "Access Easement"). The Access Easement encumbers the Easement Parcel and is appurtenant to and benefits all adjoining landowners, and each parcel of property located therein, and is intended to run with the title to the Parties properties. 3. Non-Exclusive. The Parties recognize and acknowledge that the easement rights granted in this Agreement are non-exclusive in nature. This Agreement shall not prevent Grantors from continuing to use the Easement Parcel for any purpose not inconsistent with the terms of this Agreement. 4. Incidental Rights. Each of the rights and benefits granted herein shall include all those additional rights and benefits which are necessary for the full enjoyment thereof and are customarily incidental thereto. 5. No Obstructions. Grantors shall not erect any obstructions, or permit any obstructions to be erected, on any portion of the Easement Parcel that may materially impair the Access Easement, or prevent, hinder, or interfere in any way with the free flow and passage of vehicular and pedestrian traffic over,upon,or across the Easement Parcel. Grantors shall have the right to alter the Easement Parcel after the Effective Date,which alterations may include but shall not be limited to alterations of the curb-cuts, driveways, or access ways thereon, without the consent of any Grantee so long as such alterations do not materially impair or obstruct any Grantee's use of the Easement Parcel. Any alteration that would materially impair or obstruct any Grantee's use of the Easement Parcel shall require the prior written consent of such Grantee,which consent shall not be unreasonably withheld, conditioned or delayed. 6. Maintenance and Repair of Roadway. Grantors shall maintain, repair and replace the drives,roadways,entrances,sidewalks and other areas intended for passage of vehicles or pedestrians located within the Easement Parcel in a serviceable condition,free from obstructions and potholes, and in a safe, clean, and sanitary condition, free and clear of rubbish, debris, and other hazards to persons using the same;provided,however,that if any Grantee or its heirs,assigns, invitees, tenants, agents or contractors causes damages to the Easement Parcel, then such Grantee _s.f 17B shall promptly repair such damage at Grantee's sole cost and expense. If such Grantee does not promptly perform such repair, then any Grantor may perform such repair and such Grantee shall reimburse said Grantor for the reasonable out-of-pocket costs and expenses incurred in connection therewith within thirty (30)days of receipt of an invoice from said Grantor evidencing such costs and expenses. 7. Indemnification. Each Party shall indemnify and hold any other Party harmless from and against all claims, liabilities and expenses (including reasonable attorneys' fees through all levels of proceedings) relating to any accidents, injuries, losses, or damages (collectively, "Losses")incurred by any person or property arising from the negligent,intentional or willful acts or omissions of each Grantee and its respective contractors, employees, agents, and others acting on behalf of such Grantee. The foregoing notwithstanding, such indemnification shall not extend to any Losses incurred as a result of the gross negligence or willful misconduct of any Party. 8. Representations and Warranties. Grantors hereby represent and warrant that Grantors have the power and authority to grant the rights herein given, and no consent to or approval of this Agreement is required from any lender or other third party other than the consent and joinder of mortgagees attached hereto, if any. 9. Running Benefits and Burdens. All provisions of this Agreement, including the benefits and burdens, shall run with the title to the Parcels, and are binding upon and inure to the benefit of heirs, successors, and assigns of the Parties. 10. Notices. Any notice required or permitted to be given hereunder shall be in writing and may be given by personal delivery,by commercial courier service(such as FedEx or UPS), or by certified mail, return receipt requested, postage prepaid, to the address of the parcel owner as reflected on the tax assessor's records for the affected parcel. Any such notice shall be considered given on the date of hand delivery,the date of deposit with the commercial courier service,or the date that is three (3) business days after deposit in the United States mail. 11. Governing Law. This Agreement shall be governed by and construed under the laws of the State of Florida. Venue for any proceeding brought pursuant to this Agreement shall be in Collier County, Florida. 13. Enforcement. In the event of litigation arising under this Agreement, or in the event any Party finds it necessary to institute litigation for the purpose of establishing or enforcing its rights under this Agreement, the prevailing Party in such litigation shall be entitled to recover from the non-prevailing Party or Parties, in addition to any damages otherwise due, reasonable attorneys' fees, paralegals' fees and expert fees whether incurred at trial, on appeal, or in bankruptcy proceedings. 14. Estoppel Letters. Within fifteen (15) business days after written request, each Party or its successors and assigns agrees to execute a commercially reasonable form of estoppel from time to time as requested by any of the Parties stating that the such Party and its Parcel comply with matters set forth in this Agreement and whether any sums are due such Party from the requesting Party. 0 1 7 B 15. Entire Agreement. This Agreement constitutes the entire agreement and understanding between the Parties hereto relating to the subject matter hereof and may not be amended, waived, or discharged, except by an instrument in writing executed by the Parties (or their respective successors and assigns), which written document shall be recorded in the public records of Collier County, Florida. No prior oral or written agreement shall have any force or affect whatsoever unless contained within this Agreement. 16. Counterparts. This Agreement may be executed in a number of identical counterparts. If so executed, each of such counterparts is to be deemed an original for all purposes and all such counterparts shall, collectively, constitute one agreement,but, in making proof of this Agreement, it shall not be necessary to produce or account for more of such counterparts than are required to show that each party hereto executed at least one such counterpart. 17. Severability. In the event any term or provision of this Agreement is determined by appropriate judicial authority to be illegal or otherwise invalid, such provision shall be given its nearest legal meaning or be construed as deleted as such authority determines,and the remainder of this Agreement shall be construed to be in full force and effect. 18. Construction of Agreement. In construing this Agreement, the singular shall be held to include the plural, the plural shall include the singular,the use of any gender shall include every other and all genders, and captions and paragraph headings shall be disregarded. 19. Time is of the Essence. Time shall be of the essence for each and every provision hereof. 20. Further Assurances. In addition to the acts recited in this Agreement,the Parties agree to perform or cause to be performed any and all further acts as may be reasonably necessary to complete the transactions contemplated hereby, including the execution and/or recordation of further instruments. 21. Waiver; Invalidity. Any failure to enforce any provision contained in this Agreement shall in no way be deemed a waiver of the right to do so thereafter.
