ARTICLE I The real property subject to this DECLARATION OF RESTRICTIVE CONVENANTS is that real property described on Exhibit "A" to the Statutory Deed, and made a part hereof, hereinafter referred to as the Property. ARTICLE II DEFINITIONS The following words when used in this Declaration shall have the following meanings: 1. "DECLARANT" shall mean and refer to Collier County, a Political Subdivision of the State of Florida, its successors and assigns of any or all of its rights under this Declaration. 2. "OWNER" shall mean and refer to every person or persons or entity or entities who are the record owner of a fee interest in the Property, their heirs, successors, legal representatives or assigns. ARTICLE III GENERAL RESTRICTIONS 1. The Property shall at all times be operated as a not-for-profit mental health facility and this use shall run with the land and shall be binding on all parties and all persons claiming under them throughout the lifetime of the facility. 2. Should the Property cease to be used as a mental health facility, the Property shall automatically revert back to Declarant. These covenants are to run with the Land and shall be binding on all parties and persons claiming under them for a period of 21 years from the date these covenants are recorded. These covenants shall be automatically extended for successive periods of 10 years unless an instrument signed by the Declarant has been recorded, agreeing to change said covenants in whole or in part. 3. At the time of the execution of these Declarations, the Property is subject to a common Site Development Plan, as amended SDP-93-004, with property owned by Declarant. In the event that either Declarant or Owner initiates any alteration, modification, amendment or change to SDP-93-004 ("SDPA"), which causes both parties to be impacted, then the party applying for the change to SDP-93-004 shall be responsible for making and paying for any and all improvements required as a result of the SDPA. 4. If at any time OWNER shall offer to sell, lease, donate, rent, exchange or otherwise convey an interest in the Property, or any portion thereof, to any person or entity, OWNER shall first notify DECLARANT in writing of the proposed transaction. In order to be effective, Collier County must approve the proposed transaction in writing. Such approval will not be unreasonably withheld. 5. OWNER shall obtain written permission from the DECLARANT prior to obtaining any financing wherein the land shall be used as collateral. Said financing shall be used exclusively to make improvements to the Land. Should OWNER fail to comply with this requirement, the Land will automatically revert to the DECLARANT. Cross-Parking Easement: DLC hereby grants and agrees to allow County and the public to utilize the parking within the DLC Property identified on Exhibit "c" as additional parking for the County buildings located on County Property. 3. Access Easement: The County hereby grants a perpetual non-exclusive easement upon, over and across the property described on Exhibit "D" hereto for the purpose of providing access to, DLC, its clients, and the public from North First Street to the property being conveyed to DLC by separate Statutory Deed and described on Exhibit "B" hereto. 4. Benefited Parties: The easements set forth in this Agreement are intended to be and shall be construed as covenants and servitudes running with the lands identified on the attached exhibits and shall be binding upon and inure to the benefit of the lands expressly intended to be bound or benefited hereby and each of the parcel owners hereunder, their respective successors, assigns and grantees. All references to County and DLC include successors, assigns, and grantees of such owner. 5. Reasonable Use: The easements hereinabove granted shall be used and enjoyed by each owner and its permittees in such a manner so as not to unreasonably interfere with, obstruct or delay the conduct and operations of the business of any other owner or its permittees at any time conducted on its property, 6. Improvements: No permanent building, structures, fences, walls, trees or other improvements inconsistent with the use and enjoyment of such easements shall be placed over or permitted to encroach upon or interfere with such Cross-Parking or Access facilities. C\t" 16D 1 7. Maintenance: DLC accepts the DLC Property described in Exhibit "B" in "As Is" condition. Upon conveyance of the DLC Property to DLC, DLC assumes any and all maintenance responsibility for the DLC Property. Each underlying owner of the property subject to the Cross- Parking or Access easement area shall be wholly responsible for the costs and expenses involved in performance of reasonable and necessary maintenance, management, repair, or replacement of the Cross-Parking or Access easement area. Each underlying owner will give ten (10) days notice of any scheduled maintenance, management, repair or replacement of the respective easement area. 8. Utilities: Within 90 days of execution of this agreement, DLC will establish separate accounts for all utilities, if not already separate, such as, but not limited to, water and sewer, electric, gas, cable and/or any utilities servicing the DLC Property described in Exhibit "B", including the Cross-Parking easement area. 9. Public Liability Insurance: DLC shall provide and maintain commercial General Liability and Automobile Coverage insurance (including contractual liability coverage) insuring DLC against claims for personal injury, bodily injury, automobile and property damage occurring in, on or about the Cross-Parking and Access Easement areas and any other portion of the County Property over which DLC is granted an easement hereunder or arising out of the negligent activities or operations or willful misconduct of DLC at the County Property. Such insurance shall be written with an insurer authorized to do business in Florida and the County shall be named on the policy as an additional insured. The limits of liability of all such insurance shall be combined single limit (covering personal injury, bodily injury, automobile, and property damage) of $1,000,000 per occurrence. If DLC fails to acquire the liability insurance required above, and the insurance coverage has lapsed or will soon lapse, the County shall have the option (but not the obligation) to immediately acquire said insurance, in which event DLC shall pay to the County the insurance costs within ten (10) business days after its receipt of a statement therefor. Notwithstanding the foregoing, the County shall, prior to acquiring the insurance, give DLC reasonable notice (e.g. written or telephonic) and reasonable opportunity to obtain the insurance. 10. Waiver and Invalidity: Any failure to enforce any provision contained herein or subsequently recorded as provided hereunder shall in no way be deemed a waiver of the right to do so thereafter. The invalidity, violation, abandonment or waiver of anyone or more of any of the provisions hereunder shall not affect or impair the remaining portions of this Agreement.
