THIS AGREEMENT, is entered into by and between Collier County, a political subdivision of the State of Florida (hereinafter referred to as the "County "); and the City of Everglades, (hereinafter referred to as the "City "); and the Holy Family Catholic Church, (hereinafter referred to as the "Church "); WITNESSETH: WHEREAS, the Board of County Commissioners for Collier County approved an after - the -fact donation of $2,346.60 in red clay for a newly created little league baseball field on a vacant parcel provided by the Church; and WHEREAS, the County has donated the red clay and performance on the part of the County, under this Agreement, is complete; and WHEREAS, the City has arranged with the Church to provide a little league baseball field on a vacant parcel on the southwest corner of Datura and Buckner Streets in Everglades City for the use by the little league; and NOW, THEREFORE, in consideration of the covenants contained herein, the County, the City, and Church hereby agree as follows: Section 1. a. The County: has provided the red clay for the little league baseball field improvements on a one time basis, and will not be responsible to provide red clay for any future maintenance. b. The City shall provide direction and maintenance to the little league baseball field for the duration of this Agreement or a minimum of one (1) year, whichever is longer. c. The Church shall provide the little league baseball field on the property agreed to between the City and the Church, and continue to hold the property open to the public as a little league baseball field for the duration of this Agreement or a minimum of one (1) year, whichever is longer. Section 2. The City shall submit to the County every six (6) months a status report on all maintenance done on the little league baseball field for the duration of this Agreement or a minimum of one (1) year, whichever is longer. Section 3. Each party shall be liable for its own actions and negligence and, to the extent permitted by law, the County shall indemnify, defend and hold Page 1 of 3 16019 harmless the City and Church against any actions, claims, or damages arising out of Collier County's negligence in connection with this Agreement, and the City and Church shall indemnify, defend and hold harmless the County against any actions, claims, or damages arising out of the City's or Church's negligence in connection with this Agreement. The foregoing indemnification shall not constitute a waiver of sovereign immunity beyond the limits set forth in Florida Statutes, Section 768.28, nor shall the same be construed to constitute agreement by any party to indemnify the other party for such other party's negligent, willful or intentional acts or omissions. Section 4. The duration of this Agreement shall be for a minimum of one (1) year or until the field can no longer be used as a little league field, whichever is longer. This Agreement may be terminated by any party to this Agreement, so long as thirty (30) days notice is given to each other party under this Agreement. Section 5. This Agreement shall be recorded by the County in the Official Records of Collier County within thirty (30) days after this Agreement is fully executed.
