Agenda 09/28/2010 Item #16D 4 Agenda Item No. 16D4 September 28, 2010 Page 1 of 18 EXECUTIVE SUMMARY Recommendation to approve the conveyance of a piece of land located at 425 1 st Street North, Immokalee, from Collier County to the David Lawrence Mental Health Center, Inc.; at no cost to the County. OBJECTIVE: To obtain approval from the Board of County Commissioners (Board) to execute all documents necessary for the conveyance of Collier County (County) owned land at 425 1 st Street North, Immokalee, FL (the "Property") to the David Lawrence Mental Health Center, Inc. (DLC). CONSIDERATIONS: At the October 27, 2009 meeting, under agenda item 16D11, the Board approved a Real Estate Conveyance Agreement between the County and DLC (Agreement). Per the Agreement, DLC had a 120 day due diligence period, after which they were to report their findings to the County. DLC did present their findings to the County, however it was determined that additional time was required to ensure that all due diligence had been completed. An Amendment to the Agreement was approved by the Board on March 23, 2010 under agenda item 16D5, approving an additional 120 day due diligence period. At the end of the second due diligence period, DLC requested an additional due diligence period. As a result, a Second Amendment to the Agreement was presented to the Board on June 22, 2010 as Item 16D5 and was approved, thus extending the due diligencEl for an additional 120 days. As a result of the aforementioned due diligence performed by the County and the lot split completed by DLC, the County is now in a position to convey the Property with the reservations and restrictions previously set forth by the Board. Pursuant to the lot split process and proposed conveyance, a Cross- Parking and Access Easement Agreement is required. As agreed, DLC will pay no consideration for the Property. However, DLC will bear all costs associated with the conveyance and all costs associated with the terms as set forth in the documents. Upon conveyance of the Property to DLC, the existing Lease Agreement, as amended, between the County and DLC shall terminate and the County shall be relinquished of any and all responsibility with regard to the Property. By accepting the conveyance, DLC accepts the Property in "As Is" condition. A location map has been attached for reference. FISCAL IMPACT: There is no fiscal impact to the County. All costs associated with the conveyance shall be borne by DLC. GROWTH MANAGEMENT IMPACT: There is no impact to the Collier County Growth Management Plan related to this action. LEGAL CONSIDERATIONS: The Statutory Deed and Cross-Parking and Access Easement Agreement have been approved for form and legal sufficiency. - JBW RECOMMENDATION: That the Board: 1. Approves the Cross-Parking and Access Easement Agreement and the Statutory Deed with the attached Declaration of Restrictive Covenants, and authorizes the Chairman to execute the aforementioned documents. 2. Terminates the Lease Agreement between the County and DLC upon recording of the Statutory Deed. 3. Directs the County Manager or his designee to proceed to follow all appropriate closing procedures and to record the aforementioned documents in the Public Records of Collier County, Florida. FL 34112 and the DA VlD LA WRENCE MENTAL HEALTH CENTER, INC., a Florida non-profit corporation, dlb/a David Lawrence Center (hereinafter referred to as "DLC") whose mailing address is 6075 Bathey Lane, Naples, FL 34116. WITNESSETH: VlHEREAS, COUNTY is the owner of the real property located at 425 1 ~t Street North, Immokalee, FL 34142 (hereinafter referred to as "County Property"), described in Exhibit "A" attached hereto and made a part thereof; and WHEREAS. OLe desires to obtain a portion of the County Propcny (hereinafter referred to as "OLe Property"), as described in Exhibit "8" attached hereto and made a part thereof; and WHEREAS. COUNTY und DLe desire to enter into a Cross-Parking and Access Easement Agreement granting non.exclusivc casement license and privilege for cross-parking and access as identified on Exhibit "c" and Exhibit "D" attached hereto and made a part hereof. NOW THEREFORE, in consideration of the sum ofTen Dollars ($10.00) and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows: 1. Recitals: The parties hereby agree that the above recitals arc true and correct and are otherwise incorporated herein by reference. 2. Cross~Parkin[! Easement: OLe hereby grams and agrees to all 0",' County and the public to utilize the parking within the DLC Property identified on Exhibit '.C" as additional parking for the County buildings located on County Property. 3. Access Easement: The County hereby grants a perpetual non-exclusive casement upon, over and across the property described on Exhibit "D" hereto for the purpose of providing access to, OLe, ils clients. and the public from North First Street to the property being conveyed to OLe by separate Statutory Deed and described on Exhibit "13'" hereto. 4. Benefited Parties: The easements set iClrth in this Agreement are intended to be and shall be construed as covenants and servitudes running ",:ith the lands identified on the attached exhibits and shall be binding upon and inure to the benefit of the lands expressly intended to be hound or benefiled hereby and each of the parcel O\\'ners hereunder, their respective successors, assigns and grantees. All references to County and DLC include successors, assigns, and grantees of such owner. 5. Reasonable Use: The easements hereinahove granted shall be used and enjoyed by each owner and its permittees in such a manner so as not to unreasonably interfere with. obstruct or delay the conduct and operations of the business of any other owner or its penmttees at any time conducted on its property. 6. Imnrovcmcnts: No pcnnanent building, structures, fences. walls, trees or other improvements inconsistent \\;th the use and enjoyment of such casements shall be placed over or pennitIed to encroach upon or interfere with such Cross. Upon conveyance of the DLC Property to DLC, DLC assumes any and all maintenance responsibility for the DLC Property. Each underlying o;...ner of the property subject to the Cross- Parking or Access easement area shall be wholly responsible for the costs and expenses involved in perfonnance of reasonable and necessary maintenance, management, repair, or replacement of the Cross~Parking or Access easement area. Each underlying owner will give ten (10) days notice of any scheduled maintenance, management, repair or replacement of the respective easement area, 8. Utilities: Within 90 days of execution of this agreement, OLe will establish separate accounts for all utilities, if not already separate, such as, but not limited to, water and sewer, electric, gas, cable and/or any utilities servicing the DLC Property described in Exhibit "B", including the Cross~Parking easement area. 9. Public Liability Insurance: DLe shall provide and maintain commercial General Liability and Automobile Coverage insurance (including contractual liability coverage) insuring DLe against claims for personal injury, bodily injury, automobile and property damage occurring in, on Dr about the Cross-Parking and Access Easement areas and any other ponion of the County Property over which DLe is granted an easement hereunder or arising Qut of the negligent activities or operations or willful misconduct of DLC at the County Property. Such insurance shall be written with an insurer authorized to do business in Florida and the C:ounty sl1all be named on the policy as an additional insured. The limits of liability of all such insurance shall be combined single limit (covering personal injury, bodily injury, automobile, and property damage) 01'$1,000,000 per occurrence. IfDLC fails to acquire the liability insurance required above, and the insurance coverage has lapsed or will soon lapse, the County shall have the option (but not the obligation) to immediately acquire said insurance, in which event DLC shall pay to the County the insurance costs within ten (J 0) business days after its receipt of a statement therefor. Notv,:ithstanding the foregoing, the County shall. prior to acquiring the insurance, give DLC reasonable notice (e.g. \'\-Tilten or telephonic) and reasonable opportunity to obtain the insurance. 10. Waiver and Invalidity: Any failure to enforce any provision contained herein or subsequently recorded as provided hereunder shall in no way be deemed a waiver of the right to do so thereafter. The invalidity, violation, abandonment or waiver of anyone or more of any of the provisions hereunder shall not affect or impair the remaining portions of this Agreement.
