EXECUTIVE SUMMARY
Recommendation to approve the conveyance of a piece of land located at 425 1st Street North,
Immokalee, from Collier County to the David Lawrence Mental Health Center, Inc.; at no cost to the
County.
OBJECTIVE: To obtain approval from the Board of County Commissioners (Board) to execute all
documents necessary for the conveyance of Collier County (County) owned land at 425 1 st Street North,
Immokalee, FL (the "Property") to the David Lawrence Mental Health Center, Inc. (DLC).
CONSIDERATIONS: At the October 27, 2009 meeting, under agenda item 16D11, the Board approved a
Real Estate Conveyance Agreement between the County and DLC (Agreement). Per the Agreement,
DLC had a 120 day due diligence period, after which they were to report their findings to the County.
DLC did present their findings to the County, however it was determined that additional time was required
to ensure that all due diligence had been completed. An Amendment to the Agreement was approved by
the Board on March 23, 2010 under agenda item 16D5, approving an additional 120 day due diligence
period. At the end of the second due diligence period, DLC requested an additional due diligence period.
As a result, a Second Amendment to the Agreement was presented to the Board on June 22, 2010 as
Item 16D5 and was approved, thus extending the due diligence for an additional 120 days.

As a result of the aforementioned due diligence performed by the County and the lot split completed by
DLC, the County is now in a position to convey the Property with the reservations and restrictions
previously set forth by the Board. A reverter clause specifying that the Property shall revert back to the
County in the event it is no longer operated as a not-for-profit mental health facility serving the general
public is one such restriction included in the Declaration of Restrictive Covenants attached to the
Statutory Deed. Pursuant to the lot split process and proposed conveyance, a Cross-Parking and Access
Easement Agreement is required.
As agreed, DLC will pay no consideration for the Property. However, DLC will bear all costs associated
with the conveyance and all costs associated with the terms as set forth in the documents.
Upon conveyance of the Property to DLC, the existing Lease Agreement, as amended, between the
County and DLC shall terminate and the County shall be relinquished of any and all responsibility with
regard to the Property. By accepting the conveyance, DLC accepts the Property in "As Is" condition. A
location map has been attached for reference.
FISCAL IMPACT: There is no fiscal impact to the County. All costs associated with the conveyance
shall be borne by DLC.
GROWTH MANAGEMENT IMPACT: There is no impact to the Collier County Growth Management Plan
related to this action.
LEGAL CONSIDERATIONS: The Statutory Deed and Cross-Parking and Access Easement Agreement
have been approved for form and legal sufficiency. - JBW
RECOMMENDATION: That the Board:

1. Approves the Cross-Parking and Access Easement Agreement and the Statutory Deed with the
attached Declaration of Restrictive Covenants, and authorizes the Chairman to execute the
aforementioned documents.
2. Terminates the Lease Agreement between the County and DLC upon recording of the Statutory
Deed.
3. Directs the County Manager or his designee to proceed to follow all appropriate closing
procedures and to record the aforementioned documents in the Public Records of Collier County,
Florida.

THIS CROSS-PARKING AND ACCESS EASEMENT AGREE\1ENT (hereinafter
referred to as the "Agreement") is made this ~ JJY of ___._.__' 20lO by and
between COLLIER COUNTY, a Political Subdivision of the State of Florida (hereinafter referred
to as '.County") whose mailing address is 3301 Tamiami Trail East. )\Japles. FL 34112 and the
DAVID LAWRENCE \-IENTAL ilEAL T11 CENTER. INC., a Florida non-profit corporation,
d/b/a David Lawrence Center (hen:inut1cr referred to as ..DLC") whose mailing address is 6075
Bathey Lane, Naples, FL 34116.
WIT:\ESSETH:
WHEREAS, COUNTY is the owner of the real propcrt) located al 425 1 sl Street North,
Immokalee, FL 34] 42 (hereinafter n:ft:rred to as .'County Property"), descrihed in Exhibit "A"
attached hereto and made a part thereof; and
WHEREAS, DLC desires to ontain a portion of the County PropeJ1y (hereinafter referred
to as "OLC Property"). as described in Exhibit "B" attached hereto and made a part thereof: and
WHEREAS, COU:-.JTY and DLC desire to enter into a Cross-Parking and Access
Easement Agreement granting non-exclusive casement, license and privilege for cross-parking
and access as identified on Exhibit "e" and Exhibit "D" attached hereto ;}nd made a part hereof.

the County buildings located on County Property.

4. Benefited P:irlics: The CJscments Sl:t f011h in this Agrcclllcm arc intended to be and shall be
construed as covenants and servitudes running with the lands id~ntiiied on the Jllached exbibits
and shall be binding upon and inure to the bencJit of the lands expressly intended to be hound or
benefited hereby and each of the parcel (mm:rs hcrcllnd~r, tlH:ir respective successors, 3ssigns
and grantees. All refcrenccs to County and DLe include successors, assigns, and grantees of
such owner.
5. Reasonable l;se: The easements h(;:reinabovc granted shall he used and enjoyed by each
owner and its permittees in such a manner so as not to unrcason3bly interfere with. obstruct or
delay the c.onducl and opcr3tions or the business of un)' nther owner or its permittees at any time
conducted on its property.
6. lmnrovcmcnts: No pcmlancnt building. structures, fences. walls, trees or other improvements
inconsistent with the use and enjoyment of such easements shall be placed over or pennitted to
encroach upon or interfere with such Cross-Parking or Access facilities.
7. Maintenance: DLC accepts the DLC Property described in Exhibit "B" in "As Is" condition.
Upon conveyance of the DLC Property to DLC, DLC assumes any and all maintenance
responsibility for the DLe Property. Each Llnderlying ovmer of the property subject to the Crossw
Parking or Access casement area shall be \vholly responsible for the costs and expenses involved
in performance of reasonable and necessary maintenance, management, repair, or replacement of
the Cross-Parking or Access easement area. Each underlying o\o\'Der will give ten (10) days
notice of any scheduled maintenance, management, repair or replacement of the respective
casement area.

8. Utilities: Within 90 days of execution of this agreement, DLe will establish separate
accounts for all utilities, if not already separate, such as, but not limited to, water and sewer,
electric, gas, cable and/or any utilities servicing the OLe Property de.scribed in Exhibit "B",
including the CrosswParking casement area.
9. Public Liability Tnsurance: DLC shall provide and maintain commercial General Liability and
Automobile Coverage insurance (including contructualliability coverage) insuring OLC against
claims for personal injury, bodily injury, automobile and property damage occurring in, on or
about the Cross-Parking and Access Easement areas and any other portion of the County
Property over which OLe is granted an ~ascment hereunder or arising out of the negligent
activities or operations or willful misconduct of DLe at the County Properly. Such insurance
shall be ""Titlen with an insurer authorized to do business in F!orida and the County shall he
named on the policy as an additional insured, The limits of liability of all such insurance shall be
combined single limit (covering personal injury, bodily injury, automobile. and property damage)
01'$1,000,000 per occurrence. If OLe fails to acquire the liability insurance required above, and
the insurance coverage has lapsed or \I.,'ill SOOI1 lapse, the County shall have the option (but not
the obligation) to immediately acquire said insurance, in which event DLe shall pay to the
County the insurance costs within ten (10) business days aftcr its receipt ofa statement thcrefor.
Notwithstanding the foregoing, the County shall. prior to acquiring the insurance. give OLC
reasonable notice (c.g. \iTitten or telephonic) and reasonablc opportunity to obtain the insurance.
J o. Waiver and Invalidity: Any failure to enforce any provision contained herein or subsequently
recorded as provided hereunder shall in no way be deemed a waiver of Ihe right to do so
thereafter. The invalidity. violation, abandonment or waiver of anyone or more of allY of the
provisions hereunder shaH not affect or impair the remaining portions of this Agreement.
TO HAVE AND TO HOLD the same unto the GRANTOR und GRANTEE, its assigns,
together with the ea.<;emcnt rights as set forth abovc.

STATUTORY DEED
THIS STATUTORY DEED, made this _ day of , 2010, by
COLLIER COUNTY, A POLITICAL SUBDIVISION OF THE STATE OF FLORIDA, whose
mailing address is 3301 Tamiami Trail East, Naples, FL 34112 (hereinafter referred to as
"Grantor"), to the DAVID LAWRENCE MENTAL HEALTH CENTER, INC., a Florida non-profit
corporation, d/b/a David Lawrence Center, whose mailing address is 6075 Bathey Lane,
Naples, FL 34116 (hereinafter referred to as "Grantee").
(Whenever used herein the terms "Grantor" and "Grantee" include all the parties to this
instrument and the heirs, legal representatives and assigns of individuals, and the successors
and assigns of corporations.)
WITNESSETH that the Grantor. for and in conSideration of the sum of Ten Dollars,
($10.00) to it in hand paid by the Grantee, receipt whereof is hereby acknowledged, has
conveyed to the Grantee, its successors and assigns forever, the following described land lying
