(Marla Ramsey, Division Administrator, Public Services) OBJECTIVE: To approve the Neighborhood Stabilization Program strategy and associated implementation actions. CONSIDERATIONS; On July 26, 2011, agenda item 10E, the Board of County Commissioners directed the County Manager to stop acquiring residential property through the Neighborhood Stabilization Program ( "NSP "), complete construction on properties that have a contract for sale, safeguard current assets, and identify an organization or affordable housing builder to take over operations with the goal of extricating the County from the program through an orderly termination of operations. To comply with this direction, and ensure that a full and proper evaluation was conducted, Housing, Human and Veteran Services sought input from a variety of stakeholders, such as a subcommittee of the Affordable Housing Advisory Committee, the Clerk of Court's Finance Department, the County Attorney's Office, the Grants Management Office, an independent consulting firm, HUD technical assistance, members of the public, and community non -profit organizations. Additionally, extensive research was conducted -to identify program and compliance considerations and to prepare financial models. Two key considerations emerged from this work which guided the strategy development. First, as grantee, Collier County cannot divest itself from the responsibility to monitor the program in perpetuity and to ensure longterm compliance. Second, the operation of the program would benefit by leveraging the experience, capacity, and expertise of Habitat for Humanity. In summary, there are four components to the proposed strategy: 1. Transfer non - rehabilitated homes (single - family and multi- family) and land bank properties to Habitat for Humanity 2. Solicit not-for-profit organization(s) to assume ownership and operate completed multi- family rental properties 3. Sell completed single - family homes to qualified buyers 4. Pass through NSP -3 funds to Habitat for Humanity for acquisition of homes, including a developer fee The strategy paper included with this item provides details of the recommended strategy and outlines a plan to exit the program while assuring all compliance requirements are met. Collier County received technical assistance from HUD in preparing the recommended strategy. However, there is no guarantee that program guidelines, interpretations, or the application of program rules will remain consistent during implementation of the recommended strategy. Staff will evaluate and respond to any, compliance needs that may arise. Should the grantor agency make any changes to the program or guidance, including but not limited to areas that affect compliance, such changes will be brought to the Board of County Commissioners for consideration. The sale of NSP - assisted properties is governed by Collier County Ordinance No. 2009 -63. Any subsequent sales or transfers of ownership that occur through the implementation of the recommended strategy will be in conformance with said ordinance. Packet Page -647- 12/13/2011 Item 10.A. COMPLIANCE CONSIDERATIONS: As grantee, Collier County must ensure that the NSPI and NSP3 are in compliance with all applicable local, state, and federal regulations. The,current program regulations were published October 10, 2010 in Federal Register Vol. 75, No. 75. Failure to comply with program regulations or to comply with the terms of the agreements executed by and between the U.S. Department of Housing and Urban Development ("HUD ") and the Board of County Commissioners may result in the grantor imposing corrective and remedial actions ranging from issuance of a letter of warning to recapturing funds. FISCAL INTACT: There are no fiscal impacts associated with approving the recommended strategy. Any fiscal impact associated with implementation components will be presented to the Bid when that component is presented for approval. LEGAL CONSIDERATIONS: This item is legally sufficient and requires a majority vote for Board action. — JBW GROWTH MANAGEMENT IMPACT: The NSPI and 1+TSP3 support the goals, objectives, and policies of the Growth Management Plan Housing Element. Background In 2008, President George W. Bush approved the Housing and Economic Recovery Act (HERA). This Act was the authorizing legislation for the Neighborhood Stabilization Program ( "NSP ") and the law allocated $3.92 billion in NSP -1 funding; Collier County received $7,306,755. Subsequently, in 2010, President Barack Obama approved the Wall Street Reform and Consumer Protection Act allocating an additional $1 billion in NSP -3 funding; Collier County received $3,884,165. Taken together, Collier County was appropriated $11,190,920 in NSP funding. On July 26, 2011, the Board of County Commissioners directed the County Manager to evaluate the NSP. This was led by the department of Housing, Human and Veteran Services ( "HHVS "). To facilitate the review, analysis, and strategy development, input was received from a variety of stakeholders, such as: a subcommittee of the Affordable Housing Advisory Committee; a workgroup consisting of representatives from HHVS, Public Services, Administrative Services, County Attorney's Office, Clerk of the Circuit Courts, the grantor agency, an independent consulting firm, members of the public, and community non - profit organizations. Extensive research was conducted to identify program and compliance considerations, as well as to prepare financial models. The information and recommendation contained herein are the result of the collaborative efforts described above and have been reviewed by the U.S. Department of Housing and Urban Development ( "HUD ") through the provision of technical assistance. Lastly, the recommended strategy is intended to satisfy compliance with local, state, and federal requirements. Intent Exit the NSP by partnering with Habitat for Humanity of Collier County, Inc. ( "Habitat for Humanity" or "HFH ") to promptly divest from County ownership in real property acquired through NSP -1, to operate and execute the NSP -3, and to eliminate Collier County's hands -on responsibility for rehabilitating and n maintaining NSP- assisted property. The intent is, further, to ensure that Collier County, through Habitat for Humanity, fulfills the obligations imposed when the NSP contracts were executed by and between Collier County and HUD, because as grantee, Collier County may not disassociate from the responsibility to ensure that the program is administered in full compliance. Policy Alert Authorizing Selected Strategy and Collier Implications On January 12, 2011, the HUD Office of Block Grant Assistance issued an NSP Policy Alert titled "Guidance for Habitat for Humanity Affiliates." The policy alert explains that when designated as a developer under NSP, Habitat for Humanity affiliates are "program beneficiaries and thus [are) distinct from subrecipients, grantee employees, and contractors." When designated as a developer, Habitat for Humanity, does not have to follow federal procurement rules, may charge a developer fee, does not have to follow OMB Circulars, and are not required to treat revenues as program income. Based upon this policy alert, Habitat for Humanity as NSP developer is well positioned to leverage their extensive capacity and experience in the areas of development, residential rehabilitation, income qualification, grant administration, and affordable housing, thereby removing the County's direct role in the operation of the NSP. As the County's NSP developer, Habitat for Humanity will charge a negotiated developer fee for these activities; such fee is customary and an allowable NSP expense. Furthermore, Habitat for Humanity received a substantial NSP2 award as a consortium member and consequently has the necessary experience in operating the program. Recommended Strategy NSP -1 The strategy seeks to expeditiously transfer title of non - rehabilitated properties to Habitat for Humanity, while Collier County will sell additional single - family properties where construction is complete or nearly complete. Habitat for Humanity will bear all associated closing costs and, once title is transferred, will bear all rehabilitation and resale costs. Collier County is not allocating additional NSP funds for the cost of construction on the properties transferred to Habitat for Humanity. Once construction is complete on the single - family properties, Habitat for Humanity will sell the homes to qualified families. The chart below clarifies the disposition of the properties currently in the NSP -1 program, by category. Some qualified buyers with reservations may not be matched to available homes. ** A Redevelopment plan is required within 10 years of the date of purchase into the NSP program. Regarding the multi - family properties that are ready to transfer, a prior solicitation had been in progress with the intent of transferring one or more of the properties to organizations wishing to operate them as affordable rental housing. Collier County had not executed any transfers under this solicitation, and the solicitation is now outdated. Collier County will proceed with a new solicitation in order to procure appropriate partners under this strategy and to assure full compliance. Any program income that may be generated will be used for eligible program costs including potential developer fees and any excess over that required to complete this exit plan will be available for future consideration. Finally, as previously discussed, Collier County would retain the responsibility for all program compliance and monitoring. It is anticipated that the transfer of all properties from Collier County to Habitat for Humanity will take five months with the required monitoring to continue on an ongoing basis as needed. NSF -3 Through a developer agreement with Habitat for Humanity, Collier County will pass through NSP -3 to fund acquisition - related costs and developer fees; any costs associated with rehabilitation and resale will be borne by Habitat for Humanity. As will be detailed in the developer agreement, this strategy seeks to allocate 10 percent of funding to acquire vacant land for future redevelopment and the acquisition of residential properties that conform to program requirements. This strategy further provides that revenue ( "program income ") generated by Page 3 of 4 Packet Page -653- 12/13/2011 Item 10.A. any subsequent transfers will remain with Habitat for Humanity to support the agency's mission and purpose. Habitat for Humanity will have until March 2013 to spend 50 percent of the NSP -3 award and until March 2014 to spend 100 percent of the NSP -3 award. During this time, Collier County will be involved in processing reimbursement requests for the acquisitions under the grant. Following the complete expenditure of funding, Collier County will be required to continue monitoring the funded projects. Major Advantages The following major advantages were identified within the recommended strategy: 1. Collier County out of the property management business 2. Collier County out of the direct acquisition and rehabilitation business 3. NSP will not fund any additional construction or rehabilitation on properties transferred to Habitat for Humanity, thereby leveraging funding with an investment from the organization 4. The NSP- assisted properties will further the mission of local not - for - profit organizations 5. Collier County will lawfully meet its obligations under both grant programs 6. Habitat for Humanity has a proven track record of success in acquiring, rehabilitating, and selling affordable homes and can bring this expertise to bear in the execution of the required activities 7. Successful implementation of the recommended strategy may prevent a reduction or loss of current or future grant resources from other sources 8. Upon full execution of the recommended strategy, Collier County's role is reduced to monitoring for compliance, for which there are adequate grant dollars to fund Page 4 of 4 Packet Page -654- 12/13/2011 Item 10.A. Components of Implementation $388,415 To fully implement the strategy, Collier County will amend the NSP -1 and Acquisition &Rehabilitation (LMMH)* NSP -3 action plans and gain approval of such amendments from the Board CC Amend Acticn Plan of County Commissioners and HUD. AN Redevelop Properties as Housing (LMMH) $223,750 Amend Action Plan for NSP -1 and NSP -3 Redevelop Properties as Housing (LH25) Collier County will be required to amend the existing NSP -1 0 TOTAL and NSP -3 action plans to describe the role of Habitat for $3,884,165 Humanity as developer, to provide specific and accurate details on homeownership for households earning less than 50 percent area median income, to reallocate funding between activities, and to ensure that the current target areas eligible for NSP -3 assistance will suffice. The amended action plan will be presented to the Board of County Commissioners for review and approval, as well as to HUD for compliance review and approval. Reallocate Funding Collier County's NSP -3 award of approximately $3.9 million is currently allocated as detailed in the following table under the column "Existing Budget" and is contained in the NSP -3 action plan approved by the Board of County Commissioners and HUD. Please note that Collier County, through Habitat for Humanity, must spend at least 25 percent of available funds on activities to benefit households earning not greater than 50 percent area median income (LH25) Evaluate Target Areas The current NSP -3 action plan identifies three target areas generally described as Golden Gate City, Naples Park, and the East Naples Bayshore Gateway CRA; the areas are further defined through census tracts, HUD neighborhood ID, and GeolD. Collier County and Habitat for Humanity will review the current target areas to ensure there are an adequate number of available homes eligible for NSP -3, as well as that such target areas are suitable to Habitat for Humanity. If additional eligible target areas are identified as desirable, the action plan will be amended as such. Page 2 of 5 Packet Page -656- 12/13/2011 Item 10.A. Issue Solicitation for Rental Housing A procurement document will be developed to solicit proposals from not - for - profit organizations interested in assuming ownership of NSP -1 multi - family properties for the purpose of operating such units as affordable rental housing. The procurement document will be developed and issued through the County Purchasing department in compliance with the Purchasing Policy. The organization(s) recommended for participation in the NSP -1 and the associated subrecipient agreement(s) will be brought to the Board of County Commissioner for review and approval. i • . Ownership in properties under NSP -1 will be transferred in compliance with Collier County Ordinance No. 2009 -63, which describes the NSP minimum disposition standards adopted in conformance with Section 125.35, Florida Statutes, a standard "As -Is" Contract for Sale and Purchase, and the procedure for transferring ownership in NSP- assisted property. Such documents will be reviewed to determine if they are sufficient for use under this strategy. Once any and all documents required are finalized and approved by the County Attorney's Office, they shall be brought back to the Board of County Commissioners for review and approval or they may be executed by the Chairman pursuant to the aforementioned ordinance. Execute Developer Agreement A developer agreement by and between Habitat for Humanity and Collier County will be developed and executed to award the properties (NSP -1) and funding (NSP -3) as detailed above in order to outline the duties and responsibilities of each party in administrating and operating the NSP. Collier County will receive up to 16 hours of free technical assistance from HUD in preparing the agreement to ensure that all grant requirements are incorporated therein. Subrecipient Agreement The second agreement drafted will be a subrecipient agreement •Monitoring •Reporting s) - with anot- for - profit organization(s). Residential Real Estate Transaction Documents Forms necessary to successfully transfer ownership in all NSP -1 properties to Habitat for Humanity and other not - for - profit organization(s) will be developed in accordance with Collier County Ordinance No. 2009 -63 (described above). Deed Restrictions Deed restrictions shall be placed on each NSP- assisted property to enforce restrictive covenants such as, ^ but not limited to, the NSP- mandated period of affordability, owner or tenant income limits, monthly rental limits, and recapture provisions. Once finalized and approved by the County Attorney's Office, the deed restrictions shall be brought back to the Board of County Commissioners for review and approval. Convey Property Transfer Title and Place Deed Restriction Once the necessary agreements, contracts, and documents have been developed, executed, and approved, Collier County shall transfer all applicable NSP -1 properties to Habitat for Humanity. Furthermore, Collier County shall transfer multi - family rental properties to the not - for - profit organization(s) selected through the procurement process. Such transfers shall occur pursuant to all applicable Real Estate Settlement Procedures Act ( "RESPA ") rules and regulations. In the absence of banking financing, the primary documents associated with the transfer of title will be the HUD -1 settlement statement and warranty deed. Document Transactions and Update Property Disposition Status As each property is transferred to the not - for - profit partner, Collier County will i collect the documents necessary to ensure compliance with the recordkeeping requirements of the NSP; such documentation will also assist the County in successfully responding to requests from HUD or other outside monitoring agencies. Collier County will also update the disposition status of such property M ' on the required online NSP reporting site. Additionally, as properties are sold by ° Habitat for Humanity to income qualified persons and families, Collier County will obtain proof of eligibility and demographic data needed to prepare and submit reports to the grantor agency. Acquisition, Rehabilitation, and Resale As each property is acquired by Habitat for Humanity with NSP -3 funding, Collier County will collect the documents necessary to ensure compliance with the recordkeeping requirements of the program and update the disposition status of such property on the required online NSP reporting site. Although no NSP funds are being provided to Habitat for Humanity to complete the necessary rehabilitation, Collier County will monitor and document, as necessary, the progress of each project to ensure that work is progressing and is being performed in compliance with NSP regulations. As properties are sold to income qualified persons and families, Collier County will obtain proof of eligibility and demographic data needed to prepare and submit reports to the grantor agency. Habitat for Humanity will be required to submit evidence of resale and client qualification, as well as maintain such information in their project files. Net Proceeds from Sale Remain with Habitat for Humanity After lengthy conversations with HUD it has been determined that the net proceeds from the sale of properties by Habitat for Humanity to income qualified persons and households is not considered program income and, therefore, need not be returned to Collier County, tracked, or reported. Close Out and Monitor Once all properties are conveyed and program funds are expended for each program, Collier County will perform a final reconciliation of funds expended and remaining, monitor for compliance, submit mandatory reports to the grantor agency, and document the activities of Habitat for Humanity. Final Reconciliation and Determination of Remaining Available Funding (NSP -1 only) Collier County will complete a full reconciliation, by address, of funds expended. The sale of single - family homes to individuals will generate revenue that will be returned to Collier County; the grant refers to this revenue as "program income." Such revenue must be spent on other eligible NSP activities. However, Collier County is under no additional expenditure deadlines under NSP -1 and, as such, any decision on the use of such `` ` ;.3 ;'_ Habitat for revenue may be postponed until a later date. These funds are Humanity estimated to be in excess of $500,000 and will be placed into the separate NSP -1 account for future Board consideration. Monitor and Long Term Compliance As grantee, Collier County cannot avoid or dissociate from the mail, responsibilities of monitoring and ensuring long term compliance, Eli including a monthly review of rental properties, an annual homestead exemption monitoring of homeownership units, a reconciliation and analysis of net operating income generated by rental housing owned by non - profit partners and affordability validation. Additionally, Collier County will continue to submit the Quarterly Performance Report ( "QPR ") as required by the grantor agency, and ensure proper documentation is retained to n detail actions taken by the not - for - profit partners. Future Outlook Staffing Collier County staff will be required to administer the program and ensure compliance. Prior to July 2011, the NSP required a staffing level sufficient to support a program that was administered internally. During the implementation stage of this recommended strategy the required staff will be actively engaged in day -to -day administration, monitoring, reporting, and communicating with Habitat for Humanity and other Not - for - Profit partners. Once the recommended strategy has been fully implemented, the staffing requirement to ensure ongoing compliance will be minimal. Financial models developed as part of this exit planning phase indicate grant funding will support the staff requirements for many years, but may not cover it in perpetuity. Considerations Any future use of funds not presently contemplated in the approved action plan would require such plan to be amended, approved by the Board of County Commissioners, and accepted by HUD. For example, an increase in the land bank strategy would likely trigger an amendment. Additionally, NSP -1 allows for nonresidential uses, however, this was not contemplated in the current action plan. Under NSP -1, Collier County may seek an amendment to the action plan and allocate any remaining funds to nonresidential uses such as, but not limited to, community centers, neighborhood parks, or other public facilities; such changes are subject to the review and approval by HUD. OBJECTIVE: To provide public notice of intent to consider final disposition of Neighborhood Stabilization Program residential properties, consistent with the requirements of Collier County Ordinance No. 2009 -63 and Section 125.35(3), Florida Statutes. CONSIDERATIONS: On October 13, 2009, agenda item 16D6, the Board of County Commissioners directed staff to develop and advertise an ordinance establishing policies and procedures to be used when selling and conveying real property acquired under the Neighborhood Stabilization Program. The development of an ordinance was required to comply with Section 125.35(3), Florida Statutes, which allows a county to adopt an ordinance to prescribe disposition standards and procedures when the requirements of Section 125.35(1)(a), Florida Statutes, are not feasible. On December 1, 2009, agenda item 17B, the Board of County Commissioners adopted Ordinance No. 2009 -63 to comply with the aforementioned statutory provisions. The ordinance requires reasonable public notice of the intent to consider final disposition of the Neighborhood Stabilization Program residential properties. Such notice must be presented as an item on the Board of County Commissioners' consent agenda. The attached list of properties have been acquired and Collier County will consider final disposition, through sale or conveyance, of these residential properties either to income qualified persons and households or not - for - profit providers of affordable housing determined eligible for participation in the Neighborhood Stabilization Program.
