INTERLOCAL AGREEMENT
FOR
FIRE AND RESCUE SERVICES
This Agreement, made and entered into this 13'µday of Sep'klmbeft, 2W5 by and
between the Board of County Commissioners of Collier County, Florida, (hereinafter
refereE to as the "COUNTY"), and the City of Marco Island. Ronda, ( terelnafter refened
Mas'City).
WHEREAS, die the desire of the County to provide fire protection to Me Goodland and
Key Memo areas of Collier County, and
WHEREAS, the County herein to provide said fire protection to a porton of Collier
County by agreement with the City, and
WHEREAS. Me above referenced portion of the County shall hereinafter be refenad to
as the 'Se ice Area', a map delineating the Service Area is attached hereto as Exhibit
X. It shall he wdthn Me following boundaries: The unincorporated area M the County
known as Gootllantl.
NOW THEREFORE,
In consideration of the mutual covenants contained herein the parties hereby agree as
follows
1. TERM OF AGREEMENT: This Agreement shall commence on Me la day of
October 2005, and will continue for a perked of two (2) rem, ending on the 30o day of
September, 2007 . Thereafter, this agreement shell be extended for additional two (2)
year terns under the same covenants, terms and condhions, unless either patty desires
to terminate or renegotiate this agreement. In Me event either pant desires to terminate
or renegotiate this agreement shall Promote wnden notice of Its intention to the other
party not less than 30 days prior. If the CM terminates, Me City W2 continue such
service for a reasonable period of time to sibw Me County to provide aftemative fire and
rescue protection. The maximum length of such reasonable Period shall be six (6)
months after the terminafion of the Contract by the City. Paymentforservicesduringthe
six (6) month period beyond Me expiration date will be based on the monthly - prorated
amount of the annual contract period In the absence of the 30 day prior wTlden notice
of Intent M terminate the Agreement by either party, the Conrad shall continue In force
until verilten notice is given, or until Me Contract is renegotiated on terms mutually
agreed upon by the pates.
2. TERMS OF PAYMENT: Forte initial year ot Me contract, the County agrees to
pay the City the annual sum of One Hundred and Two Thousand, Four Hundred Fifteen
Dollars ($102,415), payable annually on or before January 3111 of each contract year.
3. SERVICE LEVEL: The City agrees to provide fire protection and rescue
services to the service area by the City of Marco Island FirelRescue Department and
equipment available at the time of any emergency call. All decisions on manpawer and
equipment will be made by the Marco Island Fire Chief, or in his absence , by one of his

whh modem firefighting practices and consistent with or exceeding the services .-.
generally being provided to the City of Malmo Island Fire prdection and rescue services
provided by the CM will include all emergency and nonamergency services normally
performed by the Fire Department, inducing all those services retained by law. This
Agreement does not alter the Mutual Aid Agreement between the City and County.
4. COMMAND AT FIRE SCENE: The Marco Island Fire Chief, or in his apeal
one of his assistama, shall assume control and responsibility of all fire or other
applicable emergencies in the Service Area where the City has responded
5. EQUIPMENT AND PERSONNEL: The City shall maintain equipment and
personnel necessary to provitle adequate fire protection and rescue services to the
servlco area. The City shall be raspon6lde for pmpedy training all of said personnel.
5. RECORDS: The City agrees to maintain records on all responses, and provide
st rta4cs as necessary.
T. BREACH OF CONTRACT: Non - compliance with any provision of this
Agreement by either party shall constitute a material breach. The breaching party shall
have seven (7) days after receipt of writlen notice d any breach to coned that breach,
or it corrections cannot be made within the seven (7) day period, a reasonable agreed
upon time shall be given to coned the breach. In the event the breadr cannot be cued
within such the periods, the non - breaching party may declare the contred dominated,
and shall so note y the other party in writing. In such event, an adjustment In the contract
payment shall be made based upon a monthly - prorated amount of the annual contract
Payment.
8. CONSENT OF THE PARTIES: The City hereby agrees not to enter into a
contract for fire protection and rescue services with any individuals or organizations
within the service area of Collier County without the wnfien consent of the County.
9. INDEMNITY AND INSURANCE:
A. INDEMNITY. CITY agrees, to the extent allowed by Section 768.28 R S.,
that 6 will indemnity, depend. and hold harmless COUNTY and all of COUNTY'S officers,
agents, and employees from any data, loss, damage, cost, charge or expense arising
out pf any acts, actions, neglect or mission by CITY, its agents, employees, or
subcontractors during the performance of this agreement, Mother died or indirect, and
Mother to any person or property to which COUNTY or said parties may be subject,
except that neither CITY nor any of its subcmM'actors will be liable under this section for
damages arising out of injury or damage to persons or property directly caused or

It is specifically agreed between the parties executing this agreement that it is not
intended by any of the provisions of any pan of the agreement to create ld the public or
any member thereof, a third party beneficiary hereunder, or to authorize anyone not a
party to this agreement to maintain a suit for personal injuries or property damage
pursuant to the terms or provisions ofthis agreement.

B. LIABILITY INSURANCE. The CITY coverings to keep in force during the
period of this agreement adequate puNic (ability insurance and property, damage
Insurance.
10. NONAPPROPRIATIONS CLAUSE: If for any reason the City or Count)&
governing body does not approve the funds to implement this contract in any given fatal
year, the coni shall be null and void.
11. NOTICES: Any notions permitted or required by this Agreement shall be in
wndrg and submitted by ceded mail, return receipt requested, to are of the folowtng
addresses, as appropriate.

Of $99,100. This invoice reflects the appropriate monetary change as agreed
upon during previous meetings. The amount invoiced is for the City of Marco
Island providing fire protection for the area known as Goodland from October 1,
2010 until September 30, 2011. The monies reflect the amount of collection from
the Goodland MSTU during Collier County's Fiscal Year 2011.
