07/10/2018 EXECUTIVE SUMMARY Recommendation to approve and authorize the Chair to sign three (3) Assumption Agreements to Aptim Environmental & Infrastructure, Inc. (fka CB&I Environmental & Infrastructure, Inc.) assigning all rights, duties and benefits, and obligations under Agreements # 15-6382, #15-6397 and #17-7097. OBJECTIVE: To assign Agreement #15-6382 “Grant Funded Professional Services for Coastal Zone,” Agreement #15-6397 “Environmental & Biological Studies,” and Agreement #17-7097 “Collier Creek Modeling” to Aptim Environmental & Infrastructure, Inc. CONSIDERATIONS: The Board of County Commissioners approved the following Agreements as shown in table below; Agreements awarded to: CB&I Environmental & Infrastructure, Inc. Board Date/Agenda Item Agreement # Project Title June 9, 2015; 16. A.22 15-6382 “Grant Funded Professional Services for Coastal Zone June 23, 2015; 16. F.4 15-6397 “Environmental & Biological Studies” June 11, 2017; 16. A.17 17-7097 “Collier Creek Modeling” Aptim Environmental & Infrastructure, Inc. (Aptim), represents and warrants to the County that through an acquisition, it is now the successor in interest to CB&I Environmental & Infrastructure, Inc. with respect to these Agreements. Staff was notified of the company’s name change on August 11, 2017. Upon the recent request for contract renewal, the firm informed staff it had been acquired by Aptim Environmental & Infrastructure, Inc. The necessary documents were obtained from Aptim, which have been reviewed and approved by the County Attorney’s Office. The Procurement Services Division is recommending approval of the Assumption Agreements which sign all rights, duties, benefits, and obligations under Agreements #15- 6282, #15-6397, and #17-7097 to Aptim Environmental & Infrastructure, Inc. FISCAL IMPACT: There is no fiscal impact associated with this action. GROWTH MANAGEMENT IMPACT: There is no Growth Management Impact associated with this Executive Summary. LEGAL CONSIDERATIONS: The County Attorney has reviewed this item and approved it as to form and legality. Majority support is required for approval.
