Agenda 02/28/2012 Item #16E52/28/2012 Item 16.E.5. EXECUTIVE SUMMARY Recommendation to award and authorize the Chairman to sign an engineering design Contract in the amount of $419,500 to H2 Engineering, Inc., for RFP 12 -5809 — Engineering Design for Renovation /Replacement of HVAC Systems in oldest section of the Collier County Naples Jail Center, Project No. 53172. OBJECTIVE: To provide the engineering services necessary for the renovation /replacement of the existing, 28 year old, HVAC systems and corresponding controls in the oldest section of the Naples Jail Center. These systems have reached the end of their useful service lives and are no longer maintainable or compliant with current standards and codes. CONSIDERATIONS: This project is a planned replacement of obsolete and un- reliable, un- maintainable HVAC equipment. The existing HVAC systems in the oldest section of the Naples Jail Center are the original, 1984 equipment. These 28 -year old systems are predominantly installed in hardened, secure ceilings above the long hallways between cell blocks, with numerous thermostatically controlled, Variable Air Volume (VAV) boxes located throughout for providing conditioned air to each area. Maintenance access is limited to a few locked ceiling access manholes in the hallways or through a return air grill located between the ceiling plenum space and the air - handling units. The air handlers, VAV boxes, booster fans, control mechanisms, and fire dampers along with the control equipment have far exceeded their useful life and are now virtually non - maintainable due to the obsolescence of the parts required for repairs. The project for the replacement of the systems was approved in the FY 2012 Budget. At the January 10, 2012, BCC meeting, Agenda Item 16 -E3, the results of RFP 12 -5809 for engineering design of a new system were submitted. The Board approved the Selection Committee's recommended shortlist and directed staff to bring a negotiated contract back to the Board for approval. The scope of the contract provides professional engineering design services for the complete engineering package to replace the existing, outdated, and problematic systems with new, energy efficient systems. These services include conceptual design through final bid documents, permitting, add alternates for engineering services during construction, and commissioning services for system acceptance. The new systems will be designed to meet current codes, the latest HVAC and air - quality guidelines, and also to provide improved energy efficiency and access for maintenance in the secure, correctional environment. Staff has negotiated with the top- ranked engineering firm on the shortlist, and has reached agreement on a lump sum price for all engineering design services totaling $419,500. This amount is within the State Guidelines for Architectural and Engineering Services. Separate tasks within the lump sum contract provide for engineering construction administration and commissioning services during each of the four, fiscal year phases of installation. These construction schedule related, engineering tasks will be released by separate NTPs (Notice to Proceed) along with the NTPs for the actual construction installation work, according to budget funding availability and jail access scheduling limitations. FISCAL IMPACT: This contract is part of a planned HVAC replacement project and is budgeted in the County Wide Capital Improvement Fund 301, Project 53172 — Building 'J' Renovations in the amount of $1,060,000 for FY 2012. The current budget amount provides only approximately 25% of the preliminary estimated total cost for design and construction. Due to budgeting constraints, the Budget Item recognizes that this project will extend in phases over approximately a 4 year period for an estimated total cost of $4,242,000 for the Engineering and Packet Page -1801- 2/28/2012 Item 16.E.5. Construction work to replace the entire existing system in the oldest section of the Naples Jail Center facility. After subtracting the cost of the engineering design services, the capital outlay for materials and installation will be budgeted at the remainder or $3,822,500. The new systems will have an expected useful life of 25 years (annual capital cost of $152,900). Since this project is for replacement of an existing system, there are no increased personnel or maintenance /operating expenses. As a result of improved maintainability and improved energy efficiency, two of the key objectives for this project, the future maintenance and operational costs for the new systems should be less than the current costs. When the construction installation contract award is brought to the BCC for approval, sufficient data may be available to provide a reasonably accurate estimate of the potential, future operational cost savings. GROWTH MANAGEMENT IMPACT: There is no impact on the Growth Management Plan. LEGAL CONSIDERATIONS: This item has been reviewed by the County Attorney's Office, is legally sufficient for Board action, and requires majority vote. — CMG RECOMMENDATION: To approve award of an engineering design contract to H2 Engineering, Inc., in the amount of $419,500 for RFP 12 -5809 — Engineering Design for Renovation /Replacement of HVAC Systems in oldest section of Collier County Naples Jail Center, Project-No. 53172, and authorize the chairman to sign the contract. Provided, however, if through no fault or neglect of CONSULTANT, the services to be provided hereunder have been delayed for a total of 180 calendar days, CONSULTANT'S compensation shall be equitably adjusted, with respect to those services that have not yet been performed, to reflect the incremental increase in costs experienced by CONSULTANT, if any, as a result of such delays. 4.4 Should the CONSULTANT fail to commence, provide, perform or complete any of the services to be provided hereunder in a timely manner, in addition to any other rights or remedies available to the OWNER hereunder, the OWNER at its sole discretion and option may withhold any and all payments due and owing to the CONSULTANT until such time as the CONSULTANT resumes performance of its obligations hereunder in such a manner so as to reasonably establish to the OWNER's satisfaction that the CONSULTANT'S performance is or will shortly be back on schedule. 4.5 In no event shall any approval by OWNER authorizing CONSULTANT to continue performing Work under this Agreement or any payment issued by OWNER to CONSULTANT be 9 Packet Page -1813- 2/28/2012 Item 16.E.5. deemed a waiver of any right or claim OWNER may have against CONSULTANT for delay or any other damages hereunder. CONSULTANT shall be solely responsible for all costs associated with delivering to OWNER the Project Documents. CONSULTANT, at its own expense, may retain copies of the Project Documents for its files and internal use. 62. Notwithstanding anything in this Agreement to the contrary and without requiring OWNER to pay any additional compensation, CONSULTANT hereby grants to OWNER a nonexclusive, irrevocable license in all of the Project Documents for OWNER'S use on this Project. CONSULTANT warrants to OWNER that it has full right and authority to grant this license to OWNER. Further, CONSULTANT consents to OWNER'S use of the Project Documents to complete the Project following CONSULTANT'S termination for any reason or to perform additions to or remodeling, replacement or renovations of the Project. OWNER shall have the right to terminate this Agreement, in whole or in part, without cause upon seven (7) calendar day's written notice to CONSULTANT. In the event of such termination for convenience, CONSULTANT'S recovery against OWNER shall be limited to that portion of the fee earned through the date of termination, together with any retainage withheld and any costs reasonably incurred by CONSULTANT that are directly attributable to the termination, but CONSULTANT shall not be entitled to any other or further recovery against OWNER, including, but not limited to, anticipated fees or profits on work not required to be performed. CONSULTANT must mitigate all such costs to the greatest extent reasonably possible. 12.4.
