111\, 11/12/2013 16.D.8. EXECUTIVE SUMMARY Recommendation to approve an Assignment and Assumption of Lease Agreement allowing NWNG LLC, new owner of Waldorf Astoria Naples, to use the gatehouse and boardwalk/concession stand and operate the tram located at the Clam Pass Park. OBJECTIVE: To allow NWNG LLC, the new owner of the Waldorf Astoria Naples, to complete the remaining term of a lease agreement for County facilities located at Clam Pass Park. CONSIDERATIONS: On October 23, 2007, Agenda Item No. IIN, the Board approved a Lease Agreement with Lehill Partners, LLC, former owner of the Waldorf Astoria Naples. The Lease Agreement includes the gatehouse and boardwalk/concession stand located at the Clam Pass Park. The initial term of the Lease Agreement ends on October 23, 2017. The Lease Agreement may be renewed for two additional terms of five years as more specifically provided in the Lease Agreement. The Lease Agreement requires Lessee to operate a tram service on the boardwalk. Lessee is also required to maintain the bathrooms and oversee the use of the boardwalk, beachside facilities and immediately adjacent beach. The Lease Agreement allows food and beverages and alcohol to be served under certain circumstances. Recently the ownership of the Waldorf Astoria Naples was transferred to NWNG LLC. The Parks and Recreation Department staff is recommending approval of the Assignment and Assumption of Lease Agreement by the new firm NWNG LLC. If this item is approved the performance bond will be returned to Lehill Partners, LLC and replaced with a $15,000 bond from NWNG LLC. As required by the Lease Agreement, Lehill Partners, LLC funded the capital improvements to the concession facilities. FISCAL IMPACT: There is no fiscal impact. GROWTH MANAGEMENT IMPACT: There is no Growth Management Impact associated with this Executive Summary. LEGAL CONSIDERATIONS: This item is approved as to form and legality and requires a majority vote for Board approval. - JAB RECOMMENDATION: That the Board of County Commissioners approves and authorizes the Chairwoman to sign the Assignment and Assumption of Lease Agreement.
