OBJECTIVE: To appoint two members to the Educational Facilities Authority for terms expiring on March 23, 2018. CONSIDERATIONS: The Educational Facilities Authority had one member resign and one member pass away. This five member authority was established by the BCC on March 23, 1999 by Resolution No. 99-177 pursuant to FL STAT 243.18 —243.40 to transact any and all business and to exercise any and all powers authorized by the Act for an educational facilities authority. EFA is limited to financing projects on behalf of private, nonprofit, post secondary educational facilities. Terms are five years. A list of the current membership is included in the backup. One appointment is to fill the unexpired term of Ross Obley,who passed away several months ago. The other is to fill the remainder of the term of David Easlick, who has informed the Authority that he has moved out of state,has already registered to vote in his new state, and is therefore not a Florida resident and by law cannot serve on the Authority. The Authority's need is immediate, as the Authority has received an application from Hodges University for the refunding of its outstanding bonds in the next several weeks. You have informed me that Alice J. Carlson and William J. Reagan have applied for these openings, and have requested a recommendation with regard to these applications. With regard to Alice Carlson, she is a former member of the Authority and was our chairwoman for two years. In addition to her previous experience on the EFA,her business involves managing and maintaining CDD assessment rolls, an adjunct to the tax-exempt financing for a CDD, and therefore she is very familiar with the process for considering applications for tax-exempt bonds. Of primary importance in the appointment of members to an Authority like EFA is attendance and availability for meetings, since most meetings are special meeting called and held for the purpose of consider bond applications, and expeditious action is generally required in order to achieve favorable bond pricing. Ms. Carlson had a perfect attendance record when she was a member of EFA. Her CDD business does not present a conflict or potential conflict with her duties on the Authority. William J. Reagan is a 40+-year resident of Collier County, and is a former Clerk of the Circuit Court and a former member of the Housing Finance Authority of Collier County, and is very familiar with the process for considering applications for tax-exempt bonds. For the past 30+years he has been an investment banker, dealing in the underwriting of tax-exempt bonds. In addition; Mr. Reagan has served as a financial advisor to many Florida counties, cities, and special districts on matters concerning the issuance of bonds. Mr. Reagan had a perfect Packet Page-131- N . 9/10/2013 10.J. attendance record when a member of the Housing Finance Authority. The investment banking firm by which he is employed does not engage in the underwriting of bonds of the type issued by the EFA, and therefore his business does not present a conflict or potential conflict with his duties on the Authority For the reasons stated above the appointment of both these persons is highly recommended.
