EXECUTIVE SUMMARY Recommendation to approve Petition VAC-PL20120002603, to disclaim, renounce and vacate all of Preserve P-6 and a portion of Preserve P-8, as recorded in Official Record Book 2406, pages 0549 through 0589, of the Public Records of Collier County, Florida, all of Preserve/Replant areas PA94, PA95, a portion of Preserve/Replant areas PA96 and PA102, being a part of Tract 8 of Vanderbilt Country Club - 2, Plat Book 32, pages 42 through 55 of the Public Records of Collier County, Florida, and a portion of Preserve/Replant areas PA96 and PA102, being a part of Tract FD10 of Vanderbilt Country Club - 2, Plat Book 32, pages 42 through 55 of the Public Records of Collier County, Florida, being a part of Section 35, Township 48 South, Range 26 East, Collier County, Florida, more specifically shown in Exhibit A and to approve the Grant of Easement to replace the vacated Preserve/Replant areas. OBJECTIVE: To adopt a resolution to vacate the County and the public interest in all of Preserve P-6 and a portion of Preserve P-8, as recorded in Official Record Book 2406, pages 0549 through 0589, of the Public Records of Collier County, Florida, all of Preserve/Replant areas PA94, PA95, a portion of Preserve/Replant areas PA96 and PA102, being a part of Tract 8 of Vanderbilt Country Club - 2, Plat Book 32, pages 42 through 55 of the Public Records of Collier County, Florida, and a portion of Preserve/Replant areas PA96 and PA102, being a part of Tract FD10 of Vanderbilt Country Club - 2, Plat Book 32, pages 42 through 55 of the Public Records of Collier County, Florida, being a part of Section 35, Township 48 South, Range 26 East, Collier County, Florida, more specifically shown in Exhibit A and replace them with alternate Preserve Easements, (See Exhibit B,part of the Grant of Easement). CONSIDERATIONS: Petition VAC-PL20120002603 has been received by the Engineering Services, Growth Management Division, Planning and Regulation from Mark McCleary, of Community Engineering Services, Inc., as agent for the property owner. This request is to vacate all of Preserve P-6 and a portion of Preserve P-8, as recorded in Official Record Book 2406, pages 0549 through 0589, of the Public Records of Collier County, Florida, all of Preserve/Replant areas PA94,PA95, a portion of Preserve/Replant areas PA96 and PA102, being a part of Tract 8 of Vanderbilt Country Club - 2, Plat Book 32, pages 42 through 55 of the Public Records of Collier County, Florida, and a portion of Preserve/Replant areas PA96 and PA102, being a part of Tract FD10 of Vanderbilt Country Club - 2, Plat Book 32, pages 42 through 55 of the Public Records of Collier County, Florida, being a part of Section 35, Township 48 South, Range 26 East, Collier County, Florida. The vacation of the above easements is to accommodate the new improvements to the existing Club House Facility. New Preserve Easements (Exhibit B) have been executed by the applicant to replace the area lost from the vacation and a copy of the Preserve Easements is attached. Exhibit B has been revised to create the new Preserve Easements around an existing utility and Century Link easement as shown in Exhibit C. A copy of the Grant of Easement to be approved is attached. In addition, a site map has been included depicting both the areas to be vacated and the replacement conservation easement areas. Packet Page-2017- 3/12/2013 17.B. Letters of no objection from abutting property owners have been received from all who responded. FISCAL IMPACT: Growth Management Division, Planning and Regulation staff has collected a$2,100 "Petition to Vacate" fee from the petitioner which covers the County's cost of recording and processing the Petition. GROWTH MANAGEMENT IMPACT: There is no growth management plan impact. LEGAL CONSIDERATIONS: This item has been reviewed by the County Attorney's Office, is legally sufficient, and requires a majority vote for approval. -ERP RECOMMENDATIONS: That the Board of County Commissioners; 1) approves the attached Resolution, relating to Petition VAC-PL20120002603, which will vacate all of Preserve P-6 and a portion of Preserve P-8, as recorded in Official Record Book 2406, pages 0549 through 0589, of the Public Records of Collier County, Florida, all of Preserve/Replant areas PA94, PA95, a portion of Preserve/Replant areas PA96 and PA102, being a part of Tract 8 of Vanderbilt Country Club - 2, Plat Book 32, pages 42 through 55 of the Public Records of Collier County, Florida, and a portion of Preserve/Replant areas PA96 and PA 102, being a part of Tract FD 10 of Vanderbilt Country Club - 2, Plat Book 32, pages 42 through 55 of the Public Records of Collier County, Florida, being a part of Section 35, Township 48 South, Range 26 East, Collier County, Florida, more specifically shown in Exhibit A, 2) approves the Grant of Easement to provide replacement conservation easement areas and 3) directs the Clerk to the Board to record a certified copy of the Resolution and the Grant of Easement in the Public Records, and to make proper notation of these documents on the plat of Vanderbilt Country Club-2, recorded in Plat Book 32, Pages 42 through 55 of the public records of Collier County, Florida. CONSERVATION EASEMENT Return recorded document to: Board of County Commissioners 3299 Tamiami Trail East, Suite 303 Naples, FL 34112-5746 THIS CONSERVATION EASEMENT is given this /Cday of January, 2013, by Vanderbilt Community Association, Inc., a Florida not for profit corporation ("Grantor") whose mailing address is: 8250 Danbury Boulevard, Naples, Florida, 34120, to the Board of County Commissioners of Collier County, Florida ("Grantee" or "County"). As used herein, the term "Grantor" shall include any and all heirs, successors or assigns of the Grantor, and all subsequent owners of the "Property" (as hereinafter defined) and the term "Grantee" shall include any successor or assignee of Grantee. WITNESSETH WHEREAS, the Grantor is the owner of certain lands situated in Collier County, Florida, and more specifically described in Exhibit "A" attached hereto and incorporated herein ("Property"); and WHEREAS, the Grantor desires to construct improvements ("Project") at a site in Collier County; and WHEREAS, the Grantor has applied to Grantee for a vacation of certain preserve and conservation easements, VAC-PL20120002603, in conjunction with an application for Site Development Plan Amendment approval, #PL20110002672 ("SDP"); and WHEREAS, the SDP requires that the Grantor preserve, enhance, restore and/or mitigate certain uplands; and WHEREAS, the Grantor, in consideration of the vacation of certain preserve and conservation easements by Grantee and issuance of the SDP, is agreeable to granting and securing to the Grantee a perpetual Conservation Easement as defined in Section 704.06, Florida Statutes, over the areas described on Exhibit "B" ("Conservation Easement"). NOW, THEREFORE, in consideration of the vacation of certain preserve and conservation easements and issuance of the SDP to construct and operate the permitted activity, together with other good and valuable consideration, the adequacy and receipt of which are hereby acknowledged, Grantor hereby grants, creates, and establishes a perpetual Conservation Easement for and in favor of the Grantee over and upon the property described on Exhibit "B" which shall run with the land and be binding upon the Grantor, and shall remain in full force and effect forever. The scope, nature, and character of this Conservation Easement shall be as follows: 1. Recitals. The recitals hereinabove set forth are true and correct and are hereby incorporated into and made a part of this Conservation Easement. Packet Page-2027- 3/12/2013 17.B. 2. Purpose. It is the purpose of this Conservation Easement to retain land in their natural, vegetative, hydrologic, scenic, open, agricultural or wooded condition and to retain such areas as suitable habitat for plants or wildlife. Those areas included in this Conservation Easement which are to be enhanced or created pursuant to the SDP shall be retained and maintained in the enhanced or created conditions required by the SDP. To carry out this purpose, the following rights are conveyed to Grantee by this easement: a. To enter upon the Property at reasonable times with any necessary equipment or vehicles to enforce the rights herein granted in a manner that will not unreasonably interfere with the use and quiet enjoyment of the Property by Grantor at the time of such entry; and b. To enjoin any activity on or use of the Property that is inconsistent with this Conservation Easement and to enforce the restoration of such areas or features of the Conservation Easement that may be damaged by any inconsistent activity or use. 3. Prohibited Uses. Except for restoration, creation, enhancement, maintenance and monitoring activities, or surface water management improvements, or other activities described herein that are permitted or authorized by the SDP, the following activities are prohibited in or on the Conservation Easement: AIORikk a. construction or placing of buildings, roads, signs, billboards or other advertising, utilities other than subsurface electrical, cable television and telecommunication lines within the areas described and depicted on the attached Exhibit "C", including the maintenance and repair thereof, or other structures on or above the ground without the prior written consent of the Grantee; b. dumping or placing of soil or other substance or material as landfill, or dumping or placing of trash, waste, or unsightly or offensive materials; c. removal or destruction of trees, shrubs, or other vegetation, except for the removal of exotic or nuisance vegetation in accordance with the SDP or a County approved maintenance plan; d. excavation, dredging, or removal of loam, peat, gravel, soil, rock, or other material substance in such manner as to affect the surface; e. acts or uses detrimental to such aforementioned retention of land areas. f. surface use, except for purposes that permit the land area to remain predominantly in its natural condition or to repair/maintain subsurface electrical, cable television and telecommunication lines within the areas described and depicted on the attached Exhibit "C". Packet Page -2028- 3/12/2013 17.B. 4. Grantor's Reserved Rights. Grantor reserves all rights as owner of the Property, including the right to engage in uses of the Property that are not prohibited herein and which are not inconsistent with the SDP any County Ordinances, criteria, development order and the intent and purposes of this Conservation Easement. 5. No Dedication. No right of access by the general public to any portion of the Property is conveyed by this Conservation Easement. 6. Grantee's Liability. Grantee shall not be responsible for any costs or liabilities related to the operation, upkeep or maintenance of the Property. 7. Property Taxes. Grantor shall keep the payment of taxes and assessments on the property current and shall not allow any lien on the property superior to this Easement. In the event Grantor fails to extinguish or obtain a subordination of such lien, in addition to any other remedy, the Grantee may, but shall not be obligated to, elect to pay the lien on behalf of the Grantor and Grantor shall reimburse Grantee for the amount paid by the Grantee, together with Grantee's reasonable attorney's fees and costs, with interest at the maximum rate allowed by law, no later than thirty (30) days after such payment. In the event the Grantor does not so reimburse the Grantee, the debt owed to Grantee shall constitute a lien against the property which shall automatically relate back to the recording date of this Easement. Grantee may foreclose this lien on the property in the manner proved for mortgages on real property. 8. Enforcement. Enforcement of the terms, provisions and restrictions of this Conservation Easement shall be at the reasonable discretion of Grantee, and any forbearance on behalf of Grantee to exercise its rights hereunder in the event of any breach hereof by Grantor, shall not be deemed or construed to be a waiver of Grantee's rights hereunder. 9. Assignment. Grantee will hold this Conservation Easement exclusively for conservation purposes. Grantee will not assign its rights and obligations under this Conservation Easement except to another local agency dedicated to the conservation and preservation of land in its natural or restored state. 10. Severability. If any provision of this Conservation Easement or the application thereof to any person or circumstances is found to be invalid, the remainder of the provisions of this Conservation Easement shall not be affected thereby, as long as the purpose of the Conservation Easement is preserved. 11. Written Notice. All notices, consents, approvals or other communications hereunder shall be in writing and shall be deemed properly given if sent by United States certified mail, return receipt requested, addressed to the appropriate party or successor-in-interest. 12. Modifications.
