Easement to FPL and authorizing the Chairman to execute the Easement, Underground
Distribution Facilities Installation Agreement and appurtenant documents.
Attached are the original Underground Easement, Underground Distribution Facilities
Installation Agreement and appurtenant documents for attestation. Please attest to
Commissioner Solis' signature as Chairman on the documents and return a copy of the
attested documents to the email address below.
After attesting to the Chairman's signature on the Underground Easement, please record the
Underground Easement using the recording form attached.

The undersigned, in consideration of the payment of $1.00 and other good and valuable consideration,
the adequacy and receipt of which is hereby acknowledged, grant and give to Florida Power & Light
Company, its licensees, agents, successors, and assigns ("FPL"), a non-exclusive easement forever for the
construction, operation and maintenance of underground electric utility facilities (including cables,
conduits, appurtenant equipment and appurtenant above ground equipment) to be installed from time to
time;with the right to reconstruct, improve, add to, enlarge, change the voltage, as well as, the size of and
remove such facilities or any of them within an easement described as follows:

Together with the right to permit FPL to attach wires to any facilities hereunder and lay cable and conduit
within the easement and to operate the same for FPL's communications purposes; the right of ingress and
egress to the Easement Area at all times; the right to clear the land and keep it cleared of all trees,
undergrowth and other obstructions within the Easement Area; the right to trim and cut and keep trimmed
and cut all dead, weak, leaning or dangerous trees or limbs outside of the Easement Area which might
interfere with or fall upon the lines or systems of communications or power transmission or distribution; and
further grants, to the fullest extent the undersigned has the power to grant, if at all, the rights hereinabove
granted on the Easement Area heretofore described, over, along, under and across the roads, streets or
highways adjoining or through said Easement Area.

UNDERGROUND DISTRIBUTION FACILITIES INSTALLATION AGREEMENT
This Agreement, made this _14-"lay of , 2017, by and between Collier County (hereinafter called the Customer) and
FLORIDA POWER & LIGHT COMPANY, a co ration organized and existing under the laws of the State of Florida (hereinafter
called FPL).

Whereas,the Customer has applied to fPI for underground distribution facilities hi he installed on Customers property known as t'IFRIX'located on 39th Ave NE in
Collier,Florida.
That for and in consideration of the covenants and agreements herein set forth,the parties hereto covenant and agree as follows
I. The Customer shall pay FPL a Contribution in Aid of Construction of 527.645.60(the Contribution)to cover the differential cost between an underground and an
overhead system. This is based on the currently effective tariff filed with the Florida Public Service Commission by FPl

located on private property in easements as required by FPL The contribution is based on employment of rapid production techniques and cooperation to
eliminate conflicts with other utilities Underground service,secondary,and primary conductors are to be of standard FPI design,in conduit,and with above-
grade appurtenances

the Customer as specified by FPI.

and/or construction of FPI facilities FPL may require mortgage subordinatuons when the Customer's property,on which FPL will install Its facilities,is
mortgaged and(I)Gere are no provisions in the mortgage that the lien of the mortgage will be subordinate to utility easements,(2)FPL's easement has not been
recorded prior to the recordation of the mortgage,(3)FPL's facilities are or will be used to serve other parcels of property,or(4)other circumstances exist which
FPI.determines would make such a subordination necessary
a) The Customer shall furnish FPL a copy of the deed or other suitable document,which contains a full legal description,and exact name of the legal owner to
be used when an easement is prepared,as required by FPI.
b) The Customer shall furnish drawings satisfactory to FPL,showing the location of existing and proposed structures on the C'ustomer's constniction site,as
required by FPL
e) Should for any reason,except for the sole eror of FPI„FPL's facilities not be constructed within the easement.FPI.may require the customer to grant new
easements and obtain any necessary mortgage subordinatlons to cover Fig.'s installed facilities,at no cast to FPI,and FPL will release the existing
casement. Mortgage subordination,'will be necessary in this context when:
I) the Customer's property out which FPL will install its facilities is mortgaged,
2) there are no provisions in the mortgage for subordination of the lien of the mortgage to utility casements,or
3) FPI's facilities are or will be used to serve other parcels of property.
7 Before FPL can begin its engineering work on the underground electric distribution facilities,the Customer shall provide FPI.with the following
al Paving,grading.and drainage plans showing all surface and subsurface drainage satisfactory to FPL,
b) A construction schedule,
c) An estimate of when electric service will be required,and
d) Copies of the Customer's final construction plans as well as other construction drawings(plot,site,sewage,electrical,etc)requested by FPL plats provided
by the Customer must be either recorded by the circuit clerk or other recording officer or prepared and certified as meeting the requirements for recording
(except approval by the governing body)by a registered land surveyor

8.Prior to FPL construction pursuant to this agreement,the Customer shall
a) Clear the FPI.easement on the Customer's property of tree stumps all trees,and other obstructions that conflict with construction,including the drainage of
all flooded areas The Customer shall be responsible for clearing,compacting.boulder and large rock removal.stump removal,paving and addressing other
special conditions 'The casement shall be graded to within sic inches of final grade with soil stabilized
hi Pmvide property line and comer stakes,designated by a licensed surveyor,to establish a reference for locating the underground cable trench route in the
easement and additional reference points when required by FPL Also,the Customer shall provide stakes identifying the location,depth,size and type
facility of all non-FPI underground facilities within or near the easement where FPI distribution facilities sill be installed The Customer shall maintain
these stakes,and if any of these stakes are lost,destroyed or moved and FPL requires their use,the Customer shall replace the stakes at no cost to 1'Pl
unless the stakes arc lost,destroyed nr moved by an aeent.employee.contractor or subcontractor of FPI,in which case FPI.will pay the Customer the cost
of replacing the stakes
c) It is further understood and agreed that subsequent relocation or repair of the FPI system,once installed,will be paid by the Customer if said relocation or
repair is a result of a change in the grading by the Customer or any of the('mimic-es contractors or subcontractors from the time the underground facilities
were installed:and,that subsequent repair to FPL's system,once installed,will he paid by the Customer if said repair is a result of damage caused by the

Customer,all additional costs for trenching and backfilling shall be paid by the Customer,and none of the costs of restoring paving,landscaping,grass
sprinkler systems and all other surface obstructions to their original condition,should they be installed prior to f Pl.'s facilities,shall be borne by FPI.
e) Pay for all additional'oats incurred by FPL which may include,but are not limited to,engineering design,administration and relocation expenses,due to
changes made subsequent to this agreement on the subdivision or development layout or grade

10. This Agreement is subject to FPL's Electric Tariff.including bin not limited to the General Rules and Regulations for Electric Service and the Rules of the Florida

UNDERGROUND ROAD/PAVEMENT CROSSING AGREEMENT
This Agreement,made this 14:/lay of 14%4 ,2017,by and between Collier County(hereinafter called the Customer)and
Florida Power& Light Company,a corporation rganized and existing under the laws of the State of Florida(hereinafter called FPL)
WHEREAS the Customer has requested the pre-approval of the location and installation of underground distribution facilities to be
located in a described FPI.easement provided by the Customer.

That,for and in consideration of the covenants and agreements herein set forth,the parties hereto covenant and agree as follows:
1.The Customer shall:
a) Install conduit,cable markers,and associated materials provided by FPL.in accordance with the instructions and
specifications attached to this Agreement;
b) be solely responsible for the installation of conduit at the correct location and the correct depth pursuant to the FPL
construction drawings and specifications;
c) assume liability for any delays and/or additional costs to FPL caused by a conduit installation that is not consistent
with the instructions and specifications attached to this Agreement;
d) assume liability for materials lost,stolen,or damaged once the Customer receives the material;
e) provide reasonable notification of the conduit installation date and allow FPL to inspect the conduit installation
prior to backfilling the trench created for the underground distribution facility;
f) at the request of FPL,correct any discrepancies,within two(2)working days,found in the installation that are
inconsistent with the instructions and specifications attached to this Agreement,or pay FPL the associated cost to
correct the installation within thirty(30)days of receiving the associated bill,and in either case,
reimburse FPL for costs associated with lost crew time due to such discrepancies;
g) provide survey control points for FPL to stake the road/pavement crossing;
h) provide"as built"prints within two(2)weeks of final installation,and
i) provide for pick-up of materials.
2. FPL shall:
a) provide instructions and specifications for the installation of FPL-provided conduit;
b) provide conduit,cable markers,and required materials to the Customer for the installation of underground facilities
at the specified road/pavement crossing;
c) provide staking for the Customer at the specified road/pavement crossing;

d) inspect the underground distribution facilities prior to the backfilling of the trench to insure proper installation of
said facilities;
e) furnish any additional material at the current cost plus applicable loading and delivery charges;
apply a credit in the amount of SO in the event that the Customer has made or has agreed to
make a contrihution in aid of construction for other underground distribution facilities associated with this
Agreement;
g) assume no liability for materials lost,stolen,or damaged once received by the customer;
h) assume no liability for delays caused by delivery deficiency, including,but not limited to,insufficient,lost,stolen.
or damaged material;
i) assume no liability for delays because of misunderstanding of installation drawings or specifications;
j) assume no liability for delays or additional cost caused by an inadequacy of the conduit system installation,and
k) assume no liability for special incidental or consequential damages of any nature.

project. It is imperative that you visually survey the area and that you also take the necessary steps to identify all overhead and underground facilities
prior to commencing construction to determine whether the construction of any proposed improvements will bring any person. tool. machinery.
equipment or object closer to FPI's power lines than the OSIIA-prescribed limits. If it will,you must either re-design your project to allow it to he built
safely given the pre-existing power line location, or make arrangements with FPL. to either deenergi,e and ground our facilities. or relocate them,
possibly at your expense. You must do this before allowing any construction near the power lines. It is impossible for FPI to know or predict
whether or not the contractors or subcontractors,and their employees,will operate or use cranes,digging apparatus or other mobile equipment,or handle
materials or tools,in dangerous proximity to such power lines during the course of construction,and,if so.when and where. Therefore,if it becomes
necessary for any contractor or subcontractor,or their employees,to operate or handle cranes,digging apparatus.draglines.mobile equipment,or any
other equipment,tools or materials in such a manna that they might come closer to underground or overhead power lines than is permitted by local.state
or federal regulations,you and any such contractor or subcontractor must notify FPI.in writing of such planned operation prior to the commencement
thereof and make all necessary arrangements with FPL in order to carry out the work in a safe manner. Any work in the vicinity of the electric lines
should be suspended until these arrangements are finalized and Implemented.
The National Electrical Safety Code("NES('") prescribes minimum clearances that must be maintained If you build your structure so that those
clearances cannot be maintained,you may he required to compensate FPI.for the relocation of our facilities to comply with those clearances. As such.
you should contact FPL prior to commencing construction near pre-existing underground or overhead power lines to make sure that your proposed
improvement does not impinge upon the NESC clearances.
It is your responsibility and the responsibility of your contractors and subcontractors on this project to diligently fulfill the following obligations:
I. Make absolutely certain that all persons responsible for operating or handling cranes,digging apparatus,draglines,mobile equipment or any
equipment,tool,or material capable of contacting a power line.are in compliance with all applicable state and federal regulations,including
but not limited to U.S.Department of Labor OSI1A Regulations,while performing their work.
2. Make sure that all cranes,digging apparatus,draglines.mobile equipment,and all other equipment or materials capable of contacting a
power line have attached to them any warning signs required by U.S.Department of Labor OSHA Regulations.
3 Post and maintain proper warning signs and advise all employees,new and old alike,of their obligation to keep themselves,their tools,

6. When an excavation is to take place within a tolerance zone,an excavator shall use increased caution to protect underground facilities.
The protection requires hand digging.pot holing,soft digging.vacuum methods,or similar procedures to identify underground facilities.
A copy of this notification must be provided by you to each contractor and subcontractor on this project, to be shared with their supervision and
employees prior to commencing work on this project.

CUSTOMER AGREES TO:
1.GENERAL:
1.I Provide a suitable location,compacted and level to 3"below final grade,for FPL transformer pad and install
secondary/service from pad to building as specified on the attached Exhibit"A"and as outlined below.
1.2 It is further understood and agreed that subsequent relocation or repair of the FPL system,once installed,will be paid by the
customer if said relocation or repair is a result of a change in the layout or grading by the customer or any of the customer's
contractors or subcontractors from the time the underground facilities were installed;and that subsequent repair to FPL's
system,once installed,will be paid by the customer if said repair is a result of damage caused by the customer or any of the
customer's contractors or subcontractors.
1.3 Notify general contractor,electrical contractor and appliance suppliers of the service voltage to be supplied by FPL.
2 EASEMENTS:
Provide FPL with good and sufficient recorded easements,including legal descriptions and survey work to produce such
easements,for the installation and maintenance of its electric distribution facilities must be granted or obtained,at no cost to
FPL,prior to FPL's energizing its facilities.
3. SITE REQUIREMENTS:
3.1 GRADE:within the easement,fill or cut to within 6"of final grade,provide grade stakes and clear easement of trees,
stumps,construction material,and other obstacles before and during construction by FPI.or FPL.contractors.
3.2 COMPACTION;after FPL or its contractor has backfilled the trench using rough-grading techniques,the customer is
responsible for providing compacting or other special backfill.FPL will not be responsible for settling of the trench route.
3.3 PLANS:provide FPI.with location and depth information and/or drawings of all existing or proposed underground facilities
on the customer's property.Locate or expose underground facilities when requested by FPL.
3.4 NOTIFICATION:provide FPL with at least three(3)weeks notice prior to the commencement of paving,landscaping,
sodding,sprinkler systems and other surface work.Customer will bear the cost of restoring these obstructions to their
original condition if above notice is not provided.
4. TRANSFORMER PAD LOCATION:
4.1 LOCATION:pad will be installed at grade level and located at NERDC.See Exhibit"A"for exact location of precast
concrete pads,handholes,and conduit trenches.
4.2 CLEARANCES;a minimum clearance of three(3)feet must be maintained at side and rear of transformer pad and eight(8)
feet in front of transformer pad as shown on the attached drawing DCS UN-2I.This clearance applies to all types of
obstructions including landscaping and fences.
4.3 PROTECTION:provide and install curbs and/or protective barriers,when required,as detailed on DCS UN-21,after the
installation of concrete pads and transformers.Curbs and/or barriers must be in place prior to FPL energizing the service.

5 CT METERING:
When metering current transformers(CT's)are required,they will be located as specified on the attached Exhibit"A"and
installed by FPL.The customer will provide and install a I-1/2 inch galvanized conduit from the meter cabinet to the
location of the CT's.Conduit run is not to exceed 10 feet in length between CI's and meter with no more that two(2)90
degree bends unless pre-approved by FPI..Conduit pull outlet boxes(LB's)are not to be used.
6. SSDR METERING:
If solid state date receiving(SSDR)metering is required,the customer will provide and install facilities for the SSDR
metering equipment as detailed on the attached"Customer Requirements for SSDR Metering Equipment"sheet.
7. CUSTOMER SERVICE ENTRANCE:
7.1 GENERAL:provide and install secondary/service to padmounted transformer from electrical equipment/meter room.
7.2 CONDUITS:the maximum cross sectional area to be occupied by the customer's service conduits is limited to the arca given
in the attached Exhibit"A".Terminate conduits in pad at three(3)inches above final grade.All conduits for future services
must be installed at this time.
7.3 CONDUCTOR:the service conductors are to be limited to a maximum of eight(8)per phase at each transformer.Provide
ten(10)feet of cable beyond conduits for connection to FPI.facilities in transformer compartment.Maximum size of
conductor is 750 MCM AL or 600MCM CU.
FPL AGREES TO:
1. Provide conduit(except under buildings),handholes,concrete pads,padmounted transformers,and primary and secondary cable.
2. Provide and install ground rods at transformer.
3. Provide electronic markers for customer's installation when required.
4. Connect customer's service cables to FPL facilities in transformer compartment.
5. Provide and install metering wiring between meter cabinet and CT's where applicable.
6. Maintain all equipment and material installed by FPL.
IMPORTANT:
This specification is based on the customer's submitted plans and any changes in these plans may result in additional costs,
which the customer agrees to pay. When required,the customer agrees to pay a contribution for the differential cost between
overhead and underground service.The agreement and requirements as outlined in this specification,Exhibit"A",and all
attachments MUST be adhered to.Any non-conformance or changes may result in delays until these specifications are met.
Any changes or variations from these specifications must be submitted to and approved by FPL in writing.
