EXECUTIVE SUMMARY Recommendation to approve and execute Interlocal Agreements with the City of Marco Island and City of Naples and authorize the disposition of traffic operation equipment to those cities per Board Agreements previously executed with the Florida Department of Transportation. OBJECTIVE: That the Board executes Interlocal Agreements with the City of Marco Island and City of Naples and authorizes staff to provide traffic operation equipment to those cities per the Interlocal Agreements and previously executed Agreements between the County and the Florida Department of Transportation. CONSIDERATIONS: At the February 25, 2014, Board of County Commissioners (BCC) meeting, Item 16A8, the BCC approved and executed Joint Participation Agreement (JPA) 430872- 1 -93 -01 with the Florida Department of Transportation (FDOT) for the purchase of arterial monitoring cameras (AMC) through a reimbursable grant. With this item the Board recognized that the County, as a conduit for FDOT, would coordinate at a later time the distribution of some of the AMC equipment to the City of Marco Island (n =2) and the City of Naples (n =9) per approved separate Interlocal Agreements. Refer to fiscal Impact section below. Also during the February 25, 2014 BCC Meeting, Item 16(A)11, the BCC approved and executed Memorandum of Agreement 429910- 1 -93 -01 to accept a donation of uninterruptible Power Supply (UPS) units for use with Collier County traffic signals. The Agreement with FDOT stipulated the County would take ownership of 105 of the units and would distribute the remaining units to the City of Marco Island (n= 10) and the City of Naples (n =20) per approved separate Interlocal Agreements. Refer to fiscal Impact section below. The County Attorney's office has produced four (4) Interlocal Agreements for BCC approval and execution. All Agreements pass traffic operation equipment to the City of Naples and the City of Marco Island for installation and maintenance over the useful life of the AMC or UPS units and have been approved by FDOT. The Agreements legally transfer extended manufacturers warranties and memorialize conveyance of ownership of the equipment. As of September, 2014 the Collier County Traffic Operations Department has received all 121 AMC units. All UPS units are expected to be delivered to Collier County Traffic Operations by mid October. Staff requests that the BCC approve and execute the four (4) Interlocal Agreements and authorize staff to begin distributing the equipment. Expected completion of the distribution is October 31, 2014. FISCAL IMPACT: On February 25, 2014 the Board recognized a budget amendment for grant revenue in the amount of $385,640.00 in Transportation Grant Fund 711, Project 33321, for the purchase of arterial monitoring cameras (AMC) for the County's arterial monitoring system. Funding was sufficient to procure 121 AMC's, at $ 3,187.10 per unit. All have been received. Eleven (11) AMC units are being distributed to other governments as follows: City of Marco Island n = 02 Total value = $ 6,374.20 City of Naples n=09 Total value = $ 28,683.90 Total value = $ 35,058.10 non - County property On February 25, 2014 the BCC also recognized the donation of 135 uninterruptible power supply (UPS) units for the County's traffic signals. Given the total donation was valued at $1,054,261.00 by the donor, Packet Page -1754- 9/23/2014 16.A.33. FDOT, unit value is computed to be $ 7,809.34 for all but one unit. At present UPS shipments to the County are in process. Thirty (30) UPS units are being distributed to other governments as follows: City of Marco Island n= 10 Total value = $ 78,093.40 City of Naples n = 20 Total value = $ 156,186.80 Total value = $ 234,280.20 non - County property LEGAL CONSIDERATIONS: This item is approved as to form and legality, and requires majority vote for Board approval. —SRT GROWTH MANAGEMENT IMPACT: There is no growth management impact associated with this Executive Summary. RECOMMENDATION: That the Board of County Commissioners approve and authorize the Chairman to execute the Interlocal Agreements with the City of Marco Island and City of Naples for the transfer of Florida Department of Transportation provided uninterruptible power supply and arterial monitoring camera equipment to the respective local agencies. INTERLOCAL AGREEMENT TO PROVIDE FDOT PROCURED UNINTERRUPTED POWER SUPPLY EQUIPMENT FOR INSTALLATION AT TRAFFIC SIGNALS BETWEEN COLLIER COUNTY, FLORIDA AND THE CITY OF MARCO ISLAND, FLORIDA THIS Interlocal Agreement to provide Florida Department of Transportation ( "FDOT") procured uninterrupted power supply ( "UPS ") units for installation at traffic signals (hereinaf+pr referred to as the "Agreement ") is made and entered into on this day of , 2014, by and between the CITY OF MARCO ISLAND, FLORIDA whose mailing address is 50 Bald Eagle Drive, Marco Island, FL 34145 (hereinafter referred to as "City'), and COLLIER COUNTY, a political subdivision of the State of Florida (hereinafter referred to as "County), whose mailing address is 3301 Tamiami Trail East, Naples, Florida 34112. WHEREAS, on April 2, 2014, the County entered into a Memorandum of Agreement (the "MOA ") with the FDOT wherein FDOT agreed to supply the County with UPS equipment for traffic signals in Collier County as part of FDOT's Five Year Work Program during its 2013/14 Fiscal Year known as FM# 429910- 1 -93 -01 (see MOA attached hereto as Exhibit "B"); and WHEREAS, as part of the County's responsibilities under the MOA it was to enter into separate MOAs with both the City of Naples and the City of Marco Island and act as a conduit to directly provide those cities with UPS equipment supplied by FDOT for their installation and future maintenance at various designated traffic signal locations; and WHEREAS, the County and City wish to enter into this tnterlocal Agreement (hereinafter, the "Agreement ") to memorialize the County s delivery of the UPS equipment to City and the City's duty to install and maintain the UPS equipment following delivery by the County; and WHEREAS, the County and City have determined and mutually agree that it is mutually advantageous and in the best interest of the public to consummate this Agreement. NOW THEREFORE, in consideration of these premises, the sum of Ten Dollars ($10.00), and other good and valuable consideration, the receipt and sufficiency of which is hereby mutually acknowledged, it is agreed by and between the parties as follows: All of the above RECITALS are true and correct and are hereby expressly incorporated herein by reference as if set forth fully below, and all Exhibits referenced herein are made a part of this Agreement. 2. County and City agree to do all things which may be required to give effect to this Agreement immediately as such requirement is made known to them or they are requested to do so, whichever is the earlier. 3. County agrees, represents and warrants the following: (a) County has full right, power - and authority to enter into, execute and perform its obligations under this Agreement and to undertake all actions and to perform all tasks required of County hereunder. (b) County shall provide City with ten (10) UPS devices supplied by FDOT under FM # 429910 -1 -93-01 for installation by the City at the following Intersection Locations: 1. Horseshoe Drive Naples, FL 34104 (d) Title to the UPS devices and risk of loss shall pass to City upon shipment of the UPS devices from FDOT to County. City shall be solely responsible for securing and inspecting the UPS devices at the point of receipt, and County shall have no liability for damage occurred in their loading, shipment or unloading. (e) Upon the City's receipt of the UPS devices, County shall not bear any future cost or responsibility for their installation, subsequent care and maintenance. 4. City agrees, represents and warrants the following: (a) City has full right, power and authority to enter into, execute and perform its obligations under this Agreement and to undertake all actions and to perform all tasks required of City hereunder. (b) Upon receipt of written notice from the County that the UPS devices are available for delivery, the City shall arrange to pick up the UPS devices from County within no more than 10 days. (c) City shall be responsible for securing and inspecting the UPS devices at the point of receipt, and County shall have no liability for damage occurred in their loading, shipment or unloading. (d) Upon the City s receipt of the UPS devices, City shall be responsible for all costs pertaining to installing the UPS devices at the intersections identified in numbered paragraph 3(b) above and for all costs relating to their subsequent care and maintenance. (e) The City agrees that it shall make no deviation from the terms of this agreement, including the specific designation for placement of the UPS devices at the twenty (20) specified intersections. City and County mutual agree and represent: (a) This Agreement and the terms and provisions hereof shall be effective as of the date this Agreement is executed by both parties and shall inure to the benefit of and be binding upon the parties hereto and their respective heirs, executors, personal representatives, successors, successor trustees, and /or assignees, whenever the context so requires or admits and shall terminate upon the completion of services and responsibilities mutually performed by City and County. (c) Should any part of this Agreement be found to be invalid, then such invalid part shall be severed from the Agreement, and the remaining provisions of this Agreement shall remain in full force and effect and not be affected by such invalidity. AND COLLIER COUNTY This is an AGREEMENT between the State of Florida, Department of Transportation ( hereinafter, "DEPARTMENT') and Collier County (hereinafter, "COUNTY') for the following. (I) For the DEPARTMENT to purchase and supply COUNT' with uninterrupted power supply (UPS) equipment, and (it) For the COUNTY to provide installation and inspection of that UPS equipment. WITNESSETH 1. WHEREAS, the intent of this Agreement is to establish the terms and conditions of the funding and the production ofthe below described Project; and 2. INTERLOCAL AGREEMENT TO PROVIDE FDOT PROCURED UNINTERRUPTED POWER SUPPLY EQUIPMENT FOR INSTALLATION AT TRAFFIC SIGNALS BETWEEN COLLIER COUNTY, FLORIDA AND THE CITY OF NAPLES, FLORIDA THIS Interiocal Agreement to provide Florida Department of Transportation ( "FDOT ") procured uninterrupted power supply ( "UPS ") units for installation at traffic signals (hereinafter referred to as the "Agreement ") is made and entered into on this day of , 2014, by and between the CITY OF NAPLES, whose mailing address is 735 8 "' Street South, Naples, FL 34102, (hereinafter referred to as "City "), and COLLIER COUNTY, a political subdivision of the State of Florida (hereinafter referred to as "County "), whose mailing address is 3301 Tamiami Trail East, 'Naples, Florida 34112. WHEREAS, on April 2, 2014, the County entered into a Memorandum of Agreement (the "MOA ") with the FDOT wherein FDOT agreed to supply the County with UPS equipment for traffic signals in Collier County as part of FDOT's Five Year Work Program during its 2013/14 Fiscal Year known as FM# 429910- 1 -93 -01 (see MOA attached hereto as Attachment "A "); and WHEREAS, as part of the County's responsibilities under the MOA it was to enter into separate MOAs with both the City of Naples and the City of Marco Island and act as a conduit to directly provide those cities with UPS equipment supplied by FDOT for their installation and future maintenance at various designated traffic signal locations; and WHEREAS, the County and City wish to enter into this Interlocal Agreement (hereinafter, the "Agreement ") to memorialize the County's delivery of the UPS equipment to City and the City's duty to install and maintain the UPS equipment following delivery by the County; and WHEREAS-the County and City have determined and mutually agree that it is mutually advantageous and in the best interest of the public to consummate this Agreement. NOW THEREFORE, in consideration of these premises, the sum of Ten Dollars ($10.00), and other good and valuable consideration, the receipt and sufficiency of which is hereby mutually acknowledged, it is agreed by and between the parties as follows: 1. City agrees, represents and warrants the following: (a) City has full right, power and authority to enter into, execute and perform its obligations under this Agreement and to undertake all actions and to perform all tasks required of City hereunder. (b) Upon receipt of written notice from the County that the UPS devices are available for delivery, the City shall arrange'to pick up the UPS devices from County within no more than 10 days. (c) City shall be responsible for securing and inspecting the UPS devices at the point of receipt, and County shall have no liability for damage occurred in their loading, shipment or unloading. (d) Upon the City's receipt of the UPS devices, City shall be responsible for all costs pertaining to installing the UPS devices at the intersections identified in numbered paragraph 3(b) above and for all costs relating to their subsequent care and maintenance for as long as the City maintains a signal maintenance agreement with FDOT. (e) The City agrees that it shall make no deviation from the terms of this agreement, including the specific designation for placement of the UPS devices at the twenty (20) specified intersections. 5. City and County mutual agree and represent: (a) This Agreement and the terms and provisions hereof shall be effective as of the date this Agreement is executed by both parties and shall inure to the benefit of and be binding upon the parties hereto and their respective heirs, executors, personal representatives, successors, successor trustees, and /or assignees, whenever the context so requires or admits and shall terminate upon the completion of services and responsibilities mutually performed by City and County. (b) This Agreement shall only be amended or cancelled by mutual written consent of the parties hereto or by their successors in interest. (e) Upon the City's receipt of the AMC equipment, County shall not bear any future cost or responsibility for their installation, subsequent care and maintenance. City agrees, represents and warrants the following: (a) City has full right, power and authority to enter into, execute and perform its obligations under this Agreement and to undertake all actions and to perform all tasks required of City hereunder. (b) Upon receipt of written notice from the County that the AMC equipment is available, the City shall arrange to pick up the AMC equipment from County within no more than five (5) days. (c) City shall be responsible for securing and inspecting the AMC equipment at the point of receipt, and County shall have no liability for damage occurred in their loading, shipment or unloading. (d) Upon the City's receipt of the AMC equipment, City shall be responsible for all costs pertaining to installing the AMC equipment at the intersections identified in numbered paragraph 3(b) above and for all costs relating to their subsequent care and maintenance. Installation shall occur no later than one hundred eighty (180) days after taking receipt from the County. (e) The City agrees that it shall make no deviation from the terms of this agreement, including the specific designation for placement of the AMC equipment at the two (2) specified intersections. 5. City and County mutual agree and represent: (a) This Agreement and the terms and provisions hereof shall be effective as of the date this Agreement is executed by both parties and shall inure to the benefit of and be binding upon the parties hereto and their respective heirs, executors, personal representatives, successors, successor trustees, and /or assignees, whenever the context so requires or admits and shall terminate upon the completion of services and responsibilities mutually performed by City and County. (b) This Agreement shall only be amended or cancelled by mutual written consent of the parties hereto or by their successors in interest. (c) Should any part of this Agreement be found to be invalid, then such invalid part shall be severed from the Agreement, and the remaining provisions of this Agreement shall remain in full force and effect and not be affected by such invalidity. INTERLOCAL AGREEMENT BETWEEN COLLIER COUNTY, FLORIDA AND THE CITY OF NAPLES, FLORIDA REGARDING ARTERIAL MONITORING CAMERAS THIS Interlocal Agreement to provide Arterial Monitoring Cameras ( "AMC ") for installation at traffic signals (hereinafter referred to as the "Agreement ") is made and entered into on this day of September, 2014, by and between the CITY OF NAPLES, whose mailing address is 380 Riverside Circle, Naples, FL 34102, (hereinafter referred to as "City "), and COLLIER COUNTY, a political subdivision of the State of Florida (hereinafter referred to as "County "), whose mailing address is 3299 Tamiami Trail East, Naples, Florida 34112. WHEREAS, on May 1, 2014, the County entered into a Joint Participation Agreement (the "JPA") with the Florida Department of Transportation ( "FDOT") wherein FDOT agreed to compensate and reimburse the County for its procurement of one hundred and twenty -one (121) AMCs for traffic signals in Collier County as part of FDOT's Five Year Work Program during its 2013/14 Fiscal Year known as FM# 430872- 1-93-01 (see JPA attached hereto as Exhibit "A "); and WHEREAS, as part of FDOT Project FM# 430872 -1- 93-01, nine (9) of the AMCs procured for installation on the State Highway System are to be installed at intersections located within the jurisdictional boundaries of the City of Naples; and WHEREAS, FDOT has no means to directly provide City with the AMC's, the County is acting as a conduit to provide the City those nine (9) AMCs to install and maintain in the future at the various designated traffic signal locations referenced herein; and WHEREAS, the County and City wish to enter into this Interlocal Agreement (hereinafter, the "Agreement") to memorialize the County's delivery of the AMC equipment to City and the City's duty to instal! and maintain the AMC equipment following delivery by the County; and WHEREAS, the County and City have determined and mutually agree that it is mutually advantageous and in the best interest of the public to consummate this Agreement. NOW THEREFORE, in consideration of these premises, the sum of Ten Dollars ($10.00), and other good and valuable consideration, the receipt and sufficiency of which is hereby mutually acknowledged, it is agreed by and between the parties as follows: 1. All of the above RECITALS are true and correct and are hereby expressly incorporated herein by reference as if set forth fully below, and all Exhibits referenced herein are made a part of this Agreement.
