EXECUTIVE SUMMARY Recommendation to approve revisions to the Palm River Park agreement with Wallace Homes of Southwest Florida, Inc., the Palm River Homeowners and Civic Association, and Collier County (Project Number 60184). OBJECTIVE: To approve revisions to the "Palm River Park Agreement" recognizing an additional outlot, and the donation and maintenance of engraved brick pavers, plaques, and statues. CONSIDERATIONS: On March 25, 2014, Agenda Item 16A20, the Board of County Commissioners approved the "Palm River Park Agreement" for the design and installation of a six -foot meandering concrete sidewalk adjacent to Piper Blvd. along with landscape, irrigation, and amenities. Terms of the agreement have been modified as follows: • Since March 25, 2014, the BCC purchased and now owns the previously identified outlot along with an additional outlot adjacent to Piper Blvd. With the additional parcel, the limits of the Palm River Park increased from 2 acres to a total of 3.3 acres. The original estimated maintenance cost of $25,000 (BCC 3/25/14, Agenda Item 16.A.20), has increased to approximately $50,000 for contracted services. • Exhibit `A' and Exhibit `B' were updated to include 100% plans, specifications and cost estimate. • The Palm River Homeowners and Civic Association donated approximately 128 engraved pavers which will be incorporated into the brick paver plaza design. • Two commemorative plaques were donated by Wallace Homes of Southwest Florida, Inc. • Maintenance responsibilities were clarified. FISCAL IMPACT: Funds in the amount of $305,000 are available in the Palm River Park Improvement project (60184). Source of funds is gas tax. The maintenance obligations established through the Palm River Homeowners and Civic Association help defer the anticipated costs. The Public Services Division will maintain the park post construction. Maintenance costs associated with the project are estimated at $50,000 annually. LEGAL CONSIDERATIONS: This item has been approved as to form and legality and requires a majority vote for Board approval. EXECUTIVE SUMMARY Recommendation to enter into a cooperative Public - Private agreement with Wallace Homes of Southwest Florida, Inc., and the Palm River Homeowners and Civic Association to share in the cost of improvements that enhance the character of the neighborhood and concurrently rehabilitates the pedestrian transportation infrastructure on Piper Boulevard (Project Number 60184). OBJECTIVE: To create a meandering concrete sidewalk and linear park with neighborhood - friendly landscaping and decorative features that also replaces a substandard asphalt sidewalk adjacent to the east -bound lane of Piper Boulevard. CONSIDERATIONS: Repairs are needed to the existing asphalt sidewalk adjacent to the east- bound lane of Piper Boulevard. In lieu of these repairs, staff is recommending that the County partner with the local developer and the community of Palm River to replace the existing asphalt sidewalk with a meandering concrete sidewalk, landscaping and amenities partially sponsored by the association and the developer. The details of the proposal are set forth in the attached "Palm River Park Agreement ". The bullet points below highlight the basis for the agreement: • Collier County's Growth Management Division will design, permit and construct a six -foot meandering concrete sidewalk in lieu of replacing the existing sidewalk that is estimated at approximately $152,000 to repair. • Collier County's Growth Management Division will install the landscaping and amenities per the plans provided by the HOA. • Developer will convey to Collier County Outlot 1, Palm River Estates Unit 4, according to the Plat recorded in Plat Book 8, Page 69, of the public records of Collier County at no cost to the county. • Developer will also contribute $6,400 in cash, plus donate decorative statuary installed valued at $16,600 in order to help defray the cost of the project. • Homeowner's association will contribute $30,710 in cash to Collier County to help defray the cost of the landscaping and $12,290 worth of in -kind services for Landscape architectural plans, well & electrical permitting, and construction services required for the beautification project. • Staff requests waiving the right of way permitting fees for commercial construction $4,000 and fees for directional boring operations $2,000 associated with the landscape and irrigation portion of the project since Collier County will be providing oversight through this partnership agreement. • The Collier County Public Services Division, Parks and Recreation Department, will thereafter maintain the landscaping and the pathway in the manner as it does for other neighborhood parks around the County. FISCAL IMPACT: Funding for this project will require a budget amendment to allocate Transportation Gas Tax Fund 313 reserves in the amount of $363,290 for all related costs, including construction, beautification and a 10% project contingency from the Palm River Park Project 60184. The Road Maintenance Department has an existing budgeted burden of approximately $152,000 to Packet Page -1643- 9/23/2014 16.A.31. replace the substandard asphalt sidewalk; therefore the project will only require approximately $211,290 in net new capital dollars. Funds in the amount of $37,110 will be remitted to the county and appropriated to this project, per agreement with the Developer and HOA, before commencement to offset construction costs. A breakdown of estimated project costs is as follows: Design, Permitting, Construction and Beautification $ 364,000 Project Contingency (10% of previous items) $ 36,400 Cash from Developer and HOA $(37,110) Fiscal impact to county $ 363,290 Less funds already budgeted for repairs 1 2 000 Net fiscal impact to capital funding 2 1 2 In -kind contributions of $28,890 will be recorded as part of the asset value after the completion of the project. Right -of -Way permitting fees of approximately $6,000 are requested to be waived for this project. The Public Services Division will maintain the park post construction at an annual cost of approximately $25,000. GROWTH MANAGEMENT IMPACT: There is no growth management impact associated with this item. LEGAL CONSIDERATIONS: This item has been approved as to form and legality and requires a majority vote for Board approval. -JAK RECOMMENDATION: That the Board of County Commissioners of Collier County, Florida: 1. Approve the attached Agreement and authorize its Chairman to execute same on behalf of the Board; 2. Accept the conveyance by deed of Outlot 1, Palm River Estates Unit 4, according to the Plat recorded in Plat Book 8, Page 69, of the public records of Collier County, and authorize the County Manager or his designee to record same in the public records of Collier County, Florida; 3. Authorize the payment of all costs and expenses necessary to close the transaction and complete the project, not to exceed 110% of the estimated costs identified in the Fiscal Impact; 4. Authorize the County Manager or his designee to waive the permitting fees and take the necessary measures to ensure the County's performance in accordance with the terms and conditions of the Agreement; and 5. Approve any and all budget amendments which may be required to carry out the collective will of the Board for the construction and ongoing maintenance. AMENDED AND RESTATED AGREEMENT PALM RIVER PARK THIS PALM RIVER PARK AGREEMENT (hereinafter referred to as the "Agreement ") is made and entered into this of , 2014, by and between Wallace Homes of Southwest Florida, Inc., a Florida corporation, whose mailing address is 3798 Cracker Way, Bonita Springs, Florida 34134 (hereinafter referred to as "Developer "), Palm River Homeowners and Civic Association, Inc., whose mailing address is Post Office Box 110002, Naples, Florida 34108 -0101 (hereinafter referred to as "HOA "), and Collier County, Florida, a political subdivision of the State of Florida, whose mailing address is 3299 Tamiami Trail East, c/o the Office of the County Attorney, Suite 800, Naples, Florida 34112 (hereinafter referred to as "County "). RECITALS: WHEREAS, County is the owner of Out Lot 1, Palm River Estates Unit No. 4, according to the plat thereof, recorded in Plat Book 8, Page 69 of the public records of Collier County, Florida, consisting of 1.39 acres of land located between the Cocohatchee Canal and Piper Boulevard, west of Cypress Way East, Naples, Florida, (hereinafter referred to as the " Outlot I ") and WHEREAS, County is also the owner of a parcel of land west of Outlot 1, described in that Warranty Deed dated July 18, 2014 and recorded in OR Book 5067, Pages 3656 -3657 of the public records of Collier County, consisting of approximately 1 acre of land ( "Second Outlot") ( Outlot 1 and Second Outlot shall be collectively referred to as the "Property "); and WHEREAS, the Property is located in the community generally known as "Palm River;" and WHEREAS, County currently maintains a four to five foot asphalt sidewalk and paved shoulder that is need of repair and maintenance along Piper Boulevard and adjacent to Outlot 1; and WHEREAS, HOA is desirous of working with both Developer and County to improve the community character of Palm River and assist in developing a safe and attractive linear park; and WHEREAS, by working together the Collier County Growth Management Division (GMD), the Collier County Public Services Division (PSD), Developer and HOA can provide a linear public park described as the Palm River Linear Park (hereinafter referred to as "Project "), that could not otherwise be created; and WHEREAS, Developer, HOA and County entered into an agreement dated March 25, 2014 and recorded in OR Book 5025, Page 564, et seq., related to the improvement of Palm River Park (the "Original Agreement "); and WHEREAS, Developer, HOA and County desire to amend the terms of the Original Agreement; and WHEREAS, after reasoned consideration by the Board of Commissioners, the Board finds and reaffirms that this Agreement is in the best interest of the public and will help finance needed improvements and additions to the County's transportation and park systems; and that this [14 -TRM- 00130/1111514/1] 98 Page] of5 Rev. 8/28/14 Words s4uek thfoug# are deleted; words underlined are added. WITNESSETH: NOW, THEREFORE, in consideration of Ten Dollars ($10.00) and other good and valuable consideration exchanged amongst the parties, and in consideration of the covenants contained herein, the parties agree as follows: 1. All of the above RECITALS are true and correct and are hereby expressly incorporated herein by reference as if set forth fully below. 2. Collier County GMD shall design, permit and construct the Project as approximately shown in the revised Exhibit "A," with the summary and line item details described on the revised Exhibit `B." It is estimated that the cost of designing, permitting and constructing the Project is approximately $364,000. 3. To partially defray County's costs, Developer shall pay County the sum of $6,400, donate statuary installed valued at $16,600 and two plagues. sl"Developer has also conveyed the Pf-epeFt} Outlot 1 to County free and clear of any encumbrances. To additionally defray a portion of County's costs, HOA shall pay County the sum of $30,710 in cash, effd provide $12,290 of in kind design and permitting services, and donate to County approximately 128 engraved pavers for installation by County. 5. Upon completion of the Project, PSD will assume the ongoing annual maintenance of the improvements after they have been deemed completed per the plans and specifications. The ongoing annual maintenance is estimated at $25,000. PSD shall keep the statues structurally sound and remove debris around the statues. PSD shall replace mvers with unmarked bricks unless the HOA provides replacement engraved pavers PSD shall provide 45 days advance written notice to HOA prior to brick replacement with an unmarked brick HOA may enter the prol2erty to clean the statues as needed including removal of graffiti or maintaining the patina finish 6. County will initiate the Project after Developer and HOA have satisfied their financial obligations under paragraphs 3 and 4 above. Should County fail to diligently initiate the project, Developer and HOA may request that County promptly return the Property and funds contributed. 7. County has inspected the-- P+epefty Outlot 1, are familiar with its location, are satisfied with and will accept the same "as is" in its current condition without claim against Developer for any defects therein of any kind, latent or otherwise, and agree that Developer has made no warranty or representation, express or implied, as to the condition of the44ep" Outlot 1 or any portion thereof or as to its permitted uses. This Agreement shall not be construed or characterized as a development agreement under the Florida Local Government Development Agreement Act. 9. The burdens of this Agreement shall be binding upon, and the benefits of this Agreement shall inure to, all successors in interest to the parties to this Agreement. 10. Except as otherwise provided herein, this Agreement shall only be amended by mutual written consent of the parties hereto or by their successors in interest. County shall pay all costs of recording this Agreement. County shall provide a copy of the recorded document to Developer and HOA upon request. 12. In the event of a dispute under this Agreement, the parties shall first use the County's then - current Alternative Dispute Resolution Procedure. Following the conclusion of this procedure, either party may file an action for injunctive relief in the Circuit Court of Collier County to enforce the terms of this Agreement, said remedy being cumulative with any and all other remedies available to the parties for the enforcement of this Agreement. It is estimated that the cost of designing, permitting and constructing the Project is approximately $364,000. 3. To partially defray County's costs, Developer shall pay County the sum of $6,400, donate statuary installed valued at $16,600, and shall convey the Property to County free and clear of any encumbrances. County will absorb all costs associated with the transfer of title, except where required to cure any title defects. The Property is currently assessed at $100 on Collier County's ad valorem tax rolls. Developer, his successors or assigns, will retain all mineral rights under the Property in perpetui 4.
