If contractor does not promptly comply with the terms of such instructions, or in an emergency where delay would cause sedous risk of loss or damage, Owner may have the defective work corrected or the rejected work removed and replaced, and all direct and indirect costs of such removal and replacement, including compensation for additional professional services, shall be paid by Contractor. INDEMNIFICATION The Contractor shall indemnify and hold harmless the Owner against all claims, damages, losses and expenses, including but not limited to, attorney's fees, arising out of or resulting from negligent acts, errors or omissions of the Contractor where the claim, damage, loss or expense is attributable to bodily injury, sickness, disease or death, or injury to or destruction of tangible property, including loss of use resulting therefrom. COST AND MATERIAL A detailed accounting of all cost and all quantities of material used in this project, per the as-built and record drawings, is attached as Page 2 of 2, Exhibit "A" and made a part of this certification.
