EXECUTIVE SUMMARY Recommendation to approve a contract with Communications International for implementation of a P25 digital radio system and authorize the Chairman to execute the contract after final review by the County Attorney. OBJECTIVE: To upgrade the County's legacy radio system prior to the end of factory support in December, 2017 with a P25 system that meets current technology, regulatory and operational standards and requirements for Public Safety radio systems. CONSIDERATION: On July 8, 2014, Agenda Item 16E3, the Board approved contract 14-6279 Radio Consulting Services with Federal Engineering to coordinate an evaluation of the public safety radio system with all system users and provide a detailed analysis and recommendations for replacement of the current radio system with a P25 digital radio system. On December 9, 2014, Agenda Item 11A, the Board accepted the Federal Engineering evaluation report and authorized staff to negotiate an agreement with Communications International for the implementation of a P25 digital radio system using the State of Florida contract as a starting point with Communications International. Subsequent to the Board action, Federal Engineering developed a Statement of Requirements (SOR) outlining the technical, operational, and financial specifications and requirements for Collier County's P25 radio system project. Communications International worked with Federal Engineering and staff to develop a proposal for a Harris P25 radio system. The negotiated proposal includes a phased implementation schedule with milestone deliverables and a corresponding payment schedule. The project cost of the P25 implementation project with Communications International is fourteen million seven hundred and thirty-four thousand ($14,734,000) dollars, which does not include Federal Engineering consulting services. Utilizing the State of Florida contract has resulted in the following overall project cost savings: Harris Corp Published List Price: $19,810,000 State of Florida Contract- (25% off list) $15,850,000 Collier County Negotiated Project Cost $14,734,000 (approx. 7% less than State Contract) Federal Engineering has determined that the Communications International proposal included with this contract complies with the Statement of Requirements (SOR). In summary, the key elements of the proposal include: • A radio system core (central server) that is fully compliant with the P25 standards. The core includes all system command and control equipment and interoperability capabilities for integration of other radio systems and technologies into the Collier P25 network. • An increase in the number of simulcast system sites from six to ten. The additional sites are required to meet public safety signal propagation requirements and P25 technical standards for signal propagation. This includes three sites in the western portion of the county and inclusion of the Immokalee site, currently a standalone site, into the simulcast network. • Conversion of the multi-sites in the eastern portion of the Collier County to P25. Packet Page-127- 4/14/2015 11.A. • Replacement of microwave system hardware to meet bandwidth requirements for site connectivity. /"\ • All required services including system design, project management,.technical services, training, and infrastructure development of the existing, proposed and optional sites identified at this time. • Project implementation will take place in phases over three years and will span across four(4)fiscal years (2015—2018). • The system design guarantees 95% percent portable coverage County Wide and 97.6% percent portable coverage in the simulcast area or urban core area. • The factory warranty for site components is typically one year; however, staff negotiated an additional one year warranty for all site components and a reduction in annual software support costs. These changes result in a savings of$1.8 million in maintenance and software support costs during the first ten (10) years of system ownership. During this period the estimated total cost for system maintenance and software support will be $4,900,426.80 based on the estimated installation schedule. Maintenance costs for the P25 system are comparable with the current system and will be budgeted annually in the Radio System Operations Fund 188. Significant changes in land use and density may require expansion of radio system resources including tower sites in the future. Staff will continue to utilize the services of Federal Engineering during the implementation and testing phase of the P25 project to verify contract compliance; these services were included in contract 14-6279 Radio Consulting Services. The costs for these services are not expected to exceed thirty thousand ($30,000) dollars. FISCAL IMPACT: The contract amount for the P25 Project is $14,734,000. An allowance of $736,700 or five (5%) percent above contract price is also requested for contingency for a total of$15,470,700. The contract value is in agreement with long standing project estimates of$15 million. Packet Page-128- 4/14/2015 11 .A. The contract has been structured to accommodate the County for a multiyear funding strategy. Currently, the P25 Radio Replacement Project No. 140482 in the County Wide Capital Projects Fund 301 has available budget of$4,841,000. Below are the funding amounts needed by fiscal year. These expenditures are budgeted annually in the Radio System Operations Fund 188. Revenue within Fund 188 is generated primarily from a $12.50 surcharge on moving traffic violations and transferred from the General Fund and tower leases. The General Fund subsidiary began in FY2006 due to insufficient revenue from the surcharge and moving violations. GROWTH MANAGEMENT IMPACT: There is no growth management impact. LEGAL CONSIDERATIONS: This item is approved as to form and legality, and requires majority vote for Board approval.—SRT RECOMMENDATION: That the Board of County Commissioners approves the contract with Communications International for the P25 System; and, authorizes the Chairman to execute the contract after final review by the County Attorney. SYSTEM PURCHASE AGREEMENT This SYSTEM PURCHASE AGREEMENT ("Agreement") is made and entered into this day of 2015 ("Effective Date"), by and between Collier County Board of County Commissioners (the "Buyer" or the "County") and Communications International, Inc. (the "Seller" or the"Contractor"). Seller and Buyer are sometimes referred to herein as"Party"or collectively as the "Parties." RECITALS: WHEREAS, the Buyer approved a contract with Federal Engineering on July 8. 2014, (agenda item 16E3) pursuant to a Request for Proposal#14-6279 "P25 Radio Consulting Services" for the coordination of an evaluation of the public safety radio system with all system users and to provide a detailed analysis and recommendations for replacement of the County's current radio system with a P25 digital radio system; WHEREAS, Buyer through Federal Engineering issued on December 19, 2014, a "Statement of Requirements for Communications System" (collectively,the "SOR") indentifying the requirements for a radio communications system and services; WHEREAS, Seller delivered a proposal entitled "Request for Proposal" originally dated February 26, 2015, (the "Seller's Proposal") to provide the radio communication system and services requested by Buyer in the SOR; WHEREAS, Buyer has selected Seller's Proposal and now desires to enter into an agreement with Seller to provide Buyer with the radio communications system and services set forth in Seller's Proposal; WHEREAS, Seller represented to Buyer, that Seller is the sole authorized sales and service agent for Harris Corporation PSPS in Collier County,as set forth in Exhibit"B" attached hereto;and WHEREAS, Buyer and Seller desire to enter into this Agreement to set forth in writing their respective rights,duties and obligations hereunder. NOW, THEREFORE, for and in consideration of the mutual promises contained herein and other good and valuable consideration,the sufficiency and receipt of which are hereby acknowledged, it is mutually agreed between the Parties as follows: SECTION 1. DEFINITIONS As used herein,the terms set forth below shall have meanings set forth below. A. "Acceptance" shall mean acceptance of the System as set forth in Section 16 hereof. B. D. "Certificate of Insurance" shall mean the certificate to be provided by Seller evidencing the insurance coverage of Seller and the form of which certificate is set forth in " H" attached hereto. E. "Documentation Deliverables" shall mean the standard commercial quality manuals to be furnished by the Seller to the Buyer pursuant to the terms set forth in Seller's Proposal and this Agreement. F. "Effective Date of the Agreement" shall be the date set forth on the first page of this Agreement. G. "Hardware" shall mean, collectively, Terminal Hardware and Infrastructure Hardware, as defined below. H. "Infrastructure Hardware" shall mean the equipment, goods and materials to be supplied by Seller, as further described in Seller's Proposal. I. "Installation Schedule" shall mean the schedule either set forth in Seller's Proposal or otherwise mutually agreed upon by Seller and Buyer in writing for the delivery of the Hardware and Software and the performance of the Services described in the Statement of Work. J. "SOR" shall mean Buyer's Statement of Requirements for Communications System as described in the recitals of this Agreement and attached hereto as Exhibit"A". K. "Seller" shall mean Communications International, Inc., with offices at 4450 US HWY 1, Vero Beach, Florida 32967. L. "Seller's Proposal" shall mean the proposal provided by Seller to Buyer as described in the recitals of this Agreement and attached hereto as Exhibit"C". M. "Services"shall mean the services to be provided by Seller to Buyer as set forth in Seller's Proposal. N. "Software" shall mean the proprietary computer software of Seller or Seller's affiliates as owned exclusively by Seller, Seller's affiliates or Seller's suppliers, as appropriate, and as further defined as a perpetual license to Buyer pursuant to the terms of the Software License Agreement. O. "Software License Agreement" shall mean the Software License Product Authorization Sheet produced to Buyer upon the installation of the hardware and software. P. "Statement of Work" shall mean the description of the work to be performed by Seller to deliver the Hardware, install the System and provide the Services,all as described in Seller's Proposal. Q. R. "Terminal Hardware" shall mean mobile units, portable units, control stations and related accessories to be provided by Seller as listed in Seller's Proposal. S. "Total Agreement Price" shall mean the price of the Infrastructure Development, the Hardware, the Software license and the Services to be furnished by Seller to Buyer pursuant to the terms set forth in Seller's Proposal and this Agreement for the completion of the project. SECTION 2. SCOPE OF WORK A. Seller shall furnish, deliver and install the Infrastructure Development, Hardware and Software for the System and provide the Documentation Deliverables and Services in accordance with the terms of Seller's Proposal, this and such terms and conditions as contained in this Agreement, Collier County regulations, and shall adhere to all Federal, State, and Local requirements related to the Services herein referenced. B. By executing and entering into this Agreement, the Contractor is formally acknowledging without exception or stipulation that it agrees to comply,at its own expense, with all federal, state and local laws, codes, statutes, ordinances, rules, regulations and requirements applicable to this Agreement, including but not limited to those dealing with the immigration Reform and Control Act of 1986 as located at 8 U.S.C. 1324, et seq. and regulations relating thereto, as either may be amended; taxation, workers' compensation, equal employment and safety (including, but not limited to, the Trench Safety Act, Chapter 553, Florida Statutes), and the Florida Public Records Law Chapter 119 (including specifically those contractual requirements at F.S. § 119.0701(2)(a)-(d) and (3)) stated as _ follows: (2) In addition to other contract requirements provided by law, each public agency contract for services must include a provision that requires the contractor to comply with public records laws, specifically to: (a) Keep and maintain public records that ordinarily and necessarily would be required by the public agency in order to perform the service. (b) Provide the public with access to public records on the same terms and conditions that the public agency would provide the records and at a cost that does not exceed the cost provided in this chapter or as otherwise provided by law. (c) Ensure that public records that are exempt or confidential and exempt from public records disclosure requirements are not disclosed except as authorized by law. (d) Meet all requirements for retaining public records and transfer, at no cost, to the public agency all public records in possession of the contractor upon termination of the contract and destroy any duplicate public records that are exempt or confidential and exempt from public records disclosure requirements. All records stored electronically must be provided to the public agency in a format that is compatible with the information technology systems of the public agency. 6 #15-6409 800MHZ P25 Project Packet Page-137- 4/14/2015 11 .A. (3) If a contractor does not comply with a public records request,the public agency shall enforce the contract provisions in accordance with the contract. If Contractor observes that the Agreement Documents are at variance therewith, it shall promptly notify the County in writing. Failure by the Contractor to comply with the laws referenced herein shall constitute a breach of this agreement and the County shall have the discretion to unilaterally terminate this agreement immediately. SECTION 3. BUYER'S OBLIGATIONS A. The Buyer's obligations set forth in Seller's Proposal and this Agreement shall be performed by Buyer in a timely and proper fashion in accordance with the Installation Schedule, or as otherwise agreed upon by Buyer and Seller, to allow Seller to timely perform its obligations under this Agreement. B. In addition to the obligations specifically identified in Seller's Proposal, Buyer shall also have the following additional obligations; (1) Buyer shall designate a Project Manager to act as Buyer's primary interface with the Seller. (2) Buyer shall provide ready access to all sites owned, leased or otherwise controlled by Buyer. (3) All towers, shelters and associated equipment provided or mandated by Buyer shall be satisfactory in all manners to accommodate the System proposed by the Seller. Soil conditions at all sites provided by or mandated by Buyer shall conform to normal soil standards in the area for the contemplated construction of new facilities. Before performing any of the services at a work site, Seller shall inspect the work site and advise Buyer of any apparent deficiencies or non-conformities with the requirements of this Agreement. SECTION 4, FACILITIES SITES Any sites where Seller will operate and perform System installation under the terms of this Agreement must be approved in advance by Buyer, whose approval shall not be unreasonably withheld, delayed or conditioned. Buyer shall be responsible, at Buyer's expense, for obtaining all rights to use sites including, but not limited to, all permits and licenses necessary to perform work on the sites and all FCC and FAA approvals. Buyer shall be responsible for paying all utility charges to the appropriate utility for providing utility services to the System installation areas. SECTION 5. DELIVERY,TITLE AND RISK OF LOSS A. Seller shall ship FOB Destination the Hardware to Buyer at Seller's expense on or before the dates set forth in the Installation Schedule. Purchases made in addition to the Installation Schedule will be subject to shipping fees. Partial deliveries shall be permitted. Seller shall pack and ship all Hardware in accordance with good commercial practices. Upon delivery to the Buyer, title to each portion of the Hardware and all risk of loss or damage shall pass to Buyer; provided, however, that Seller shall remain responsible until Acceptance of the System and actual receipt of the goods by the County for loss or damage resulting from the willful misconduct or negligent acts or omissions of Seller, its employees, 7 #15-6409 80OMHZ P25 Project Packet Page-138- 4/14/2015 11 .A. agents, and subcontractors. Payments will be made upon receipt of a proper invoice and in compliance with Chapter 218 Fla. Stats., otherwise known as the "Local Government Prompt Payment Act". B, If Buyer fails to accept delivery of any of the Hardware,Seller may place such Hardware in storage at the place of manufacture or elsewhere. In such event (1) Seller shall notify Buyer in writing immediately of the placement of any Hardware in storage, and any associated expenses to be incurred by Seller, (2) Seller's delivery obligations shall be deemed fulfilled and title and all risk of loss or damage shall thereupon pass to Buyer, (3) any amounts otherwise payable to Seller upon delivery shall be payable upon presentation of Seller's invoices therefor, and (4) promptly upon submission of Seller's invoices therefor Buyer shall reimburse Seller for all expenses incurred by Seller such as preparation for and placement into storage,handling,storage,demurrage,inspection, preservation and insurance, pursuant to Section 218.70, Fla. Stats., otherwise known as the "Local Government Prompt Payment Act." SECTION 6. PRICE AND PAYMENTS The Total Agreement Price to be paid by Buyer to Seller is Fourteen Million Seven Hundred and Thirty- Four Thousand U.S. Dollars and 00/100($14,734,000.00). A. The County shall pay the Contractor for the performance of this Agreement Three Million Five Hundred Seventy-Five Thousand Seven Hundred Nineteen Dollars and 85/100 based on a percentage of completion of the "Services", as identified as listed in Exhibit "D" Payment Schedule. The County shall pay the Contractor for the performance of this Agreement Eleven Million One Hundred Fifty-Eight Thousand Two Hundred and Eighty Dollars and 15/100 based on a completion or partial completion of the "Site Components", as identified as listed in Exhibit "D" Payment Schedule. Other related services and hardware, may be added through the use of a Change Order and in accordance to Exhibit "F" Price List, after review and approval by the County Project Manager or his designee. Payments will be made upon receipt of a proper invoice and in compliance with Chapter 218 Fla. Stats.,otherwise known as the "Local Government Prompt Payment Act". B. Payments will be made for services furnished, delivered, and accepted, upon receipt and approval of invoices submitted on the date of services or within six (6) months after completion of contract. Any untimely submission of invoices beyond the specified deadline period is subject to non- payment under the legal doctrine of "[aches" as untimely submitted. Time shall be deemed of the essence with respect to the timely submission of invoices under this agreement. C. The County shall retain ten percent (10%)of the Total Agreement Price and the Seller's invoices shall reflect the retainage.Such sum shall not be released to Contractor until final payment is due unless otherwise agreed to by the County. The Seller shall submit a final invoice to the County, for the final milestone payment amount as shown in Exhibit"D", plus the total amount retained by the County. SECTION 7.SUBJECTION TO APPROPRIATION It is further understood and agreed by and between the parties herein that this Agreement is subject to appropriation by the Board of County Commissioners. Contractor agrees and understands that funding limitations exist and that the expenditure of funds must be spread over phases during the duration of the Project at regular intervals based on the Agreement Amount and Installation Schedule. No voluntary acceleration or early completion of the Work shall modify the time of payments to Contractor as set forth in the approved Payment Milestone. SECTION 8.TAXES Collier County, Florida as a political subdivision of the State of Florida, is exempt from the payment of Florida sales tax to its Contractors/Consultants/Vendors under Chapter 212, Florida Statutes, Certificate of Exemption#85-8015966531C-1. SECTION 9.CHANGES AND ADDITIONS A. In the event of any change in the Hardware as a result of the imposition after the Effective Date of this Agreement of any requirements mandated by any federal, state, or local government, an equitable adjustment in the price shall be made to reflect any added cost and expense of such change, pursuant to written notification provided by Seller to the Project Manager, as such the Agreement may be modified in writing accordingly. B. Additional equipment,materials,and other services may be provided by Seller,at the request of the Buyer. Each order must refer to this Agreement and shall be in accordance with the prices listed in Exhibit"F" -Appendix C-Proposal Pricing Forms. The Seiler hereby further extends additional prices for "New Parts & Components and New Equipment&Accessories", as listed in Exhibit "G" and any subsequent invoice shall reflect the listed price and the discounted list price. Notwithstanding any additional or contrary terms in the order, the provisions of this Agreement (except for warranty commencement) shall govern the purchase of any additional equipment, materials, and other services. Radio package pricing as listed in Exhibit"F"(Table C6)shall be limited to an initial three(3) year period and subject to renewal by Seller. C. Additional items and/or services may be added to this Agreement in compliance with the Purchasing Ordinance and Purchasing Procedures. SECTION 10.SUBCONTRACTING Seller may subcontract any portion of work to be performed by Seller hereunder provided that Seller notify the Buyer in writing prior to such delegation, and Seller shall be responsible for the performance and work of any such subcontractors delivered under this Agreement. The Contractor is liable for all the acts or omissions of its subcontractors. By appropriate written agreement, the Contractor shall require each subcontractor, to the extent of the Services to be performed by the subcontractor, to be bound to the Contractor by the terms of this Agreement, and to assume toward the Contractor all the obligations and responsibilities which the Contractor, by this Agreement, assumes toward the County. Each subcontractor and subcontract agreement shall preserve and protect the rights of the County under this Agreement with respect to the Services to be performed by the subcontractor so that the subcontractor and subcontracting of services thereof will not prejudice such rights. Where appropriate, the Contractor shall require each subcontractor to enter into similar agreements with its sub-subcontractors. The Contractor acknowledges and agrees that County is a third party beneficiary of each contract entered into between Contractor and each subcontractor, however nothing in this Agreement shall be construed to create any contractual relationship between the County and any 9 tJ15-6409 800M111Z P25 Project d Packet Page -140- 4/14/2015 11 .A. subcontractor. Further, all such contracts shall provide that, at County's discretion, they are assignable to the County upon any termination of this Agreement. SECTION 11..EXCUSABLE DELAYS A. Should Contractor be obstructed or delayed in the prosecution or completion of its services as a result of unforeseeable causes beyond the control of Contractor, and not due to its own fault or neglect, including but not restricted to acts of nature or of public enemy, acts of government or of the County, fires, floods, epidemics, quarantine regulations, strikes or lock-outs, and Contractor's inability to timely obtain necessary materials, items, components or services from suppliers who are affected by the foregoing circumstances then Contractor shall notify County in writing within five(5) working days after commencement of such delay, stating the specific cause or causes thereof, or be deemed to have waived any right which Contractor may have had to request a time extension for that specific delay. B. In the event of any delay or failure excused by this Section,Seller shall notify Buyer at the same time of such notice, specify the revised delivery and performance dates. In the event of such delay, the time of delivery or of performance shall be extended for a reasonable time period to compensate for the time lost by Seller by reason of the delay. C. No interruption, interference, inefficiency, suspension or delay in the commencement or progress of Contractor's services from any cause whatsoever, including those for which the County may be responsible in whole or in part, shall relieve Contractor of its duty to perform or give rise to any right to damages or additional compensation from the County. Contractor's sole remedy against the County will be the right to seek an extension of time to its schedule provided, however,the granting of any such time extension shall not be a condition precedent to the aforementioned "No Damage For Delay" provision. This paragraph shall expressly apply to claims for early completion, as well as claims based on late completion. Provided, however, if through no fault or neglect of Contractor, the services to be provided hereunder have been delayed for a total of 180 calendar days, Contractor's compensation shall be equitably adjusted, with respect to those services that have not yet been performed, to reflect the incremental increase in costs experienced by Contractor, if any, as a result of such delays. D. Should the Contractor fail to commence, provide, perform or complete any of the services to be provided hereunder in a timely manner, in addition to any other rights or remedies available to the County hereunder, the County at its sole discretion and option may withhold any and all payments due and owing to the Contractor until such time as the Contractor resumes performance of its obligations hereunder in such a manner so as to reasonably establish to the County's satisfaction that the Contractor's performance is or will shortly be back on schedule. E. In no event shall any approval by the County authorizing Contractor to continue performing Work under this Agreement or any payment issued by the County to Contractor be deemed a waiver of any right or claim the County may have against Contractor for delay or any other damages hereunder. #15-6409 800MHZ P25 Project 10 Packet Page -141- 4/14/2015 11 .A. SECTION 12.SELLER'S INSURANCE A. Seller shall maintain in force at all times during Seller's performance under this Agreement not less than the following insurance coverage with insurers authorized to do business in the state(s) in which work hereunder is to be performed by Seller: (1) Workers Compensation insurance as required by Statutory Limits of Florida Statutes, Chapter 440 and all Federal Government Statutory Limits and Requirements; (2) General Liability insurance with limits of liability of not less than $1,000,000 combined single limits for bodily injury and property damage per occurrence; and (3) Motor Vehicle liability insurance with limits of liability of not less than $1,000,000 combined single limits for bodily and property damage per occurrence. B.Contractor shall ensure that all subcontractors comply with the same insurance requirements that he is required to meet. The same Contractor shall provide County with certificates of insurance meeting the required insurance provisions. C. Collier County must be named as "ADDITIONAL INSURED" on the Insurance Certificate for Commercial General Liability where required. D. The Certificate Holder shall be named as Collier County Board of County Commissioners, OR, Board of County Commissioners in Collier County, OR Collier County Government, OR Collier County. The Certificates of Insurance must state the Contract Number, or Project Number, or specific Project description, or must read: For any and all work performed on behalf of Collier County. E. Thirty(30) Days Cancellation Notice required. F. Within ten (10) business days of execution of this Agreement, Seller shall provide Buyer with a Certificate of Insurance set forth in Exhibit"H" evidencing the insurance coverage. SECTION 13.SAFETY All contractors and subcontractors performing service for Collier County are required and shall comply with all Occupational Safety and Health Administration (OSHA), State and County Safety and Occupational Health Standards and any other applicable rules and regulations. Also all Contractors and subcontractors shall be responsible for the safety of their employees and any unsafe acts or conditions that may cause injury or damage to any persons or property within and around the work site Collier County Government has authorized the Occupational Safety and Health Administration (OSHA)to enter any Collier County Facility, property and/or right-of-way for the purpose of inspection of any Contractor's work operations. This provision is non-negotiable by any department and/or Contractor. All applicable OSHA inspection criteria apply as well as all Contractor rights, with one exception. Contractors do not have the right to refuse to allow OSHA onto a project that is being performed on Collier County Property. Collier County, as the owner of the property where the project is taking place shall be the only entity allowed to refuse access to the project. However, this decision shall only be made by Collier County's Risk Management Department Safety Manager and/or Safety Engineer. 11 1115-6409 800MHZ P25 Project Packet Page -142- 4/14/2015 11 .A. SECTION 14.SECURITY If required, Contractor shall be responsible for the costs of providing background checks by the Collier County Facilities Management Department for all employees that shall provide services to the County under this Agreement. This may include, but not be limited to, checking federal, state and local law enforcement records, including a state and FBI fingerprint check, credit reports, education, residence and employment verifications and other related records. Contractor shall be required to maintain records on each employee and make them available to the County for at least four(4)years. SECTION 15.TRAINING The training provided by Seller to Customer is described in the Seller's proposal, attached hereto as Exhibit "C". Seller agrees to coordinate any scheduling in advance and mutually agree with the Project Manager. SECTION 16.TESTING AND ACCEPTANCE A. Seller shall notify Buyer in writing that the System is ready for Acceptance Tests at least ten (10) days before commencement of the Acceptance Tests. Buyer and Seller shall jointly commence the Acceptance Tests on the date specified in Seller's notice (or other mutually written agreeable date) and a representative of Seller and a representative of Buyer shall sign off on the form provided as part of the test procedure whether each item of the test was passed or failed. If Buyer does not have a representative attend the Acceptance Tests, Seller shall proceed with those tests and immediately forward the test results to Buyer. If the System does not fulfill the requirements of the Acceptance Tests, Seller shall correct the defects at no additional cost to Buyer as mutually agreed by the parties. Upon correction of the defects the Acceptance Tests for the applicable part of the System shall be repeated in accordance with the procedures set forth in this Section. Successful completion of the Acceptance Test is the sole criterion for technical system acceptance and the initiation of the warranty period. Final system acceptance shall occur when the Hardware and Software for the System, Documentation Deliverables and Services have been furnished, delivered, installed and tested. B. Notwithstanding the acceptance testing of the System set forth in Section 16.A above, if Buyer commences use of any portion of the System for its intended purpose, other than for the express purpose of training or testing as mutually agreed upon by Seller and Buyer in writing, prior to System Acceptance, the applicable portion of the System shall be deemed accepted by Buyer. The final payment for the applicable portion of the System shall be due and payable after such acceptance and submission of an invoice. The Warranty Period for the applicable portion of the System put into use together with the associated installation Services shall be deemed to have commenced concurrently with the use of the applicable portion of the System for its intended purpose. The use of the applicable portion of the System for its intended purpose shall be deemed to have occurred when Buyer commences to use and rely primarily on the applicable portion of the System for its communications. C. As used in this Agreement, the Acceptance Date and the "Acceptance" of the System shall be deemed to occur upon either of (1) the date on which the System is deemed accepted pursuant to 12 #15-6409 800MHZ P25 Project Packet Page-143- 4/14/2015 11 .A. subsection (A) above or (2) the date on which the System is deemed accepted pursuant to subsection(B) above. D. Buyer and Seller agree that in the process of completing the Acceptance Tests most, if not all; of the Acceptance Tests can be successfully completed with only a minor number of punch list items remaining to be completed and that do not materially impair the operation of the System as a whole, as mutually agreed by the parties and will not postpone System Acceptance, but will be corrected according to a mutually agreed schedule. In such event, Buyer and Seller shall mutually agree upon the punch list items to be completed, the value of those items and that "conditional acceptance" of the System has occurred. For the purpose of initiating the Warranty Period, satisfying the Installation Schedule requirements and the release of any retained funds (other than the value of the punch list items) conditional acceptance shall constitute "Acceptance" of the specific portion or phase of the System. This conditional acceptance shall not, however, release Seller from its obligations to complete the remaining punch list items by the dates set forth on the punch list schedule. Unless the Buyer is completely satisfied with completion of the punch list items, the Buyer shall not be obligated to release any retained funds associated with the value of the punch list Items. SECTION 17. SOFTWARE LICENSE Buyer is granted a perpetual license to use the Software only in conjunction with the System purchased under this Agreement. "Software" means the "Licensed Programs" required for to operate the System. The Seller shall produce the required Software License Product Authorization Sheet to Buyer upon the installation of the hardware and software. After the first Warranty year for the applicable portion of the accepted System, Seller shall provide software warranty and maintenance, pursuant to Seller's Proposal Exhibit "C" and paid in accordance with Exhibit"E". Subsequent years of warranty and maintenance are to be paid annually on the anniversary of the acceptance of the applicable portion of the System. SECTION 18.COVERAGE Seller's representations concerning the distance at which usable radio signals will be transmitted and received by Hardware supplied hereunder are represented by coverage maps included in Seller's Proposal. SECTION 19.WARRANTIES A. Mobile and portable radios ("Subscriber Units") and Hardware and installation Services furnished by Seller under this Agreement are warranted by the Seller to be free from defects in material and workmanship and shall conform to the Agreement specifications for a period equal to the longer of 1) twenty-four (24) months; or 2) in the case of Subscriber Units or Hardware, the number of months under the warranty offered by the manufacturer of such equipment, from the Acceptance Date (the "Warranty Period"). Any and all claims for breach of this warranty are conclusively deemed waived unless made within the Warranty Period. The warranty period for additional Subscriber Units and Hardware purchased by Buyer from Seller after System Acceptance shall be for a period equal to the longer of 1) twenty-four (24) months; or 2) the number of months under the warranty offered by the manufacturer of such equipment,from the date the equipment is delivered 13 #15-6409 800MHZ P25 Project ,ate Packet Page -144- 4/14/2015 11 .A. to Buyer (the "Additional Warranty Period"). Any and all claims for breach of this warranty are conclusively deemed waived unless made within the Additional Warranty Period. B. For purposes of this Warranty the nickel-cadmium batteries supplied by Seller shall be deemed defective if (1) the battery capacity is less than 80% of rated capacity or (2) the battery develops leakage. Replacement batteries shall be warranted only for the remaining unexpired portion of the Warranty Period. This warranty becomes void if (1) the battery has been subjected to any kind of misuse, detrimental exposure, or has been involved in an accident, or (2) the battery is used in equipment or service other than the Hardware for which it is specified. C. During the Warranty Period if any component of the Hardware or portion of the Installation Services fails to meet the foregoing warranties, Seller's sole obligation and Buyer's exclusive remedy under this warranty shall be the correction by Seller of the failure at Seller's option (1) by repairing any defective component of the Hardware, or (2) by furnishing any necessary repaired or replacement parts, or(3) by the redoing of the faulty installation. Any such failure, or the repair or replacement of the defective component or the redoing of any installation, shall not extend the Warranty Period. Where such failure cannot be corrected by Seller's reasonable efforts, the Parties will negotiate an equitable adjustment in price. Seller will be responsible for all charges incurred in returning defective parts to Seller's plant and shipping repaired or replacement parts to Buyer. All warranty labor must be performed by an authorized service group approved by Seller either at its place of business, for mobile or portable equipment, or at the Buyer's location for fixed location equipment should Seller determine that it is not feasible to return the fixed location equipment to Seller's authorized service group. D. Seller's obligations shall not apply to (1) Hardware or components thereof which have a normal life inherently shorter than the Warranty Period, or(2) defects which are the result of improper storage, use,or installation performed by other than Seller, maintenance performed by other than Seller, or repair performed by other than Seller, or (3) Hardware which has been subjected to any other kind of misuse or detrimental exposure or has been involved in an accident, or (4) Hardware or installations altered or repaired by any Party other than Seller without Seller's prior written consent. E. Coverage Warranty. Notwithstanding the other provisions of this Section 19, Seller's only Warranty as to radio coverage is that the System, prior to Acceptance, shall have successfully passed the coverage tests in the Acceptance Test Plan. The Seller represents that the System shall perform in accordance with the Specifications in all material respects. Upon System Acceptance, this System functionality representation is fulfilled. F. Software. Unless otherwise stated in the Software License Agreement, during the Warranty Period, Seller warrants the Software in accordance with the terms of the Software License Agreement and the provision of Section 19 applicable. G. THE WARRANTIES AND REMEDIES SET FORTH IN THIS SECTION AND IN THE SOFTWARE LICENSE AGREEMENT CONSTITUTE THE ONLY WARRANTIES WITH RESPECT TO THE HARDWARE, SOFTWARE AND SERVICES AND THE BUYER'S EXCLUSIVE REMEDIES IN THE EVENT SUCH WARRANTIES ARE BREACHED. THEY ARE IN LIEU OF ALL OTHER WARRANTIES WHETHER WRITTEN, ORAL, EXPRESS, IMPLIED, OR STATUTORY INCLUDING, WITHOUT LIMITATION, THE WARRANTY OF MERCHANTABILITY AND THE WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT 14 4415-6409 800MHZ P25 Project Packet Page -145- 0 4/14/2015 11 .A. SHALL SELLER BE LIABLE FOR SPECIAL, CONSEQUENTIAL OR INDIRECT DAMAGES INCLUDING, BUT NOT LIMITED TO, LOSS OF PROFITS OR REVENUES. SECTION 20.WARRANTY AND MAINTENANCE SERVICE After the initial two (2) year Warranty Period for the applicable portion of the accepted System, Seller shall provide System Warranty and Maintenance for the Hardware, pursuant to Seller's Proposal at Exhibit "C" and paid in accordance with Exhibit "E". Subsequent years of warranty and maintenance are to be paid quarterly on the anniversary of the acceptance of the applicable portion of the System. SECTION 21. INTERFERENCE Radio system coverage and performance are subject to degradation due to anomalous propagation and interference beyond the reasonable control of Seller. Seller cannot be responsible for degradation or disruption of Service caused by operation of other radio systems or by natural phenomena or other interference over which the Seller has no reasonable control. In the event of a case of degradation due to interference by an outside Party, Seller will provide engineering support to Buyer at Buyer's expense to support Buyer's efforts in resolving the interference issue with the outside Party. SECTION 22. INDEMNIFICATION A. To the maximum extent permitted by Florida law, the Seller shall indemnify and hold harmless Collier County, its officers and employees from any and all liabilities, damages, losses and costs, including, but not limited to, reasonable attorneys'fees and paralegals'fees, to the extent caused by the negligence, recklessness, or intentionally wrongful conduct of the Seller or anyone employed or utilized by the Seller in the performance of this Agreement. This indemnification obligation shall not be construed to negate, abridge or reduce any other rights or remedies which otherwise may be available to an indemnified party or person described in this paragraph. This section does not pertain to any incident arising from the sole negligence of Collier County. B. The duty to defend under this Section 22 is independent and separate from the duty to indemnify, and the duty to defend exists regardless of any ultimate liability of the Seller, County and any indemnified party. The duty to defend arises immediately upon presentation of a claim by any party and written notice of such claim being provided to Seller. Seller's obligation to indemnify and defend under this Section 22 will survive the expiration or earlier termination of this Agreement until it is determined by final judgment that an action against the County or an indemnified party for the matter indemnified hereunder is fully and finally barred by the applicable statute of limitations. SECTION 23. PATENTS A. Seller warrants that the System furnished hereunder shall be delivered free of any rightful claim of any third Party for infringement of any United States patent or copyright. If Buyer notifies Seller promptly of the receipt of any claim that the System infringes a United States patent or copyright and gives Seller information, assistance and exclusive authority to settle and defend such claim, Seller at its own expense shall defend, or may settle, any suit or proceeding against Buyer so far as based on a claimed infringement which breaches this warranty. If, in any such suit arising from such 25 #15-6409 800MHZ P25 Project Packet Page -146- 4/14/2015 11 .A. claim, the continued use of the System for the purpose intended is enjoined by any court of competent jurisdiction, Seller shall, at its expense and option, either (1) procure for Buyer the right to continue using the System, (2) modify the System so that it becomes non-infringing, (3) replace the System or portions thereof so that it becomes non-infringing, or (4) remove the System and refund the purchase price (less reasonable depreciation for use). The foregoing states the entire liability of Seller for patent or copyright infringement by the System and is subject to any limitation of total liability set forth in this Agreement. B. The preceding subsection (A) shall not apply to (1) any portion of the System which is manufactured to Buyer's design (2)the use of the System in conjunction with any other apparatus or material not supplied by Seller to the extent that such conjoined use causes the alleged infringement. As to any portion of the System or use described in the preceding sentence, Seller assumes no liability whatsoever for patent infringement. C. THE PATENT AND COPYRIGHT WARRANTY AND INDEMNITY OBLIGATIONS RECITED ABOVE ARE IN LIEU OF ALL OTHER PATENT AND COPYRIGHT WARRANTIES AND INDEMNITIES WHATSOEVER, WHETHER ORAL,WRITTEN, EXPRESS, IMPLIED OR STATUTORY. SECTION 24.LIMITATION OF LIABILITY A. Notwithstanding the provisions of Section 18 Indemnification of this Agreement and Personal Injury or Death claims, the total liability of Seller, including its subcontractors or suppliers, for all claims of any kind for any loss or damage, whether in Agreement, warranty, tort (including negligence or infringement), strict liability or otherwise, arising out of, connected with, or resulting from the performance or non-performance of this Agreement or from the manufacture, sale, delivery, installation, technical direction of installation, resale, repair, replacement, licensing or use of any Hardware, Software or the furnishing of any Service, shall not exceed the amount paid by Buyer allocable to the particular item of Hardware, Software or Service which gives rise to the claim. Except as to title, any such liability shall terminate upon the expiration of the Warranty Period. B. IN NO EVENT, WHETHER AS A RESULT OF BREACH OF AGREEMENT, WARRANTY, TORT (INCLUDING NEGLIGENCE OR INFRINGEMENT), STRICT LIABILITY OR OTHERWISE, SHALL SELLER, OR ITS SUBCONTRACTORS OR SUPPLIERS, BE LIABLE FOR ANY SPECIAL, CONSEQUENTIAL, INCIDENTAL, INDIRECT OR EXEMPLARY DAMAGES INCLUDING, BUT NOT LIMITED TO, LOSS OF PROFITS OR REVENUES, LOSS OF USE OF THE HARDWARE OR ANY OTHER EQUIPMENT, COST OF CAPITAL, COST OF SUBSTITUTE GOODS, FACILITIES,SERVICES OR DOWNTIME COSTS. C. The provisions of this Section, LIMITATION OF LIABILITY, shall apply notwithstanding any other provisions of this Agreement or the limitation set forth in Section 768.28, Fla. Stat. D. The provisions of this Section, LIMITATION OF LIABILITY, shall survive the expiration or termination of this Agreement. 16 ti15-6409 800MHZ P25 Project Packet Page -147- 4/14/2015 11 .A. SECTION 25. DEFAULT AND TERMINATION A. In the event of a material breach or should the County deem Contractor as failing to perform the services in a manner satisfactory to the County pursuant to this Agreement, the County may terminate said Agreement for cause upon seven(7) calendar written notice, or such longer period of time as may be consented to by the County in writing and in its sole discretion, and any resulting failure of the Consultant to cure the default during the prescribed time, shall permit the County to terminate this Agreement. B. In the event of(1) any failure by Buyer to make any undisputed payment when due or (2) any other material breach of this Agreement by Buyer which shall continue for one hundred twenty (120) or more days after written notice of such breach (including a reasonably detailed statement of the nature of such breach) shall have been given to Buyer by Seller, Seller shall be entitled to avail itself cumulatively of any and all remedies available at law or in equity (provided such remedies are not otherwise limited under the terms of this Agreement) and either (1) suspend performance of its obligations under this Agreement for as long as the breach remains uncorrected or (2) terminate this Agreement by written notice to Buyer if the breach remains uncorrected. C. The County may terminate this Agreement for convenience with a thirty(30)day written notice. D. Further, in the event that the Agreement is terminated, Contractor's recovery against the County shall be limited to that portion of the Agreement Amount earned through the date of termination, together with any retainage withheld. The Contractor shall not be entitled to any other or further recovery against the County, including, but not limited to, any damages or any anticipated profit on portions of the services not performed. SECTION 26.CONFIDENTIALITY A. During the term of this Agreement, it is anticipated that one Party (hereafter the "Disclosing Party") may disclose to the other Party (hereafter the "Receiving Party") information which the Disclosing Party considers proprietary and confidential. Accordingly, with respect to any specification, drawings,sketches, models, samples, tools, technical information, confidential business information or data, in written or other tangible form which (1) has been designated in writing by the Disclosing Party as confidential or proprietary or(2) is of the type that the Receiving Party customarily treats as confidential or proprietary and which is furnished by the Disclosing Party to the Receiving Party in contemplation of, or under, this Agreement (hereinafter "Information"), the Receiving Party shall treat such Information, for a period of five (5) years after the Effective Date of this Agreement, as confidential information with the same degree of care as the Receiving Party affords to confidential information of its own of a similar nature and shall not reproduce any such Information, in whole or in part, except as specifically authorized in writing by the Disclosing Party. B. The provisions of the preceding subsection shall not apply to any Information which (1) is or shall become publicly available without breach of this Section 26 CONFIDENTIALITY, on the part of the Receiving Party; (2) is already known by the Receiving Party prior to receipt from the Disclosing Party; (3) is independently developed by the Receiving Party; (4) is rightfully obtained by the Receiving Party from third Parties without restriction; or (5) is required to be disclosed by 17 415-6409 800MHZ P25 Project Packet Page -148- 4/14/2015 11 .A. appropriate governmental or judicial order, including compliance with Florida Public Records Act, Chapter 119, Fla.Stat., (as specifically outlined in Section 2. Scope of Work) and the Florida Sunshine Law, Chapter 286, Fla.Stat. C. The provisions of this Section 26, CONFIDENTIALITY, shall survive the expiration or termination of this Agreement. D. The confidentiality obligations of this Section 26, CONFIDENTIALITY, shall not apply to Software, the confidentiality and other rights and obligations with respect to which are set forth in the Software License Agreement. SECTION 27. COMPLIANCE Seller agrees to comply with all federal, state and local laws, ordinances, codes, rules and regulations in effect as of the Effective Date of this Agreement that may in any way affect the work by Seller hereunder. Any Hardware or Software furnished by Seller under this Agreement shall comply in all material respects with federal, state and local laws and regulations applicable to the manufacture, packing, sale and shipment of such Hardware or Software as of the Effective Date of this Agreement and shall comply with any amendments thereto which may have come into effect prior to the time such Hardware or Software are delivered provided that the price and, if necessary, delivery of such Hardware or Software shall be equitably adjusted to compensate Seller for the effect of compliance with any such amendments. SECTION 28. NOTICES Notices and other communications between the Parties shall be transmitted by facsimile or in writing to the Parties at the addresses set forth below and shall be deemed effective upon receipt by the receiving Party. Either Party may change its address by giving notice in writing thereof to the other Party. SECTION 29. ORDER OF PRECEDENCE This Agreement and the following Exhibits are expressly incorporated herein by reference and, together constitute the Agreement Documents. In the event of a conflict among or between the Agreement Documents,the documents shall control in the order of precedence set forth below: 1. Amendments to this Agreement 2. This Agreement 3. Exhibit A-Statement of Requirements(SOR) 4. Exhibit C-Seller's Proposal SECTION O.TERM A. The Agreement shall be for a ten (10) year period, commencing upon the issuance of a purchase order and terminating on ten (10)years from that date. B. The County may, at its discretion and with the consent of the Contractor, renew the Agreement under all of the terms and conditions contained in this Agreement for two (2) additional five (5) year periods. The County shall give the Contractor written notice of the County's intention to renew the Agreement term not less than ten (10)days prior to the end of the Agreement term then in effect. C.The term of the Software license is in perpetuity unless otherwise terminated as provided herein. The term of the Warranty and Maintenance for the Hardware and support for the Software, shall be for an initial ten (10) year period commencing upon the acceptance of the applicable portion of the System and may be renewed as stated above in subsection B. SECTION 31. ENTIRE AGREEMENT This Agreement together with all Exhibits and Seller's Proposal which is incorporated herein by reference constitute the entire understanding and agreement between Buyer and Seller concerning the subject matter hereof and any negotiations, representations, promises, understandings, proposals, agreements, warranties, course of dealing or trade usage, oral or written, not expressly contained or referenced herein shall not be binding on either Party. SELLER DOES NOT ASSUME ANY OBLIGATIONS OR LIABILITIES IN CONNECTION WITH THE SALE OF THE SYSTEM OTHER THAN THOSE EXPRESSLY STATED IN THIS AGREEMENT AND DOES NOT AUTHORIZE ANY PERSON (INCLUDING SELLER'S MANUFACTURER'S REPRESENTATIVES AND SALES AGENTS) TO ASSUME FOR SELLER ANY OTHER OBLIGATIONS OR LIABILITIES. SECTION 32. AMENDMENT No modification or amendment or other change to this Agreement shall be binding on either Party unless set forth in a writing signed by both Buyer and the Seller. SECTION 33. SEVERABILITY The invalidity, in whole or in part,of any Section or part of any Section of this Agreement shall not affect the validity of the remainder of such Section or the Agreement. 19 #15-6409 800MHZ P25 Project a Packet Page -150- 4/14/2015 11 .A. SECTION 34. WAIVER No term of this Agreement may be waived except in a writing signed by the Party waiving enforcement. No term of this Agreement shall be deemed to be waived by reason of any failure to previously enforce such term. SECTION 35. HEADINGS Section headings are inserted for convenience only and shall not be used in any way to construe the meaning of terms used in this Agreement. SECTION 36.GOVERNING LAW The validity, performance and all matters relating to the interpretation and effect of this Agreement and any amendment thereto shall be governed by the State of Florida, without giving effect to its conflict of laws provisions. SECTION 37. DISPUTE RESOLUTION Prior to the initiation of any action or proceeding permitted by this Agreement to resolve disputes between the parties, the parties shall make a good faith effort to resolve any such disputes by negotiation. The negotiation shall be attended by representatives of Contractor with full decision- making authority and by County's staff person who would make the presentation of any settlement -- reached during negotiations to County for approval. Failing resolution, and prior to the commencement of depositions in any litigation between the parties arising out of this Agreement, the parties shall attempt to resolve the dispute through Mediation before an agreed-upon Circuit Court Mediator certified by the State of Florida. The mediation shall be attended by representatives of Contractor with full decision-making authority and by County's staff person who would make the presentation of any settlement reached at mediation to County's board for approval. Should either party fail to submit to mediation as required hereunder, the other party may obtain a court order requiring mediation under section 44.102, Fla. Stat. SECTION 38.ASSIGNMENT;SUCCESSORS AND ASSIGNS The Seller shall not assign this Agreement or any part thereof, without the prior consent in writing of County. Any attempt to assign or otherwise transfer this Agreement, or any part herein, without the County's consent, shall be void.
