Attachment 16 13 3' STANDARD FORM AGREEMENT TO REINSTATE,AMEND AND EXTEND Contract#15-6530 "Architectural Services" Professional Services Agreement This Agreement to Reinstate, Amend and Extend is made and entered into on this 24th day of October 2017,by and between the Board of County Commissioners for Collier County,Florida, a political subdivision of the State of Florida(hereinafter referred to as"County")and DISNEY& ASSOCIATES, P.A., authorized to do business in the State of Florida, whose business address is 1865 Veterans Park Dr., Suite 301,Naples,Florida 34109(hereinafter referred to as"Consultant"). i WITNESSETH: WHEREAS,on April 12,2016(Agenda Item 16D.8),the parties entered into a Professional Services Agreement(the "Master Agreement"), identified as Contract#15-6530, for architectural services for the renovation/expansion of the Immokalee Sports Complex Fitness Center (the "Project"), a copy of which is attached hereto as Exhibit A; and WHEREAS, the Master Agreement was amended via Change Order Number 1 on April 11,2017,to extend the original construction completion date to June 11,2017,due to grant funding approval delays, a copy of which is attached hereto as Exhibit B; and WHEREAS,the construction contract for the Project(Contract# 16-7029)provided for an August 26, 2017 final Project completion date (a copy of which is attached hereto as Exhibit C) but the Consultant's Master Agreement was not similarly extended to the new completion deadline; and WHEREAS,the parties inadvertently allowed the Master Agreement as amended above to lapse without extending the Project completion date to allow the Consultant to be reimbursed for services provided through the construction completion date; and WHEREAS,the parties wish to reinstate the Master Agreement as amended and extend the time for Consultant to complete the Project and fulfill its obligations and rS8ponsibilities thereunder. NOW THEREFORE, IN CONSIDERATION of the mutual covenants and provisions set forth below,the parties agree as follows: 1. The Master Agreement as amended is hereby reinstated. 2. The Completion Date for the Project is hereby extended to August 26, 2017. 3. The County Manager is hereby authorized to further extend the Completion Date for the Master Agreement by Change Order up to an additional 180 days. o ,-., '(t\II'lii Page 1 of 2 160 3 4. Except as provided herein, all other terms and conditions of the Master Agreement remain in full force and effect. If there is a conflict between the terms of this agreement and the Master Agreement,the terms of this agreement shall prevail.
