The Seller, for itself and its successors, hereby covenants to and with Buyer and its successors and assigns that it is the lawful owner of the said utility facilities, herein referred to as utility facilities; that said utility facilities are free from all liens and encumbrances; that owner has good right, title and authority to sell same to Buyer, and that it will warrant and defend the title to same against the lawful claims and demands of all persons or entities whomsoever.
