EXECUTIVE SUMMARY
Recommendation to approve and authorize the Chair to sign the Assumption Agreement from PB
Water Services USA, Inc. to WSP USA, Inc., as it relates to Contract #13-6164-WF “Professional
Services Architect and Engineering,” for the following discipline: Wellfield Study, Planning and/or
Design (WEL).
OBJECTIVE: To assign the contract from PB Water Services USA Inc. to WSP USA, Inc.
CONSIDERATIONS: On February 25, 2014 (Agenda Item 16.E.5), the County awarded Schlumberger
Water Services USA, Inc. contract #13-6164-WF “Professional Services Architect and Engineering.” On
August 1, 2016, the acquisition of Schlumberger Water Services USA, Inc. resulted in a name change to
PB Water Services USA, Inc. (PB Water); and the Board approved an Assumption Agreement on October
25, 2016 (Agenda Item 16.E.3) to formalize PB Water’s assumption of rights and obligations under the
contract.
A merger by PB Water Services USA, Inc. with WSP USA Inc. took place on May 31, 2017, with notice
to County staff on June 20, 2017. Staff acquired the necessary documents from WSP USA, Inc., which
have been reviewed and approved by the County Attorney’s Office. The Procurement Services Division is
recommending approval of the assumption of this contract by WSP USA, Inc.
The proposed Assumption Agreement assigns all rights, duties, benefits, and obligations of the Consultant
under contract #13-6164-WF “Professional Services Architect and Engineering” to WSP USA, Inc.
FISCAL IMPACT: There is no fiscal impact.
GROWTH MANAGEMENT IMPACT: There is no Growth Management Impact associated with this
Executive Summary.
LEGAL CONSIDERATIONS: This item is approved as to form and legality, and requires majority
vote for Board approval. -SRT
RECOMMENDATION: To approve and authorize the Chair to sign the proposed Assumption
Agreement with WSP USA, Inc. as it relates to contract #13-6164-WF “Professional Services Architect
and Engineering” for the following discipline: Wellfield Study, Planning and/or Design (WEL).
