Recommendation to waive competition for a sole source vendor and approve the continued amendment
of the [.rase Agreement for a Confined Space Gas Monitoring System with Industrial Scientific.
OBJECTIVE; To protect employees who must work within confined spaces from illness, injury or
death through the approval of a lease agreement with Industrial Scientific for a Confined Space Gas
Monitoring System.
CONSIDERATIONS:, The Board entered into a lease agreement with Industrial Scientific fix Confined Space
Gas Monitoring and 'Testing Equipment on 9/27/2011 under Agenda Item 16E1. At that time, the Board
declared Industrial Scientific a sole source provider for the type of system needed by the County. The Board
entered into an agreement upon which the term was to expire on December 31, 2015, unless the extension
option was exercised. Staff exercised a one (I ) month extension(until January 31, 2016) so as to complete
final negotiations and review by the vendor and staff.
The purpose of the system is to allow field employees to detect hazardous atmospheres such as low oxygen,
flammable gases and/or combustible gases before conducting work within tanks, lift stations, storm sewers
and similar confined spaces. Detection is accomplished through the use of portable monitoring units. The
Industrial Scientific system provides redundancy through a centralized monitoring system that constantly
monitors the units and warns the appropriate safety and management staff when a unit has not been properly
maintained and/or calibrated. These units and the accompanying monitoring system are an invaluable life
safety tool for those employees echo must work in confined spaces.
Staff believes that Industrial Scientific is a sole source vendor for this type of system due to its monitoring
redundancy feature. Therefore, the Risk Management staff, with affirmation from the user Divisions
recommends the continued lease of the Industrial Scientific System far the following reasons:
I► Industrial Scientific is the only system that offers redundant monitoring capability. Staff is notified by
email within 1 minute of any readings outside the Permissible Exposure Limit. The monitoring service
also detects calibration and maintenance defects instantly without being dependent upon a program
manager who may be checking the system 1-2 times per day.
2) The monitoring service triggers the shipment of new units automatically within 24 hours of a
detected defect.
3) The lease program allows the County. to upgrade to new, state of the art product models when they are
introduced, w ithout additional financial impact to the County during the contract life.
4) The lease program largely eliminates the need tar departments to order, Install and maintain new
parts. This greatly increases efficiency and reduces the amount of time each program manager spends
maintaining their gas monitors.
5) The recommended leasing program will result in a S10?39.36 cost savings over the contract life when
compared to our current lease.
Pursuant to Section 9 of the Board's Procurement Ordinance,the Procurement Services Director believes it is in
the best interest of the County to\Salve competition as a sole source vendor due to the safety and redundant
features that only this vendor is able to pros ide.
FISCAL IMPACT: The total cost of the lease over the 4 year leasing period is $1 17,754.56. The new lease
offers a cost sayings of $10,239.36 over the contract life when compared to the expiring lease. Funds are
budgeted within the operating budgets of each affected department for this lease.

Company and Customer entered into an iNet Usage Agreement dated July 12,2011 (the"Agreement"),under which Company
agreed to provide its iNet gas detection services to Customer for an Initial Term that commenced January 1, 2012 through December
31,2015, with automatic month-to-month basis renewals and;
Company and Customer desire to extend the Initial Term of the Agreement and to revise the Subscription Fees and the
Equipment covered by the Agreement as detailed below.
Company and Customer hereby agree to amend the Agreement as follows:
I. Except where the context otherwise requires, words and expressions defined in the Agreement shall have the same
meanings when used herein;references to sections are to sections of the Agreement.
2. Section 1,"Subscription," is amended to provide that the Term of the Agreement will be renewed"Renewal Term"for one
month under the Initial Term and then extend for a period of forty-eight(48)months, such that the Term shall commence
February 1, 2016 and expire on January 31, 2020 (the"Amended Term"). The definition of the word"Term" as defined
in Section 1 of the Agreement is also amended to include the Amended Term and Renewal Term,
3. Section 2,"Subscription Fee and Costs," is amended to provide that the one additional month under the existing Term will
be billed at $2,453.22 and the total cost of the Subscription for the additional forty-eight (48)-month Amended Term is
$117,754.56, billed to Customer as follows: forty-eight(48)invoices for monthly installment payments of$2,453.22.
4. As Customer desires to change the Equipment provided by Company during the Initial Term, Schedule B will be replaced
by the attached Schedule B. During the Amended Term, Company will provide to Customer the Equipment identified on
the attached amended Schedule B.
5. All other terms and conditions of the Agreement shall remain unchanged and in full force and effect except where modified
by this Agreement of Amendment.
The parties hereto have executed this Agreement of Amendment effective as of the date and year first above written.
