WHEREAS, The Strand (hereinafter referred to as the "Subject Property"); is comprised of a golf course and golf course amenities, and WHEREAS, County is the owner of the Veteran's Memorial Boulevard right-of-way north of the golf course at The Strand; and WHEREAS, portions of the improvements which constitute the golf course were constructed within the Veteran's Memorial Boulevard right-of-way (hereinafter referred to as the "Encroachments"); and WHEREAS, these Encroachments include portions of the concrete golf cart path, planter beds containing bushes and trees, irrigation lines, valves and sprinkler heads, and a small concrete block restroom building with plumbing and electrical wiring WHEREAS, Owner desires that these Encroachments be removed as exceptions to title of the Subject Property; and WHEREAS, County will permit the Encroachments to remain in the Veterans Memorial Boulevard right-of-way temporarily, until such time as County needs to use the area depicted on Exhibit "A" (attached hereto and made a part hereof); and WHEREAS, County and Owner agree that there will be no fee, charge or payment to County in exchange for Owner's temporary use of a portion of the County's right-of- way. NOW THEREFORE, in consideration of these premises, the sum of Ten Dollars ($10.00), and other good and valuable consideration, the receipt and sufficiency of which is hereby mutually acknowledged, it is agreed by and between the parties as follows: 1. RECITALS - All of the above recitals and Exhibits are true and correct and are hereby expressly incorporated herein by reference as if set forth fully below, and are made a part of this Agreement. 16A1b Page 2 2. EFFECTIVE DATE - This Agreement shall be effective as of the date first set forth above and shall inure to the benefit of and be binding upon the parties hereto and their respective heirs, executors, personal representatives, successors, successor trustees, and/or assignees, whenever the context so requires or admits. 3. TERMINATION - County has the unilateral right to terminate this Agreement at will by providing Owner with one hundred and eighty (180) calendar days notice of its intent to construct and/or install improvements in the temporary use area depicted on the Exhibit attached hereto. Any and all improvements located within the temporary use area at the end of the 180 day notice period shall be deemed to have been abandoned by Owner and may be removed and disposed of by County with no payment to or recourse by Owner, 4. HOLD HARMLESS & INDEMNIFICATION — OWNER agrees to release from liability, and to hold harmless COUNTY, its employees and agents against any and all claims brought by or on behalf of the OWNER, its employees, contractors, any person, or other legal entity which may arise from the OWNER'S use of the demised premises and will further hold harmless, indemnify and defend the COUNTY, its agents, participants, contractors or employees, from all costs, attorney's fees, expenses, and liabilities incurred as a result of any claim or proceeding brought thereon. 5. LEGAL MATTERS — In the event either party hereto shall institute legal proceedings in connection with, or for the enforcement of, this Agreement, the prevailing party shall be entitled to recover its costs of suit, including reasonable attorney's fees, at both trial and appellate levels. This Agreement may be recorded by the County in the Official Records of Collier County, Florida. Owner shall pay all costs of recording this Agreement prior to the execution of this Agreement. A copy of the Recorded Agreement will be provided to the Owner. This Agreement is the entire agreement between the parties, and supersedes all previous ora' and written representations, agreements and understandings between the parties. This Agreement shall be governed by the laws of the State of Florida, and may not be altered or amended in any way, save by written agreement signed by both parties.
