Horton, Inc., a Delaware Corporation hereinafter referred to as "Developer" whose address is 10541 Ben C. Pratt/Six Mile Cypress, Suite 100, Ft. Myers, Florida 33966, and The Board of County Commissioners of Collier County, Florida, as the governing body of Collier County, hereinafter referred to as "County." RECITALS: WHEREAS, Developer has legal control over or is the owner of approximately 110.95 acres property in unincorporated Collier County, Florida, on which 110 residential single family units will be constructed at the site of a development known as Mockingbird Crossing, which development is identified in the map attached as Exhibit "A" (hereinafter referred to as the "Development"); and WHEREAS, Developer's predecessor and County entered into a Developer Contribution Agreement ("DCA") on May 23, 2006, which was recorded in Official Records Book 4126, at Pages 1463 through 1470, of the Official Records of Collier County Florida; and WHEREAS, the DCA was partially performed and circumstances have changed since the date the DCA was entered into and the parties wish to Amend and Restate the DCA as set forth in this Agreement; and WHEREAS, the parties have agreed to certain terms and conditions set forth below; and WHEREAS, after reasoned consideration by the Board of County Commissioners, the Board finds that the terms and conditions set forth below are in conformity with contemplated improvements and additions to the County's transportation network and are consistent with both the public interest and with the County's comprehensive plan, and other regulations pertaining to development. WITNESSETH: NOW, THEREFORE, in consideration of Ten Dollars ($10.00) and other good and valuable consideration exchanged amongst the parties, and in consideration of the covenants contained herein, the parties agree as follows: 1. All of the above RECITALS are true and correct and are hereby expressly incorporated herein by reference as if set forth fully below. 2. The Developer has conveyed Right-of-Way to the County, free of charge and with no impact fee credit, as described OR Book 4500, at Page 303 of the Official Records of Collier INSTR 4971912 OR 5029 PG 994 RECORDED 4/23/2014 8:51 AM PAGES 80 DWIGHT E. BROCK, CLERK OF THE CIRCUIT COURT 1 COLLIER COUNTY FLORIDA REC$681.50 16A16 County, Florida. The conveyed Right-of-Way is a portion of Massey Street and provides connection to the future extension of Tree Farm Road. This Right-of-Way will be used by the Developer for access to the future Tree Farm Road connection. 2. Developer shall no longer be required to "over pave" Massey Street as required in the 2006 Agreement. 3. Developer shall provide for water management treatment and outfall within the Development for the eastern one half of Tree Farm Road, as depicted and described on Exhibit ''B „ 4. Developer has prepaid the required road impact fees to vest the Development with 110 residential single family units. 5. The County shall diligently design, permit and construct the extension of Tree Farm Road from its current terminus to the east as provided herein. It is anticipated that the construction of Tree Farm Road shall be completed within 2 years of approval of this Agreement by the County provided all necessary environmental permits can be obtained in a timely manner. The approximate limits of the Tree Farm Road Construction are set forth on Exhibit "C." Within thirty (30) days of receipt of all necessary permits by the County for the construction of Tree Farm Road, Developer shall pay to the County the sum of$900,000. To secure payment of the $900,000 the Developer shall provide the County with a letter of credit in a form acceptable by the County within thirty (30) days of approval of this Agreement by the County. Developer shall not be entitled to road impact fee credits for the funding provided in this Agreement. 6. Within six (6) months of approval of this Agreement, Developer shall stub out inlets for the Tree Farm Road in the location identified on Exhibit"D." 7. Developer shall permit, design, construct and maintain a drainage pipe out fall within the Drainage Easement granted by Vanderbilt Country Club to the Developer that runs along the Massey Street right of way easement. The County shall take over maintenance of the drainage pipe outfall on Massey Street when the County accepts maintenance of Massey Street. 8. Developer may choose to use Massey Street as temporary, physical access to the Development as of the date hereof and while Tree Farm Road is being constructed; provided, however, the Developer and the County acknowledge that Massey Street is currently not a publicly maintained or owned County road built to County standards. Massey Street is identified in the Long Range Transportation Plan as a future public collector road that will ultimately require the acquisition of public Right-of-Way and a reconstruction to County standards. In the interim, Developer represents to the County Exhibit "E", the documents referenced in and attached to the December 12, 2013 letter from Broad and Cassel to the County establish a right of way easement providing access from the Development to Vanderbilt Beach Road along Massey Street. Developer will indemnify, defend and hold harmless the County from any claims of the owners of lots encumbered by the right of way easements referenced herein brought against the County challenging the Developer or owners of lots within the Development's right to use Massey Street for access. Developer shall maintain the portion of Massey Road from 2 16A16 . Vanderbilt Beach Road to the Development's entrance until the earlier of the completion of Tree Farm Road or three years from the date of the issuance of the first building permit for the Development. Maintenance shall include cutting the grass along the roadway. Developer shall place an overlay layer of asphalt on Massey Road from Vanderbilt Beach Road to the Development entrance as part of its maintenance of Massey Road. Developer shall not rely upon this Agreement as a basis for establishing Massey Street as legal access to their property. 9. The burdens of this Agreement, shall be binding upon, and the benefits of this Agreement shall insure to, all successors in interest to the parties to this Agreement, including any Homeowner Association(s). Except as otherwise provided herein, this Agreement shall only be amended or cancelled by mutual written consent of the parties hereto or by their successors in interest. 10. Developer acknowledges that the failure of this Agreement to address any permit, condition, term or restriction shall not relieve either the applicant or owner, or their successors or assigns, of the necessity of complying with any law, ordinance, rule or regulation governing said permitting requirements, conditions, terms or restrictions. 11. In the event state or federal laws are enacted after the execution of this Agreement, which are applicable to and preclude in whole or in part the parties' compliance with the terms of this Agreement, then in such event this Agreement shall be modified or revoked as is necessary to comply with such laws, in a manner which best reflects the intent of this Agreement. This Agreement shall not be construed or characterized as a development agreement under the Florida Local Government Development Agreement Act. 12. Developer shall execute this Agreement prior to it being submitted for approval by the Board of County commissioners. This Agreement shall be recorded by the County in the Official Records of Collier County, Florida, within fourteen (14) days after the County enters into this Agreement. Developer shall pay all costs of recording this Agreement. A copy of the recorded document will be provided to the Developer upon request. 13. This Agreement shall be governed by and construed under the laws of the State of Florida. The parties shall attempt in good faith to resolve any dispute concerning this Agreement through negotiation between authorized representatives. If these efforts are not successful, and there remains a dispute under this Agreement, the parties shall first use the County's then current Alternative Dispute Resolution Procedure. Following the conclusion of this procedure, either party may then file an action in the Circuit Court of Collier County, which shall be the exclusive venue with respect to any disputes arising out of this Agreement.
