AGREEMENT
PROJECT: Multi-Use Bus Stop Shelters in Copeland

THIS AGREEMENT, made and entered into this 38th day of 1, 2015, by and
between the Collier County Board of County Commissioners, Collier County, Florida, a political
subdivision of the State of Florida, (the "County") and the Rotary Club of Marco Island, Florida
Sunrise ("Rotary") (collectively,the"Parties").
WITNESSETH
WHEREAS, the County plans to purchase, construct and install bus shelters, benches,
trash cans and landscape-related beautification materials at two bus shelter locations (the
"Shelters") within the Copeland Community as more specifically described below (hereafter the
"Project"); and
WHEREAS, in conjunction with the Project, Rotary wishes and agrees to assume the
responsibility for the purchase and installation of particular plant material at the Shelters; and
WHEREAS, the Copeland Baptist Church, although not a party to this Agreement, has
indicated it wishes and agrees to assume the future responsibility of trash pick-up and overall
aesthetic maintenance of the Shelters; and
WHEREAS, the County and the Rotary have determined and mutually agree that it is
economically advantageous and in the best interest of the public to consummate this Agreement
to provide for the construction, installation and future maintenance of the Shelters to benefit the
residents of Collier County; and
WHEREAS, the County is agreeable to, desirous and capable of performing, providing
or otherwise undertaking the construction and installation of the Shelters as depicted in attached
Exhibit"A."
NOW, THEREFORE, in consideration of the above premises, and the mutual
covenants,terms, and provisions contained herein,the Parties agree as follows:
SECTION I: COUNTY'S RESPONSIBILITY
1.0 The County shall construct and install the following Multi-Use Bus Shelters:
a. Panther Park Multi-Use Bus Shelter: As depicted on attached Composite Exhibit
"A," the County shall construct and install, on County owned property at the park, a
prefabricated bus shelter over a ten (10) foot by twenty (20) foot concrete pad along
with a four (4) to five (5) foot sidewalk that connects to the existing sidewalk leading
from Church Street.
b. Lake Gloria: As depicted on attached Composite Exhibit "A," the County shall
construct and install, on existing County road right-of-way, a prefabricated bus

shelter over a ten (10) foot by ten (10) foot concrete pad with a four (4) to five (5)
foot sidewalk leading therefrom to the east side of Janes Scenic Drive.
c. In addition to the Shelters, concrete pads and sidewalks, the County shall also provide
three (3)benches,two (2)trash cans,planting soil, fertilizer and any necessary mulch.
1.1 The County shall design, procure and provide all services, materials and permits
necessary to construct and install the Shelters, concrete pads and adjoining sidewalks.
1.2 The County shall prepare a list of recommended plant materials and a planting layout
sketch that it will provide to Rotary to assist Rotary in its installation of acceptable plant
material.
1.3 To the extent necessary, the County shall coordinate the construction and installation of
the Shelters with any interested third parties to the extent that such parties have a direct
interest in or are directly affected by the improvements.
SECTION II: ROTARY'S RESPONSIBILITY
2.0 Using the County's list of recommended plant materials referenced above in Section 1.2,
the Rotary shall provide and install plant materials at the Shelters in accordance with the
County's planting layout sketch at the Rotary's sole expense. The maximum limit of the
Rotary's contribution shall be capped in the Amount of$702.00, as reflected in the Cost
Estimate for plant materials attached hereto as Exhibit"B."
2.1 The Rotary shall coordinate and confer with the County as necessary to fulfill its duties
and responsibilities under this Agreement.
2.2 The Rotary shall appoint/designate a contact person in-wfitifig to the County for the
purpose of coordinating and communicating with County staff on matters concerning this
Agreement.
2.3 The Rotary shall not be responsible for, nor shall they dictate upon the County,
construction means, methods, techniques, skills, sequences or procedures of construction
relating to the installation of the Shelters and related facilities.
2.4 The County shall provide the Rotary with a set of the approved construction and
installation plans, and planting layout sketches for both bus shelter locations prior to the
commencement of the County's construction activities.
SECTION III: AGREEMENT TERMS
3.0 This Agreement shall become effective from the date first above written and will
continue to be in effect until it is modified or otherwise terminated as provided herein.

This Agreement may be modified, amended or terminated upon written consent of the
Parties.
3.1 Nothing in this Agreement shall operate as a waiver of the sovereign immunity afforded
to the County as provided in Section 768.28, Florida Statutes.
3.2 Each Party shall be responsible for its own actions. Accordingly, each Party (where
liability is otherwise imposed by law) shall be alone responsible, exclusive of the other
Parties, for any claims, losses, damages, costs and injury to persons or property resulting
in any manner from the negligent acts and conduct of its agents and employees in
furtherance of their responsibilities under this Agreement.
SECTION IV: MISCELLANEOUS
4.0 This Agreement shall be governed by and construed under the laws of the State of
Florida. In the event any litigation is instituted by way of construction or enforcement of
this Agreement, the party prevailing in said litigation shall be entitled to collect and
recover from the opposite party all court costs and other expenses excluding attorney's
fees. Venue is in Collier County, Florida.
4.1 It is understood that this Agreement must be executed by all parties prior to the County
commencing with the work, services, duties, and responsibilities described heretofore.
IN WITNESS WHEREOF, the parties hereto have caused this Agreement to be
executed by their appropriate officials, as of the date first above written.

Copeland Area Multi-Use Bus Shelters
The Copeland area has the need for designated bus shelters such as the rural shelters throughout the
Golden Gate Estates area. To maximize the feasibility of these shelters, locations have been identified
that will allow the shelters to serve multiple purposes.
The first location is at Panther Park (Figure 1). A prefabricated shelter would be installed over a 10 foot
by 20 foot concrete pad with a 4 to 5 foot sidewalk connecting to the existing sidewalk leading from
Church Street. The structure would be built on County owned property at the park. It's location will
require the removal of some limited landscaping along the fence at the front of the park. This will afford
parents unobstructed views of their children in the park while taking advantage of the shelter area.

The second location would be adjacent to Lake Gloria (Figure 3). At this location the prefabricated
shelter would be installed over a 10 foot by 10 foot concrete pad with a 4 to 5 foot sidewalk leading to

area on the east side of the road.
