I was later referred to Paragraph 9(b)(4) of the Purchase and Sale Agreement, which states that Purchaser accepts the Additional Facilities (pump station) in "as is" condition and without warranties from Seller. It also states that Seller will assign to Purchaser all its rights or warranties under design or construction contracts. Therefore, the standard contractor supplied warranty will be assigned to the County Water-Sewer District. By the Agreement, no maintenance security will be provided by RBS. Attached is a copy of the referenced paragraph. At this time, the pump station start-up has been completed and close-out documents are being executed. FDEP certifications are also being completed to place the pump station in service. Our best estimate is that a closing to transfer the RBS facilities and the pump station to the County will be approximately the second week of January.
