AMENDMENT
THIS AMENDMENT is entered into by and between BAC Home Loans Servicing LP, F/K/A
Countrywide Home Loans Servicing LP, a Texas Limited Partnership, as servicing agent and
attorney in fact for US Bank National Association as Successor Trustee to Bank of America, N.A.,
as Successor by Merger with LaSalle Bank National Association, as Trustee for Merrill Lynch First
Franklin Mortgage Loan Trust, Mortgage Loan Asset-Backed Certificates, Series 2007-1, Seller,
and Collier County, a Political Subdivision of the State of Florida, Purchaser. Purchaser and Seller
entered into that certain Purchase and Saie Agreement effective as of April 25, 2011 and
executed by Purchaser on May 24, 2011 (the "Agreement"). Purchaser and Seller wish to amend
the Agreement with the following terms and conditions:
1. Paragraph 3(b) of the Agreement is revised to provide that the closing shall
take place on or before July 14, 2011.
Except as expressly prOVided herein, the Agreement between the Purchaser and the
Seller remains in full force and effect according to the terms and conditions contained therein,
and said terms and conditions are applicable hereto except as expressiy provided otherwise
herein.
IN WITNESS WHEREOF, the Purchaser and Seller have executed this Amendment as of
the dates hereinafter stated.
