AGREEMENT
05-3772 "Collier County Tourism Website Design and Maintenance"
THIS AGREEMENT, made and entered into on this 1J/I~day of MQr 2005, by and between
Miles Media Group, lnc. authorized to do business in the State of Florida, whose business
address is: 6751 Professional Parkway West, Sarasota, Florida, 34240-8443, hereinafter called
the "Contractor" and Collier County, a political subdivision of the State of Florida, Collier
County, Naples, hereinafter called the "County":
WITNESSETH:
1. COMMENCEMENT. This Agreement shall commence upon full execution of the
contract and upon the issuance of a Purchase Order. The initial contract shall be for a
one (1) year period. The County may, at its discretion and with the consent of the
Contractor, extend the Agreement under all of the terms and conditions contained in
this Agreement for three (3) additional one (1) year periods. The County shall give the
Contractor written notice of the County's intention to extend the Agreement term not
less than ten (10) days prior to the end of the Agreement term then in effect.
2. STATEMENT OF WORK. The Contractor shall provide professional website design
and maintenance services in accordance with the terms and conditions of RFP #05-3772
"Collier County Tourism Website Design and Maintenance" and the Contractor's
proposal, Attachment" A", hereto attached and made an integral part of this agreement
as well as additional related services upon mutual agreement and issuance of an
Amendment to this Agreement.
3. THE CONTRACT SUM. The County shall pay the Contractor for the performance of
this Agreement an estimated maximum amount of ninety two thousand, two hundred
twenty dollars ($92,220.00), subject to Change Orders as approved in advance by the
County. Payments shall be made to the Contractor when requested as work progresses
but not more frequently than once per month. Payment will be made upon receipt of a
proper invoice and upon approval by the Tourism Development Director or his
designee, and in compliance with Section 218.70, Fla. Stats., otherwise known as the
"Florida Prompt Payment Act".
4. NOTICES. All notices from the County to the Contractor shall be deemed duly served
if mailed or faxed to the Contractor at the following Address:

The Contractor and the County may change the above mailing address at any time
upon giving the other party written notification. All notices under this Service
Agreement must be in writing.
5. NO PARTNERSHIP. Nothing herein contained shall create or be construed as creating
a partnership between the County and the Contractor or to constitute the Contractor as
an agent of the County.
6. PERMITS: LICENSES: TAXES. In compliance with Section 218.80, F.5., all permits
necessary for the prosecution of the Work shall be obtained by the Contractor. Payment
for all such permits issued by the County shall be processed internally by the County.
All non-County permits necessary for the prosecution of the Work shall be procured
and paid for by the Contractor. The Contractor shall also be solely responsible for
payment of any and all taxes levied on the Contractor. In addition, the Contractor shall
comply with all rules, regulations and laws of Collier County, the State of Florida, or the
U. S. Government now in force or hereafter adopted. The Contractor agrees to comply
with all laws governing the responsibility of an employer with respect to persons
employed by the Contractor.
7. NO IMPROPER USE. The Contractor will not use, nor suffer or permit any person to
use in any manner whatsoever, county facilities for any improper, immoral or offensive
purpose, or for any purpose in violation of any federal, state, county or municipal
ordinance, rule, order or regulation, or of any governmental rule or regulation now in
effect or hereafter enacted or adopted. In the event of such violation by the Contractor
or if the County or its authorized representative shall deem any conduct on the part of
the Contractor to be objectionable or improper, the County shall have the right to
suspend the contract of the Contractor. Should the Contractor fail to correct any such
violation, conduct, or practice to the satisfaction of the County within twenty-four (24)
hours after receiving notice of such violation, conduct, or practice, such suspension to
continue until the violation is cured. The Contractor further agrees not to commence
operation during the suspension period until the violation has been corrected to the
satisfaction of the County.

8. TERMINATION. Should the Contractor be found to have failed to perform his
services in a manner satisfactory to the County as per this Agreement, the County may
terminate said agreement immediately for cause; further the County may terminate this
Agreement for convenience with a seven (7) day written notice. The County shall be
sole judge of non-performance.
9. NO DISCRIMINATION. The Contractor agrees that there shall be no discrimination as
to race, sex, color, creed or national origin.
10. INSURANCE. The Contractor shall provide insurance as follows:
A. Commercial General Liability: Coverage shall have minimum limits of $500,000
Per Occurrence, Combined Single Limit for Bodily Injury Liability and Property
Damage Liability. This shall include Premises and Operations; Independent
Contractors; Products and Completed Operations and Contractual Liability.
B. Business Auto Liability: Coverage shall have minimum limits of $500,000 Per
Occurrence, Combined Single Limit for Bodily Injury Liability and Property
Damage Liability. This shall include: Owned Vehicles, Hired and Non-Owned
Vehicles and Employee Non-Ownership.
C. Workers' Compensation: Insurance covering all employees meeting Statutory
Limits in compliance with the applicable state and federal laws.
/ D. Professional Liability Insurance: The Consultant shall maintain Insurance to
insure it's legal liability for claims arising out of the performance of professional
services under this Agreement. Coverage shall have minimum limits of $500,000
Per Occurrence.
Special Requirements: Collier County shall be listed as the Certificate Holder and
included as an Additional Insured on the Comprehensive General Liability
Policy.
Current, valid insurance policies meeting the requirement herein identified shall
be maintained by Contractor during the duration of this Agreement. Renewal
certificates shall be sent to the County 30 days prior to any expiration date. There
shall be a 30 day notification to the County in the event of cancellation or
modification of any stipulated insurance coverage.
Contractor shall insure that all subcontractors comply with the same insurance
requirements that he is required to meet. The same Contractor shall provide
County with certificates of insurance meeting the required insurance provisions.

11. INDEMNIFICATION. To the maximum extent permitted by Florida law, the
Contractor or Consultant shall indemnify and hold harmless Collier County, its officers
and employees from any and all liabilities, damages, losses and costs, including, but not
limited to, reasonable attorneys' fees and paralegals' fees, to the extent caused by the
negligence, recklessness, or intentionally wrongful conduct of Contractor or Consultant
or anyone employed or utilized by the Contractor or Consultant in the performance of
this Agreement. This indemnification obligation shall not be construed to negate,
abridge or reduce any other rights or remedies which otherwise may be available to an
indemnified party or person described in this paragraph.
This section does not pertain to any incident arising from the sole negligence of Collier
County.
12. CONTRACT ADMINISTRATION. This Agreement shall be administered on behalf
of the County by the Tourism Development Department.
13. CONFLICT OF INTEREST: Contractor represents that it presently has no interest and
shall acquire no interest, either direct or indirect, which would conflict in any manner
with the performance of services required hereunder. Contractor further represents
that no persons having any such interest shall be employed to perform those services.
14. COMPONENT PARTS OF THIS CONTRACT. This Contract consists of the attached
component parts, all of which are as fully a part of the contract as if herein set out
verbatim: Contractor's Proposal, Attachment" A", Insurance Certificate, RFP #05-3772
Collier County Tourism Website Design and Maintenance.
15. SUBJECT TO APPROPRIATION. It is further understood and agreed by and between
the parties herein that this agreement is subject to appropriation by the Board of County
Commissioners.

(I) Site Transfer
Completion Date: April 15, 2005
1, Miles will move the current site to their server from the current provider and immediately begin to expand
and extend the functionality and design of the site,
2, Miles will host the Web site at Rackspace Managed Hosting. The Web site will have a guaranteed up-
time of greater than 99.5% and Miles will provide a complete disaster recovery plan, The bandwidth, load
balancing and redundancy will accommodate traffic spikes and unforeseen technology issues,
(2) Planning Stage
Completion Date: April 29,2005
During the Planning Stage Miles will work with the CVB to develop three Web site designs. These Web site
designs will comprise of both a homepage design and interior page design, These designs will have the
following elements,
Overall Site Design
1. Miles will expand the site's color palette by using ones in the Visitors Guide, and color-code sections as
a navigational aid,
2, Miles will add a welcoming headline to the home page and reduce the size of the logo,

3. Miles will increase the point size of copy on the home page, interest leads and stories, We will add a
drop cap letter to the first paragraph to draw more attention to the text.
4. Miles will enlarge the main photo on the home page and additional photo insets that will rotate,
5. Miles will add a map locator to the home page, showing the boundaries of Naples, Marco and the
Everglades, and link to specific editorial pages.
6, Miles will add a highly visible opt-in for visitors to receive more information about Collier County
vacations in an electronic format.
Site Navigation
1. Miles will redesign the main and secondary navigation on the site.
2. Miles will simplify all drop-down menus,
3. Miles will restructure the main categories and subcategories to streamline information so visitors can
easily find information.
4. Miles will redesign the main navigational buttons and integrate the look of the drop-down menus,
Miles will also work with the CVB to develop a detailed scope of work that outlines all the needed functionality in
each section including, events, meeting planner, media center, and the tourism industry section.
During this stage the Web site is still in concept form and will not function, Once the project moves to the
Development Stage functionality will be implemented to the designs created during the Planning Stage.
(3) Development Stage
Completion Date: May 31, 2005
The Development Stage is when Miles Media Group's Web site developers will take the approved designs and
information gathered during the Planning Stage and start building the Web site online. During this stage is when
the functionality associated with each section will be created. Below is a detailed checklist of what functionality
will be created and implemented for each section during this stage.
Editorial
1. Miles will repurpose content from the past two years of the Visitors Guide and also from the three VISIT
FLORIDA Dialogue Program stories as contracted.
2. Miles will create and add new content to the site such as: Fun Vacation Itineraries, For Families,

businesses to update their information 24/7 through password-protected site admin forms.

1. Miles will change the display of each of the subcategories so that when users click, they see the
information they desire above the lower limits of the screen view or "above the fold,"

1. Miles will maintain the current Live Chat feature on the site hosted by Phase V.
Home Page Administration and Emergency Plan
1. Miles will implement an online administration form to allow Tourism staff to update and change the
content of the home page to highlight upcoming events, new features and points of interest in Collier
County. This form will be password protected. Simple HTML coding can be used in the admin form, but
knowledge of HTML will not required.
Maps
1. Miles will work with Tourism staff to enhance existing maps, or to create new maps, as needed to
accompany appropriate content on the site,

Proximity Maps
1. MapPlanner is Miles Media Group's exclusive proximity map-based itinerary planner. MapPlanner is
comprised of several elements,
a. Trip Wizard. The Trip Wizard is a question-and-answer diaiogue that walks users through the
process of locating businesses they are interested in, building a trip, day-by-day, When the
Wizard is completed, users have an itinerary for their trip.
b. Mapping Functionality. MapPlanner links your supplier database with reliable map data sources
to provide accurate maps and directions for visitors, A map will pinpoint the location of the
supplier's business, Each map generated is accompanied by additional information about the
supplier such as Web site, amenities and description,
c. Proximity Search. Users can then use proximity mapping tools to see what other suppliers in the
database are near a selected property.
d. Trip Planner. Mapping ties directly into the Trip Planner functionality, so that consumers can add
suppliers to their itinerary as they find them. Our mapping system even allows users to add
custom addresses to their trip planner to find businesses near that address.
e, Itinerary Builder. The Itinerary builder is a personal trip planner feature that allows users to
select listings from the site and save them into a custom itinerary. The user can create multiple
itineraries; each itinerary can have multiple days, Users can return to saved information at any
time during their vacation planning process. In order to save and return to the trip planner after
the initial use, the visitor must complete a basic registration process. This dialogue is an
opportunity to ask visitors when they are planning to visit and what their interests are. In this
way, we can encourage consumers to register for your email newsletter.
f Point-to-Point Directions. Users can get point-to-point driving directions between suppliers on
their itinerary or even from a custom address to a supplier,
g. Printable Packet. After users complete their itinerary, it can be printed out in a "packet" to take
with them on their trip. The printed packet contains information about each planned day,
comprehensive amenities and information about each supplier, along with driving directions.
eCRM - Customer Database
1. Miles will implement a database that is a collection of potential visitors (or repeat visitors) with whom the
County has permission to continue an ongoing dialogue about vacationing in Collier County. This
database system will contain the following.
a. Dashboard: The dashboard shows you a quick snapshot of your database, including the total
number of permission emails by interest, source and category.
b. Manage Contacts: All information gathered about users from your Web site is automatically fed
directly into the Customer Database. The contacts section allows you to add, edit and view the
contacts in your database. You can also import fiies you receive from lead generation efforts,
and export lists for your own purposes,
c. Research and Reporting: We will set up stock reports that give you quick access to information
about the demographic and source information of the leads in your database.
d. Lists and Mailings: This section will allow you to select a query and opt-in group to receive the
mailing. If you choose to manage your own email campaigns using templates, you select the
emailtemplate and enter the content for the emai!. The email can then be previewed and sent.

e. Help: The help section contains a tutorial outlining the most common tasks performed, and a
quick reference for basic functions. We will also include training for your staff on how to use the
product, and support any questions or problems you might have.
f Customization: The product also includes dynamic fields, that will allow us to quickly set up
additional custom fields for tracking such things as user interests, source of lead, html
preferences, etc. We will work with you to configure the product to meet your marketing goals.
We use a reliable, high-volume deployment company to send the emails. Ongoing, we will
evaluate deployment companies to make sure we keep costs as low as possible for our clients.
(4) Review and Publish
Completion Date: June 21, 2005
During this stage, Miles Media Group and the CVB will review the completed Web site and make any necessary
changes. Miles Media Group and the CVB will check the functionality of each section to ensure that each
section is functioning as described above.
Miles Media Group will also train the CVB staff on how to use the admin capabilities for events, special deals,
media center, and the eCRM database. This training will take place during this stage,
After the CVB reviews the functionality and is prepared to go live, Miies Media Group will publish the new Web
site.
(5) On-going Maintenance and Data Collection Completion Date: April 15, 2008
After the Web site is published, Miles will continue to service the CVB. These on-going services are as follows.

The CVB will have three hours of maintenance and Web site hosting each month until the contract expires.
These three maintenance hours can be used for routine changes and corrections on the Web site.
Miles Media Group will provide the CVB with a monthly report outlining statistics from the Web site. These

Web Traffic Statistics
1, Miles will provide reporting on the activity on the CVB web site using Urchin 5 Web Analytics. These
reports are updated on a daily basis, with password-protected access to site statistics 24/7.
2. Miles will provide analysis of the site traffic and will present traffic reports and findings at industry
meetings as reasonably requested.
Each contracted year, Miles Media Group will implement a data collection for the CVB's Web site as well as the
Visitors Guide. Details on how the data collection process will take place are below,
Turn-key Listings Collection & Maintenance
1. Data Collection. Miles will meet with Tourism staff on the listing information for both the Visitors Guide
and Web site and, upon consensus, will generate both an electronic and paper form for data collection.
2. Positive Verification. Miles will not publish information about any business unless they have received
verification that the information is correct. Miles will contact each business directly, using fax, mail,
phone and online forms to ensure that positive verification of the information is received.
3, Accountability. Miles will track each communication with every business in the data collection effort
including:
a, What the collection step was (email, fax, mailing or phone call)
b, The time and date of the communication
c. The name, title and signature of the person providing the information
4, Reverse-supplying Data. Miles will provide the Collier County Tourism Department with a complete copy
of the data via email or CD in a mutually agreed-upon format for use in other projects.
