This Form of Consent, dated &œ.t..I~004 to the referenced agreement shall he hy and hetween the
parties to the original Agreement, IMSo ech, Inc. (to be referred to as "Contractor") and Collier
County, Florida, (to be referred to as "Owner").

Re: Agreement dated June 26, 2001, BCC Agenda Item 16(C)(3), by and between IMSoffech, Inc. and
Collier County referencing RFP No. 00-3113, hereafter known as the "Agreement", to which N. Harris
Computer Corporation has become a successor in interest by assignment and assumption from
IMSoffech, Inc.
Collier County confirms and consents to the Assignment and release of IMSoffech, Inc. from liability
from and after the effective date of the consent of the Assignment in return for N. Harris Computer
Corporation's assumption, as of September 10,2004, of all rights and duties ofIMSoffech, Inc. under
the Agreement.

person or agent, hereunder set their hands and seals on the date(s) indicated below.
